Non-Compete and Non-Solicitation Agreement

This is an Agreement between Larga International Logistics Inc. and

SUPPLIER______________________________________. The Agreement is effective on _____
(“Effective Date”) and one year thereafter after termination of every service engagement.

In consideration of the business opportunity provided by SUPPLIER, intends to be legally bound,

to the following:

1. Execution, Effectivity and Renewal of Agreement. This Agreement is effective on

_______and shall remain in effect within one year unless renewed earlier.
2. Limitations of this Agreement. This Agreement is limited to the subject matter of
covenants not to compete or solicit as described in this Agreement.
3. Covenant Not to Compete and Non-Solicitation. SUPPLIER agree that during the term of
their engagement as supplier of the company and one year thereafter, supplier will not
encroach, solicit clients of or compete with Larga International Logistic’s Inc.
4. Soliciting Customers After Termination of Service. For a period of one (1) year following
the termination of each services, Supplier shall not, directly or indirectly, disclose to any
person, firm or corporation the names or addresses of any of the customers or clients of
the Company or any other information pertaining to them.
5. Injunctive Relief. You hereby acknowledge (1) that the Company will suffer irreparable
harm if You breach your obligations under this Agreement; and (2) that monetary
damages will be inadequate to compensate the Company for such a breach. Therefore,
if You breach any of such provisions, then the Company shall be entitled to injunctive
relief, in addition to any other remedies at law or equity, to enforce such provision.

By your signature below you acknowledge that you have read and understand the foregoing
Agreement, that you agree to comply with all of the terms of the Agreement, and that you have
received a copy of the Agreement.
