CONFIDENTIALITY AGREEMENT

I,_____________________________, hereby agree to maintain the strict


confidentiality of all proprietary, non-public and other confidential information and
documents that have come to my knowledge or possession during the period of my
employment as an officer of _________________________ (the "Company") and/or any
of its subsidiaries and affiliates, including but not limited to management accounts, tax
policies, business plans, management policies and practices, compensation package and
benefits, stock options, business prospects, targets for acquisitions, potential new
projects, and information that derives economic value from not being generally known to,
and not being generally ascertainable by proper means by competitors or other persons
who can obtain economic value from its disclosure or use, or the disclosure or use of
which will work to the disadvantage or prejudice of the Company or any of its subsidiaries
or affiliates, or any of their directors, officers, employees or agents.

I further agree not to use any of the foregoing confidential information against the
Company or any of its subsidiaries or affiliates.

I accept this confidentiality agreement as part of the terms and conditions of my


employment, and as part of the conditions of my resignationor retirement.
