DEED OF ABSOLUTE SALE OF SHARES OF STOCKS

KNOW ALL MEN BY THESE PRESENTS:

That I, NICK ANG (SELLER), single, of legal age, Filipino, with residence at
________________________________________ , for and in consideration of the
amount of FIFTY THOUSAND PESOS (Php 50,000.00), Philippine Currency, in hand
paid to me by MERIAN BOISER (BUYER), receipt of which is hereby acknowledged to
my entire and complete satisfaction, do by these presents hereby SELL, CEDE,
TRANSFER AND CONVEY unto the said BUYER, her heirs, successor-in-interest
and assigns all the 500 COMMON shares of stocks owned by the SELLER including
all the rights, privileges, position and obligations in KYUNGHYUK DIVING, INC.;

That the parties acknowledged and confirmed that all the shares are fully paid as
evidenced by the Certificate/s of Shares of stock no. 002;

That I hereby warrant to protect and defend title herein conveyed against any
lawful claim/claims of third persons whomsoever in all courts of justice in the Philippines
and further obligating myself to execute any and all documents necessary to effect the
foregoing transfer.

That until the date of the legal title of the said shares are registered under the
name of the buyer, and her nominees in the books of the corporation, the Buyer is
hereby nominated, constituted and appointed as proxy of the seller, with a power to
represent the seller and vote in the name of the seller and her nominees at any and all
regular and special stockholder’s meeting of the aforesaid corporation, and the
adjournment and postponement thereof, as full and for all intents and purposes as if the
seller and her nominees were present and acting in person. This proxy is irrevocable
and coupled with an interest and shall continue to be valid and effective until such date
that the legal title over the subject shares of stocks are registered under the name of the
Buyer and her nominees in the Books of the Corporation.

That all the expenses, fees, and charges and taxes due on the sale shall be for
my (Seller) account.
