LOAN AGREEMENT

KNOW ALL MEN BY THESE PRESENTS

This instrument entitled Loan Agreement is entered into this

_________________, at General Santos City, Philipppines, by and
between:

PA Fuel 118 Corporation, a corporation organized and existing

under the laws of the Philippines, with office address at Gas Petronas
Bldg., National Highway, General Santos City, Philippines.
(hereinafter referred to as the “FIRST PARTY”)

-and-

______________________________________, of legal age, Filipino,

with residence at __________________________________.
(hereinafter referred to as the “SECOND PARTY”)

WITNESSETH; that

THE LOAN

1. At the request of the SECOND PARTY, the FIRST PARTY had

extended a loan to the SECOND PARTY fuel products amounting to
_________________________ (PhP______________) (the “LOAN”),
the full volume thereof is acknowledged to have been received by the
SECOND PARTY.

2. The SECOND PARTY promises to repay the LOAN to the FIRST

PARTY within five (5) days from receipt of the Collection Letter to be
sent by the FIRST PARTY.

3. The SECOND PARTY guarantees that they have the sufficient

income to pay the LOAN, and that in the event the DEBTOR or the
 SECOND PARTY fails to pay, they have sufficient real and personal
properties to satisfy the full amount of the LOAN.

4. Should a case be initiated against the SECOND PARTY for the

non-fulfillment of its obligation to pay, and any other act that would
constitute a breach of this Agreement, the SECOND PARTY
undertakes to pay the costs, damages and other reasonable
expenses that the FIRST PARTY have suffered and have spent to
pursue the case.

IN WITNESS WHEREOF, the parties have hereunto set their

hands on the date and place first above written.

of Agreement consisting of two (2) pages, including the page where this acknowledgment

deed.
