MOU Process & Way forward

¾ MOU to form a basis for further discussions and negotiations on the idea of
creating the ORR along with the cluster development and also the
development of Knowledge Corridor
¾ MOU will be supplemented by a Development Agreement or Contract (the
Development Agreement), all of the terms of which are fully acceptable to
both the parties and executed by the proper and duly authorized officers of
each of the parties hereto, and formally approved by their respective
authorities
¾ In no event shall any matter discussed or proposed in MOU or any other
format become a binding obligation on either party hereto, unless or until the
appropriate Governmental authorities have approved the same, if there is
any need or obligation to seek such approval (s)
¾ MOU shall be in force from the date of signing and shall remain in force for a
period of 90 days (Ninety Days) from the date of signing unless agreed to by
the Parties
¾ Duration of MOU may be extended by mutual consent beyond 90 days if
necessary

Scope of Cooperation between GOAP and Dubai

Government

¾ Development of 165 km of Outer Ring Road (ORR) Project with minimum 8

lanes including interchanges and approach roads along with self contained
satellite townships with the available Government lands
¾ Plan to position the “Knowledge Corridor “ on about 20,000 acres of land or
near thereto ( approximately 9000 acres of net usable area), Townships
¾ Development of Urban Infrastructure in the above projects
¾ Exchange of information and experience in construction industry;
¾ Exchange of experts, researchers and technicians;
¾ Encourage participation in construction-related seminars, exhibitions and
exposition;
¾ Encourage participation by contractors from both countries in international
projects through joint ventures or other arrangements.

Guiding Principles for Development Agreement

¾ The Scope of Co-operation shall be carried out in either country or any places
subject to any subsidiary agreement of arrangement on terms and condition to be
agreed by the Parties
¾ Special Purpose Vehicle(s) “SPVs” will be created either by both the parties or
through their nominees for the purpose of implementing the Scope of Co-
operation and vested with requisite powers in tune with prevailing statute, to plan
and execute the projects proposed
¾ Shareholding pattern of the SPVs shall be decided based upon the requirement
of each of the projects keeping in mind the larger public interest and also the
Public-Private-Partnership (PPP) models being successfully implemented in India
for projects of similar nature
¾ Development Process of the above mentioned projects shall be detailed in the
Development Agreement which will be executed between the parties, which shall
contain such terms and conditions usually or commonly contained in such
transactions, including without limiting the representation and warranties,
covenants, non- completion, confidentiality, protection of intellectual property etc.
¾ Development Agreement shall be concluded within a specified timeframe

Protection of Intellectual and Proprietary Rights

¾ Under MOU each Party shall undertake to observe the confidentiality and
secrecy of any documents, information or data transmitted during the
implementation of this MOU
¾ In the event of termination of this Memorandum of Understanding, the Parties
agree that these provisions shall continue to apply for a period to be agreed
upon between the Parties
¾ Under MOU both the parties shall have exclusive rights over “Project
Technology” which is defined as : all inventions, improvements, discoveries,
designs, data, concepts, ideas, processes, methods, techniques, know-how
and information respecting the ideas conceived, made or executed by either
parties during the course of performing design, engineering, fabrication or
construction under this Agreement, or made or created as the result of the
joint efforts of DUBAI and GOAP pursuant to this understanding.
¾ The term “Project Technology” shall exclude any of parties proprietary
processes used in the design or execution of the project

Termination of MOU

¾ Either Party may terminate this MOU at any time, by giving three (3) months
written notice to the other party.
¾ In the event of termination, the provisions provided hereunder shall remain in
force until completion of any existing arrangements unless otherwise agreed
by the Parties

Public Announcement

¾ Under MOU neither GOAP nor DUBAI shall issue any press release or
other public announcement with respect to the matters covered by this
letter without the prior written consent of the other, provided however, that
this obligation shall not be deemed to prohibit any party from making any
legally or administratively required disclosure
