I. Introduction
iProgrammer is pleased to submit this proposal to Idea Cellular Limited for design and development of
their Idea Sales Mobile Application. We see excellent synergies between us and are excited to be part of
this association.

We respectfully submit the following proposal (valid till July 2016) for your kind consideration.

IV. Best Practices

 Attention to detail at every stage.


 Mobile app would be easy to understand with descriptions to accompany graphics (if necessary)
and additional instructions.
 Overuse of graphics and animations would be avoided.
 The sizes of buttons and icons would be considered as we would have a limited amount of space
on mobile interface and take full advantage of the additional screen area available on tablets.
 Users would be empowered allowing them to choose and control the way their data is collected
and used.
 Always appropriate and up-to-date security measures would be adopted to protect user data.
 User permission would be obtained before accessing device resources like GPS, Accelerometer
etc.
 Text fields would show keyboard according to their functionality on screen.
 Mobile app would make optimum utilization of device memory.
 All applications would notify the user if there’s going to be a long launch time. If the Application
takes longer than five seconds to be ready for use, a progress bar or a message would be
displayed to tell the user what is happening.
 Application would consider the system on which it runs - the network environment - and bear in
mind that it may not be the only application using network features in the phone. By making the
application well behaved in the device, you will achieve a stable and user-friendly application.

Our support team will be available for taking care of all your technical needs. All our clients are also
given the direct contact numbers of each of the resources on the team to reach out to them in case of
any urgency.

VI. Timeline and Commercials

Approximate Timeline

 The approximate turnaround time for this project would be 55-60 days.
*NOTE: The turnaround time depends on timely feedback communication from the Client to/from
iProgrammer.

Payment Schedule

The payment schedule is flexible, however we propose the following:

 All amounts paid in terms of the above schedule shall be non-refundable.


 Any work on the Client server will be done against 100% prepayment.

VII. Assumptions

We have made the following assumptions in preparing this proposal:

 After signoff on the Functional Specification Document (“FSD”)/ Sitemap, any additional material
changes to the project’s design and functionality will be estimated and charged after mutual
agreement. Any material change will be charged at the standard hourly rate of INR 850 + service
tax. Any material change is defined as a change, which requires rework of completed code due
to Client’s lack of response or Client’s changes to the original requirements that necessitates
additional development time and consequential costs to the Contractor.
 Any additional requirements added during the analysis phase will be proportionately charged @
hourly INR 850 + service tax.
 Any third party images, logos, third party paid tools, software, licenses, third party support,
including for hosting the app, databases, etc., if required for the app will be provided and paid
for by the Client. The Contractor will, if the Client requires, assist the Client in selecting these
images, third party tools, licenses, third party support, etc. The Contractor will not be
responsible for any 3rd party or open source scripts, components, images, feeds, etc. Client will

identify a single point of contact for the Contractor who will have executive oversight of the
project and will provide all domain expertise required on this project.
 Client will provide the Contractor with the name(s) of the Client’s proposed webhosting
company, developer account details for the app etc. Whenever the Contractor can, it will
research and notify the Client of any potential problems or conflicts with the hosting needs of
the site/app versus services offered by the proposed hosting company/app platform. However, it
will be the Client’s responsibility to ensure with the hosting company that the services offered by
the hosting company are compatible with the site requirements.
 After receipt of all the outstanding payments, the Contractor will transfer the site to the
webhosting company of the Client’s choice.
 The client shall provide with the Google Play Store account for publishing of the application.
iProgrammer can assist the client procure the same.

VIII. After Launch Maintenance

 The Contractor will perform fifteen (15) calendar days of support and maintenance of the
website/app after the website/app will be made live.
o For security of the website/app, during this period, only the Contractor will have the
access to the code files, database files, & server.
o Before the completion of this period, if Client changes, or recovers the password, the
maintenance period will automatically get terminated.
o During this period, Client will have an access to the Admin panel if any.
 The time for support will start once the Contractor makes the site/app live and tests it there. The
time required for completing any in scope functionality will not be considered as a part of the
support period.
 Client shall report all the bugs/problems during this time.
 Clients can during this maintenance period or afterwards purchase the maintenance packages
provided by the Contractor to get additional work done.
 Project will be considered as signed off automatically after the Contractor has completed the
support period of 15 days and fixed all of the in scope issues. If thereafter, despite the request
from the Contractor, Client has not signed the signoff document within five (5) days after
receiving the request then the Contractor will not give access to the code files, database files, &
server.

IX. Roles and Responsibilities

Contractor

 To ‘work for hire’ basis under the instructions and supervision of the Client, but within the scope of the
project.
 To appoint a Project Manager and deploy a team of professionals, as required, to undertake the
activities related to the execution of the project.
 To make the Project Manager responsible for advising the Contractor team on possible approaches and
Client requirements. To provide feedback to the Client on business-technology overlap issues
pertaining to the project.

 To perform activities, as per the Scope of Work, as defined or re-defined from time to time on a best
effort basis.
 To send to Client daily/weekly status reports or a milestone based progress reports.
 To keep all information, source code, and details completely confidential and secure.
 Upon receipt of the payment from the Client, the Contractor shall not claim any copyrights to the paid
work. The Client alone shall have the copyrights to the paid work, i.e. the source code, the designs or
any other paid work.
 The Contractor will perform fifteen calendar (15) days of complimentary support after the website/app
is live on Client’s server.

Client

 To respond to queries raised by the Contractor’s dedicated project team within two (2) business days
of the Contractor’s request in order for the Contractor to meet the project deadline.
 Project will be placed on hold if no feedback is received from Client for a period of two (2) business
days or greater unless prior intimation has been given.
 To give written approval/acceptance on Basecamp/Pivotal Tracker/Email to each development
milestone before starting the next development milestone. Client shall not unreasonably withhold
approval/acceptance of any milestone.
 To make payments from time to time as agreed herein to the Contractor. Only after receiving payment
of completed milestone, the Contractor will commence the work of next milestone.
 Upon completion of work, Contractor will be entitled to show the website/application/app, etc. in its
portfolio.
 Client should address all the maintenance and maintenance related issues during the complimentary
period of fifteen (15) calendar days. Maintenance or its related issues, if raised subsequent to the
maintenance period, will be charged at the rate of INR 850 + ST per hour.
 Neither party shall be liable to the other for any special, indirect, incidental, consequential, punitive or
exemplary damages that include, but does not limit, lost profit, although such party has knowledge of
the possibility of such damages.
 This agreement shall supersede all earlier oral/written agreements or any other communications
between the parties.

Progress Reporting and Resolution

 Project-related direct communication between Client and Designer/Project Manager/Team


Leader/Team Members will be via Skype/Gmail/GoTo Meeting/Vonage, etc. and Client will be provided
with all relevant IDs and contact details.
 Formal communication and project progress monitoring will be done through PM tool like Basecamp
or Pivotal Tracker.
 All issues will be logged and instantly communicated either by the Client or the Project manager on PM
tool. Any unresolved issues in excess of one working day will call for a direct communication between
the Client and the Project Manager, who will jointly work out an action plan for resolution and that,
will be recorded.
 If the terms of this agreement are not adhered to by either party, the other party may give a notice of
eight (8) days for making good the default. If the other party fails to comply with the notice, this
agreement shall stand automatically terminated.

X. Jurisdiction

 This agreement and the pursuant engagement shall always be subject to Rules and Policies of Pune
jurisdiction.

XI. Acceptance of Agreement
