THE EMPLOYMENT AGREEMENT


This Agreement is made on the 4th of March 2019.

Agreement PARTIES:

(1) “Altain Khuder” LLC (hereinafter referred to as «COMPANY or EMPLOYER COMPANY»), a


company incorporated under the laws of Mongolia having a place of business at Bulgarian Embassy
Building, Olympic Street 8, 1st khoroo, Sukhbaatar district, Ulaanbaatar, Mongolia; and

Mr. IDHAM JAELANI, Ds.Tamasaju,Kec.Galesong Utara Takalar 92255 South Sulawesi, Phone:0822811
16936, Email: idham.jaelani@yahoo.com , Passport№ B5183749 (hereinafter referred to as «EMPLOYEE»), A
citizen of Republic of Indonesia.

The EMPLOYER COMPANY, the EMPLOYEE may each be referred to in this Agreement individually as
a “PARTY” and both as the “PARTIES”.

In consideration of the PARTIES’ promises as set forth in this Agreement, the PARTIES, intending to be
legally bound, hereby agrees as follows:

Interpretation
In this agreement the following terms shall have the following meanings:

“Confidential Information” any trade secret or other information which confidential or commercially
sensitive and which is not in the public domain and which considered
Company secret and belongs to any Group Company (whether stored or
printed in documentary or electronic form) and which (without limitation)
relates to the business methods, management systems, marketing plans,
strategic plans, finances, new or maturing business opportunities,
marketing activities, processes, inventions, designs or similar of any Group
Company, or to which any Group Company owes a duty of confidentiality
to any third party;

“Employment” the employment of the Employee by the Company under the terms of this
agreement;

“Group Company” The Company, its subsidiaries and associates and its affiliated companies
(the parent company);

1. Position Title: The Employee shall be employed as Komatsu PC3000 Electrician (Hereafter
referred to as “Position”).
2. Job Description: The employee will carry out the task specified in the Job Description as it is part
of this agreement. /Appendix 1/
3. Salary
3.1 The base salary of the Employee shall be USD 1600 per month. The Employee salary will be
issued by account of Transport and Development Bank twice a month. The Employee salary
will be calculated from the date of first arrival in Mongolia.
- Advanced payment is calculated from the 16th of the previous month to 30th/ 31st, issued
on the 15th day of next month.
- Last salary is calculated from the 1st of that month to 15th day, issued on the 30th/31th day
of the month.
3.2 The Employee will not receive bonus payment depending on local conditions. The bonus
payment will be issued to the Employee depending on work performance.
- The Employee shall be responsible for all expenses incurred by his family members and
other people in Mongolia.

3.3 If the Company has deducted the Employee's base salary, the grounds shall be explained to the
Employee.
3.4 If the Employee is severely sick Company will only rely on medical result and will be given
paid leave. Paid leave will be maximum of one week per year.
3.5 The Company shall free provide the Employee with the following services. These include:
- International flight tickets except as required by the Agreement
- Transportation cost to the Mine-UB-Mine
- Accommodation, home /at mine/, hotel /in UB/
- Meal /three times a day/
- 2 sets of work clothing, footwear and protective equipment
- Phone SIM card
- Internet / required staff /
- Computer / required staff /
- Laundry /at mine/
- Emergency box
- Medicines prescribed by doctor / pressure, cough, stomachache etc. /
- Room for worship and petition
4. Workplace Condition: Abnormal
5. Place of Work
5.1 The Employee’s place of work will be at Tayannuur Mine Site, Tseel soum, Gobi-Altai
province, Mongolia or such other place within as the Company may require to meet its
business needs and for the proper performance of the Employee’s duties.
6. Employment Agreement Commencement: The Employment shall commence on February 2019
/depending on visa date/ and shall carry on for 3 years unless terminated. Parties will evaluate the
Employment agreement annually.
7. Probation Period:
7.1 The first /3/ months of the Employment shall be a probationary period and the Company may
terminate the Employment at any time during this period on /2/ weeks notice. The Company
may extend period of probation again (up to 3 months) at its discretion.
7.2 In case of termination of employment agreement during the probation period, the Company
reserves the right to deduct all expenses incurred by employee /flight tickets, visa fees, hotel
fees, etc./ from the employee's salary. In the event that the calculated salary is insufficient, the
Company has the right to claim the remaining payment from employee.
8. Working Hours:
8.1 The Employee will work according to schedule of mine operation.
8.2 The Company shall decide every time whether the Employee will rest on Ramadan and
Christmas holiday or not.
8.3 The employee work in /6/ months at the site, /1/ month holiday without salary.
8.4 After 3 months of uninterrupted employments the Employee can make a written request to the
Company for up to 5 days of unpaid vacation offsite. During this time Employee is fully
responsible for their risks that might occur and all of the expenses /transportation,
accommodation, meal, etc. /
9. Occupational safety role:
9.1 To use safety equipment’s provided by the Employer Company properly.
9.2 To understand the laws and regulation of the company and to get involved take necessary
training according to the safety regulations.
9.3 To get direction before work.
9.4 Have the knowledge for risk and danger prevention.
9.5 An employee shall take reasonable precaution to ensure that the workplace, ambient safety and
accidents preventions are maintained before any work is performed. If a situation where the
failure is imminent, cease all work and inform your management.
9.6 Do not put yourself and others at risk.
9.7 Be initiative of your own health, do medical check-ups regularly.
9.8 Employee must follow approved schedule of roster and leave site with only scheduled
transportation provided by the company. If Employee organized own transportation despite the
regulations Company will not be held responsible for any event that happens and the Employee
shall be held 100% accountable.

10. Duties
10.1 Details of the Employee’s duties will be communicated upon commencement of employment.
The Company reserves the right to vary the Employee’s duties from time to time as may be
required by the business.
10.2 The Company and its employees are entitled to the rights and obligations stipulated in the
regulations approved by the company.
10.3 The Employee is obliged not to initiate, organize, or intervene in any form of reprisal, riot,
protest movement or other similar acts against the company in an open or concealed manner.
10.4 The Employee shall not enter into an employment agreement and create relationship to
perform particular task with any third party within the term of this Agreement.
10.5 The Employee has to strictly observe the working hours.
10.6 The Employee must perform the duties specified in this Agreement and the job description as
an external expert. The Employee will be fully responsible for the risk of the work done and
the assignment given by supervisor.
10.7 The Employee has to leave Mongolia as soon as the employment agreement terminates and is
prohibited to violate the visa regime.
10.8 The Employee has the right to require the company to perform its obligations under this
Agreement and all applicable laws.
11. Force Majeure:
11.1 Mining operation suspended temporarily and permanently;
11.2 All types of natural disasters /strong winds, tornado, earthquake, strong waves, flood, heavy
snow fall, lightning strikes, fire etc./;
11.3 Blasts, explosions, machinery, industrial equipment damage, serious electrical damage;
11.4 All forms of restrictions, business entity that wants to be released from liability are stopped,
strike etc.
11.5 In the event of such factors, the Company shall not be responsible for such events as stated
above and may terminate the Employment Agreement.
12. Insurance
12.1 The Employee will be covered by accident insurance provided by the Company; the insurance
fee will be Company’s responsibility. The insurance payment is provided under the terms of
the insurance contract.
12.2 The Employee is covered by health insurance of Mongolia and incase of sickness or illness
the Employee is fully entitled for the percentage provided from the insurance and in severe
cases Employee will be taken to Company contracted “Erkhes Hospital” under the MNUNS.
12.3 If employee who is working at mine site has suffered for up to 3 days (expect dental illness or
cough) the company will be treated at own expense or medicines in the mine hospital, and the
cost of the treatment will not exceed 100,000 / One hundred thousand/ tugrugs. The employee
shall responsible for the costs of the treatment when the disease needs to treated with
medicines and drugs not available in the mine site, and the cost of treatment exceeds the
amount of the contract, treatment period must be extended and illness getting worse.
13. Confidential Information
13.1 The Employee acknowledges that during the Employment he shall have access to and use of

f the Company in writing) directly or indirectly use for his own benefit or the benefit of any

third party or disclose or permit the disclosure of any Confidential Information.
13.3 The
d Employee agrees that he will at all times use his best endeavours to protect the

Confidential Information and prevent the unlawful disclosure or publication of it.
13.4 The
n restrictions on the Employee’s use of Confidential Information shall not apply to:

13.4.1 Confidential Information which comes into the public domain other than in
i consequence of his unlawful disclosure;

13.4.2 Any information which is required to be disclosed by the Employee by order of a court
l of competent jurisdiction or an appropriate regulatory authority or otherwise required
by law.

14.1 During the Employment the Employee shall not undertake any paid or unpaid work for any
other company, firm or organisation without the written approval of the Company.
15. Termination of employment
15.1 The Employee may terminate the Employment by giving 2 weeks’ written notice to the
Company.
15.2 The Parties may mutually agree to terminate the Agreement.
15.3 In terms of this agreement the Company may summarily dismiss an employee without notice
if the Employee willfully disobeys a lawful and reasonable order, is habitually neglectful in
his duties, is considered incompetence, caused damage to the Company, is guilty of fraud or
dishonesty, threatens the norms of public interest in relation to his employment.
15.4 In the terms of the agreement the Employee initialy terminated his employment agreement,
the Company terminated agreement as mentioned above in 9.3, or if terminated during
probation period the Company shall deduct all the costs of the Employee’s employment in
Mongolia and termination of employment or shall claim from the Employee if his salary is not
sufficient.
15.5 If the employment agreement terminates due to other circumstances than health, family, visa
issues or deemed justifiable reason by the Company, the Parties to the Agreement must
mutually agree and resolve.
15.6 The Employee shall hand over the accountable duty and property to the Company when
employment agreement terminates.
16. Serious offences leading to immediate termination of the Agreement: The Company and
Employee agree to presume the following offences as “Serious Offences”, and the Company :
16.1 Any license required to perform it duties are suspended or revoked (example drivers
license);
16.2 Be absent from work for 3 or more days without justifiable reasons not notifying
Company and obtaining its permission in advance;
16.3 Working at a different company without Company’s permission;
16.4 Doing others work without proper permission and causing damage to self and others,
transferring equipment to others;
16.5 Gambling at work or at camp;
16.6 Being disrespectful or mentally, physically, sexually harassing company employee or its
contractors;
16.7 Any action or omission causing damage to Company’s business reputation;
16.8 The Company’s property and assets, intangible assets to be transferred, destroyed,
personally used, sold or distributed or attempted to;
16.9 Excessive use or abuse of authority, to fulfill self or 3rd party’s need, affect Company’s
interest to create self-advantage or omission;
16.10 Receive payment or in connection to others;
16.11 Company confidential information, Employee who signed confidentiality Employment
Agreement disclosed the information;
16.12 Spreading false information regarding Company’s business operations, made false
document;
16.13 Intentional and unintentional acts leading to damaging responsible equipment or others
equipment or 3rd party equipment;
16.14 Company internal regulations, breach of regulations, neglecting duties, wrongly
assigning work or given wrong instructions, made wrong decisions, for not doing job
responsibly and caused material or immaterial damage to the Company;
16.15 Not fulfilling responsibility correctly, not performing as per Employee Agreement,
violation that may adversely affect the Company’s legal rights and personal interest that
caused loss to the Company;
16.16 To give forged documents under the name of employment, take leave, diploma,
certificate, work experience, petition;
16.17 Without the permission of the Company make trade or make sale;
16.18 While working, non-working hours while on camp, rest area, on Company’s vehicles or
3rd party flights, when returning home using alcohol, drugs, psychotropic drugs,

substance or working under the influence or attempted to access workplace, camp area,
rest area while under the influence;
16.19 Drink alcohol, use drugs, psychotropic drugs, stored and distributed;
16.20 The following violations have been made in any place of work or resting place, camps,
returning to camp, any transportation, industrial zones during the course of the
assignment, or on duty, at work or in other places;
16.21 Verbally abuse others, scream, fights, dispute, use force, threaten to use force and being
disrespectful to others, disturbing the peace, misdoing or attempted;
16.21.1 Carry or use any weapon or items qualifying a weapon (including firearms, knives,
explosives, and toxic and hazardous substances) at work premises, or vehicles of
the Company, and in/on the project site, buildings, facilities and structures, areas
and territory owned, possessed and/or used by the Company or while on business
trip;
16.21.2 To leave responsible tools unattended, use others, to own, spend parts, obtain
inventory without permission, use and created the possibility to destroy;
16.22 Being wasteful, breaking before set date for machinery, equipment that are responsible
for;
16.23 Neglecting its duties, making rash, improper decisions and giving wrong assignment and
instructions resulting in material and non-material damages to the company;
16.24 Violating safety relations at workplace;

17.1 The Employee shall be subject to the Company’s policies. The Company shall present the
policies to the Employee,
18. Data Protection
18.1 The Company and Group Company may hold and process the Employee’s personal data
relating to the Company’s future goal, operation for administration and management purpose.
19. Accountability and disciplinary sanctions
19.1 The Company shall impose a disciplinary sanction provided by the Law on Labor and
Institutional regulation, taking into account the extent of the employee's guilt in the violation
of the obligations specified in the company's relevant rules and regulations.
19.2 If the Company’s property have damaged due to the Employee’s wrongful misconduct or
negligence, shall be fully liable for any disciplinary, administrative or criminal liability.
19.3 In event of the Employee’s damage to the Company, his property or third party’s as
infringement to the Agreement, the Employer may terminate the employment agreement in
accordance with the terms of this Agreement and the Employee will be subject to the law for
all direct and indirect consequential liabilities of his violation to this agreement.
19.4 If missed scheduled flights, tours or didn’t take the itinerary without any justifiable reason
flight fees will be deducted from the Employee’s salary as a remedial action.
20. Participation of Agreement
20.1 The Company, the Employee and the Company acknowledge and agree that the provisions of
this agreement set out the entire agreement and understanding between them and that it
supersedes all prior discussions, arrangements or agreements that might have taken place in
relation to the Employment.
21. Comply legislation and dispute resolution
21.1 This agreement shall be governed by and construed in accordance with the laws of Mongolia.
21.2 Each of the parties irrevocably submits for all purposes in connection with this agreement to
the exclusive jurisdiction of the courts of Mongolia.
22. Validation of Agreement
22.1 This Agreement shall become effective and valid once the Parties have signed it.
