MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement entered by and between:

PRIME WORLDWIDE PAPER PACKAGING CORPORATION, a company duly organized and


existing under and by virtue of the laws of the Republic of the Philippines, with business address at
Tullahan Road, Caloocan City, represented by its Production Controller/Engineering Department Head,
ENGR. JESSA RICA PAMINIANO, hereinafter referred to as “PRIME”.

-and-

PAMANTASAN NG LUNGSOD NG MAYNILA, a University created by virtue of Republic Act No.


4196, now known as “The University Charter” through its constituent university at Manila, with official
address at Gen. Luna cor. Muralla St., Intramuros Manila, 1002, Philippines, represented herein by its
College of Engineering and Technology Dean, ENGR. CLYDELLE M. RONDARIS, hereinafter
referred to as “PLM”.

Witnesseth: That

WHEREAS, PRIME, to enhance the knowledge, skills, and values of prospective professionals, is
seeking the cooperation of PLM to become a partner by way of an Industry Internship Program
whereby the chosen students of PLM College of Engineering and Technology will be interns of PRIME
in the form of actual exposure and immersion in the various departments or units of PRIME.

WHEREAS, PRIME has instituted the Industry Internship Program, under which selected students of
the PLM College of Engineering and Technology shall undergo a training at PRIME as part of the
PRIME’s effort to adequately expose the said students to actual work situations, and to enable them to
acquire the necessary knowledge, skills, attitudes, and values under the paper industry.

NOW, THEREFORE, for and in consideration of the foregoing premises, PRIME and PLM do hereby
agreeand stipulate the following:

A. PRIME shall:

1. Undertake the selection process of the recommended students in adherence to PRIME policies
and guidelines in recruitment and selection for this purpose;
2. Accept qualified PLM College of Engineering and Technology students in
Chemical/Civil/Mechanical/Electrical Engineering as interns as may be needed by PRIME for its
Industry Internship Program;
3. Ensure that students undergo training related to their course, and provide the student interns with
work or activities that are relevant varied and challenging;
4. Assign an immediate supervisor who will monitor and discuss the performance of the student
interns, at the end of the training proper, for the duration of the internship;
5. Ensure a safe and conducive working environment for the student interns;
6. Deploy the students to different operating units, provided they are able to accomplish the tasks
and responsibilities deemed necessary by PRIME;
7. Conduct an orientation for the student interns on PRIME’s rules and regulations, safety
protocols, PRIME’s existing Code of Conduct, and policies governing the Industry Internship
Program in its premises before the start of the internship. Said rules and regulations shall be
submitted to PLM and its students before the start of the Industry Internship Program, as non-
compliance shall be grounds for exclusion of the student interns from further participation;
8. Provide the student interns with the following:

8.1 Materials and tools necessary to fulfill their tasks for the Industry Internship Program,
including the required uniforms, safety shoes and other personal protective equipment, if
necessary;
8.2 A service vehicle, if necessary (e.g., company plant location is out of Metro Manila), with
designated pick-up points and schedule of departure /arrival each day;
8.3 In case of emergency, free medical check-up (c/o PRIME clinic) and initial dose of needed
medicine.

9. Issue Certificates of Internship to the student interns upon fulfillment of all internship activities
and tasks.

B. PLM shall:

1. Recommend to PRIME, a list of top performing students who are willing to undergo the Industry
Internship Program at PRIME, taking into consideration the requirements of the program and of
the PRIME in terms of qualifications and number of students required;

2. Designate an Internship Coordinator who will be assigned with the following duties and
responsibilities:

2.1 Submit to PRIME the documents required for the Industry Internship Program;
2.2 Designate a faculty coordinator and/or faculty adviser who will coordinate with PRIME on
the various activities under this program;
2.3 Inform PRIME, through the faculty adviser or coordinator, other matters related to the
internship;
2.4 Together with the students, faculty, and parents concerned, renounce and waive any claim
against PRIME for any injury or loss that the student intern may sustain or may suffer,
personal or pecuniary, in the performance of their duties and functions while under training
not attributable to the negligence or willful act of any of the personnel of PRIME. The
waivers of the concerned parties shall be submitted to PRIME prior to the commencement of
the training; and
2.5 Subscribe to the guidelines set forth in the Industry Internship Program.

C. Under this Memorandum of Agreement, the following terms and conditions are likewise agreed
upon:

1. It is expressly understood that there will be no employer-employee relationship between PRIME


and the student interns of PLM;

2. The Industry Internship Program at PRIME will be for a minimum of 240 hours following the
work schedule of PRIME, or as agreed by PRIME and PLM;

3. It is agreed and understood that all records and documents of the PRIME and all information
pertaining to its business or affairs are strictly confidential. PLM shall cause the student interns
to obligate themselves that they shall not disclose confidential information at all times even after
the Industry Internship Program has ended, and prevent transfer of such confidential information
to any party outside of PRIME without the knowledge and written consent of PRIME with
concomitant obligation for damage that the said unwarranted disclosure to other person/s or
entity/ies might cause to PRIME;

4. Documents and properties in the custody, possession, or control of student interns shall be
immediately surrendered to PRIME, if requested during the training period, and without need of
such request, upon the termination of training.

5. Together with the student interns, PLM renounces and waives any claim against PRIME for any
injury that the student interns may sustain or loss that they might suffer, personal or pecuniary,
arising from the student interns' own fault or negligence in the performance of their duties and
functions while undertaking the Industry Internship Program or due to acts or omissions of third
parties or force majeure events. Further, PLM and the student interns agree to hold PRIME free
and harmless from any injury or loss not attributable to PRIME that the student interns may
cause to third-parties during the course of the internship;

6. The student interns shall abide by PRIME’s rules and regulations and comply with those
stipulated for theIndustry Internship Program; otherwise, they shall be excluded from further
participation;

7. PRIME, after a written notice to PLM, may discontinue the Industry Internship Program at any
time, for any cause,

8. PLM may pull-out any student interns from PRIME on reasonable grounds after a written notice
to PRIME.

9. PLM has permission to advertise PRIME as an industry partner in its promotional materials.

D. Effectivity and Exclusivity:

This Memorandum of Agreement shall hold for the duration of the 2018 – 2019 Academic School
Year of PLM and shall remain in full force and effect between both parties for two (2) years. It shall
be reviewed on a year-to-year basis unless either party gives notice of its intention to terminate this
Agreement at least thirty days (30) before the intended termination date.

IN WITNESS WHEREOF, the parties hereto have signed these presents on this _______ day of
