GUEST PERFORMER RELEASE

Participation: This release is made to allow ‘VICE India’ (Juventud Digital Media Pvt Ltd, a company incorporated under the provisions of the
Companies Act, 2013, having its registered office at Trade House, 1st Floor, Kamala Mills Compound, Senapati Bapat Marg, Lower Parel, Mumbai,
Maharashtra- 400013, India , (which expression shall mean and include its affiliates, successors in interest and permitted assigns, together with its
affiliates, subsidiaries, licensees, and assigns) (collectively, the “Producer”) to include me as a Guest Performer in the project tentatively entitled
‘___________________________________________________________________’ (the "Project"). I am giving this release in consideration for
Producer allowing me to participate as a guest performer in the Project and I recognize that my signature on this release is a condition of Producer
permitting me to be a guest on or a performer in the Project or both. I agree that Producer may tape and photograph me and record my voice and
conversation including quotes, paraphrases, sounds, and any performance of musical composition(s), for use in and in connection with the Project
(the "Performance"). I also understand and agree that this Project is a non-guild production and there will be no residual or any other type of payment
due in connection with my Performance.

Copyright. I agree that Producer shall be the exclusive owner of all copyright and other rights in and to the Project and Performance and will be able
to use them in perpetuity, throughout the world, and to license others to use them, in any manner Producer wishes and in any and all mode, media
and format now known or hereafter discovered or developed.

Use of Likeness. I further irrevocably agree that Producer may use and license others to use the Performance or excerpts there from, and my name,
voice, likeness and any biographical facts which may have been provided to Producer, in the Project, and in any related or derivative versions and/or
uses of the Project (including, without limitation, any serialization(s), translation(s) and/or adaptation(s) thereof), and in the advertising, marketing and
promotion of the Project and/or Producerin all mode, media and format, including but not limited to merchandising of the Project, its related products,
sponsor(s) of the Project, and/or Producer. I confirm that, to the best of my knowledge any statements made by me during the Performance will be
true and will not violate or infringe upon any third party's rights. Licensor hereby expressly waives any “moral rights” that may be afforded to Licensor
under the laws of India or any other jurisdiction throughout the world in connection with my Performance or its use in the Project.

Release. I hereby agree not to sue and irrevocably and unconditionally release, waive and forever discharge Producer, its past, present and future
parents, subsidiaries (whether or not wholly-owned), affiliates, divisions, agents, representatives, employees, successors, licensees, distributors,
sponsors, agencies, and assigns, jointly and individually (hereinafter collectively referred to as “Releasees”), from any and all manner of liabilities,
claims and demands of any kind or nature, whatsoever, in law or equity, whether known or unknown, which I (or my assigns, agents and/or
representatives) ever had, now has, or in the future may have against the Releasees, including, but not limited to claims arising out of or related to the
uses described herein, the Project, the Performance, and/or my decision to perform the Project and/or Performance. I further agree that I shall be
liable for any attorneys’ fees and costs incurred by Producerin connection with any claim or lawsuit brought in violation of this agreement. In no event
shall I have the right to enjoin the development, production or distribution or exploitation of the Project.

Miscellaneous. Producermay transfer and assign this agreement or all or any of its rights or privileges hereunder to any entity or individual without
restriction. This release shall be binding on all of my successors-in-interest and heirs.

Dispute Resolution. This Agreement shall be governed by Indian law and will be subject to the sole and exclusive jurisdiction of the Courts at New
Delhi. Subject to the above, all doubts, differences, disputes, controversy or claims arising from, out of or in connection with this Agreement, or in the
interpretation thereof shall be first settled through negotiation/conciliation between the Parties. If such negotiations do not lead to a settlement within
15 days of notifying the dispute in writing, it shall be finally resolved by arbitration by a Sole Arbitrator (to be mutually nominated by the Parties) in
accordance with the provisions of the Arbitration and Conciliation Act, 1996 (as amended) failing which such Sole Arbitrator shall be appointed in terms
of the Arbitration and Conciliation Act, 1996 (as amended). The venue of arbitration shall be New Delhi. The arbitration shall be conducted in the
English language. Notwithstanding anything herein contained, nothing in this Agreement will prevent Producer from approaching the Courts at New
Delhi for specific performance of the terms of this Agreement or any other equitable remedy, which will be wholly without prejudice to any other remedy
that the Producer may wish to pursue.

grant and release contained therein binds us and said minor to all of the terms thereof.
