São Paulo, 30 de abril de 2019 - A Cyrela Commercial Properties S.A. Empreendimentos e Participações (B3: CCPR3) (“CCP” ou
“Companhia”), uma das principais empresas de investimentos, locação e venda de propriedades comerciais do Brasil, anuncia
seus resultados referentes ao primeiro trimestre de 2019. Os resultados ora apresentados devem ser lidos acompanhados das
Demonstrações Financeiras e Respectivas Notas, publicados pela Companhia nesta data.

Eventos Subsequentes
Em abril, a Companhia emitiu a sua décima primeira Emissão de Debêntures simples, não conversíveis em ações, da
espécie quirografária, da Companhia, o valor total será de R$ 300 milhões. A Emissão será realizada em até 2 (duas)
séries, no sistema de vasos comunicantes, sendo que a quantidade de séries e a quantidade de Debêntures emitidas
em cada série será definida conforme o Procedimento de Bookbuilding. As Debêntures da Primeira Série terão prazo
de vencimento de 3 (três) anos contados da respectiva data de emissão, vencendo-se em 15 de maio de 2022, com
juros semestrais e amortização bullet. As debêntures da Segunda Série, terão prazo de vencimento de 5 (cinco) anos
contados da respectiva data de emissão vencendo-se em 15 de maio de 2024, com juros semestrais e duas parcelas
de amortização em 15 de maio de 2023 e 15 de maio de 2024.

As análises realizadas nesta seção referem-se a dados exclusivamente gerenciais, sem considerar efeitos de
consolidação contábil, quando aplicável.
A ocupação física do portfólio da CCP, calculado como o total de espaço ocupado sobre o total de espaço disponível
para locação, ficou em 92,2% no 1T19. Já a ocupação financeira da CCP, calculada como receita potencial auferida
nas áreas ocupadas sobre a receita potencial do portfólio, ficou em 92,5% no primeiro trimestre de 2019. No 1T18
estes itens eram 85,9% e 90,5%, respectivamente.

O aumento das taxas de ocupação física e financeira no segmento de edifícios corporativos no primeiro trimestre de
2019, de +1,9 p.p. e +1,4 p.p. respectivamente, se deve pela performance do Miss Silvia Morizono, que só possui um
andar e meio vago.
A taxa de ocupação dos edifícios tende a aumentar visto que os mercados de São Paulo e Rio de Janeiro tem
demonstrado melhora na absorção líquida e também pelo baixo risco de desocupação dos empreendimentos já que
somente 8,2% das receitas de aluguel vencem em 2019.

A taxa de ocupação dos shoppings da CCP continua crescendo a cada trimestre. A ocupação física dos shoppings teve
aumento de 1,2 pontos percentuais, enquanto a ocupação financeira cresceu 0,6 p.p.
O aumento da taxa de ocupação física e financeira dos shopping centers no 1T19 ocorreu principalmente pela
melhora dos Shoppings D e Cerrado, que reduziram consideravelmente as áreas vagas nesse último ano. Nesse
sentido, cabe destacar que o Shopping Cerrado reduziu 10 pontos percentuais de vacância física e financeira.

No 1T19, as vendas nos shopping centers em que a CCP participa atingiram R$ 740 milhões, com variação positiva
de 9,0% sobre as vendas contratadas do mesmo trimestre do ano anterior, excluindo as vendas do Parque
Shopping Belém que foi vendido no 2T18. O crescimento das vendas foi devido principalmente a performance dos
Shoppings Grand Plaza e Cidade São Paulo.

Os shoppings centers da CCP receberam aproximadamente 2,8 milhões de veículos nos estacionamentos durante o
primeiro trimestre de 2019, apresentando um aumento de 10,6% em relação ao mesmo trimestre de 2018,
excluindo o fluxo do Parque Shopping Belém que foi vendido no 2T18.

As análises realizadas nesta seção referem-se a dados exclusivamente contábeis, com consolidação de acordo com
os critérios do IFRS, exceto onde expressamente indicado.
A Receita Bruta da CCP no 1T19 foi de R$ 117,7 milhões, registrando um aumento de 6,3% em relação ao mesmo
trimestre do ano anterior. A receita de locação de edifícios corporativos aumentou 9,1% no 1T19, refletida pelo
aumento da ocupação física e financeira do segmento.

3.2 Custo
Os custos recorrentes de locação e serviços prestados no 1T19 foram de R$ 39,6 milhões, valor 3,5% superior aos
custos registrados no 1T18. Considerando só os custos com locação, houve uma queda de 0,6% dos custos no 1T19.

O NOI da CCP no 1T19 foi de R$ 83,7 milhões (+10,3% vs 1T18). A Margem NOI no 1T19 aumentou 3,2 p.p quando
comparado ao 1T19, atingindo 89,6% de margem.

No 1T19 foi apurada uma despesa financeira de R$ 37,9 milhões, 7,1% inferior à registrada no 1T18. Essa variação foi
devida a renegociação de dívidas e do trabalho de liability management.

As operações controladas pela CCP registraram no 1T19 o lucro líquido de R$ 17,8 milhões, enquanto no 1T18
registraram um lucro de R$ 21,3 milhões. O lucro líquido atribuído a participação da CCP no 1T19 foi de R$ 3,2
milhões.
O FFO ajustado no primeiro trimestre de 2019 teve uma variação positiva de 33,5% quando comparado ao 1T18,
atingindo R$ 30,9 milhões. A margem FFO ajustada no 1T19 foi 27,5 %, valor 5,4 p.p. superior ao registrado no
primeiro trimestre de 2018.

No 1T19, o EBITDA Ajustado foi de R$ 77,2 milhões, representando um aumento de 20% em relação ao primeiro
trimestre de 2018. A margem EBITDA Ajustada no 1T19 foi 68,7%, valor 7.2 p.p superior a margem registrada no
1T18.
O EBITDA sem o resultado da Park Place, empresa que administra os estacionamentos dos edifícios comerciais e
shoppings, registrou uma margem de 78,6% no 1T19, representando um aumento de 9,9 p.p quando comparado
com o EBITDA Ajustado. Esse efeito é decorrente do repasse da receita dos estacionamentos aos empreendimentos.

A CCP encerrou o primeiro trimestre de 2019 com o caixa (disponibilidades e aplicações financeiras) de R$ 336,5
milhões, representando 9,6% dos ativos totais.
Endividamento (IFRS)
A dívida líquida da CCP totalizou R$ 1.325,8 milhões ao final do 1T19, montante 1,2% superior ao valor registrado ao
final do 1T18. A redução da Dívida Líquida/EBITDA UDM foi devido ao aumento do EBITDA, refletindo a maior
eficiência das operações da CCP

Ao final do 1T19, a CCP possuía 5 dívidas corporativas e 4 financiamentos contratados. A Companhia não possui
endividamento denominado em dólar. A seguir segue detalhamento dos financiamentos:
Aproximadamente 41% dos instrumentos de dívida da CCP estão denominados em TR, o que possibilita à Companhia
prazos mais longos de repagamento.
Com relação ao perfil da dívida, a CCP tem um endividamento de longo prazo, a fim de ajustar com o fluxo de caixa
dos projetos em maturação.

Em 31 de março de 2019, o capital social era de R$ 799,8 milhões, representado por 119.663.612 ações ordinárias
nominativas distribuídas entre grupo controlador e investidores em bolsa de valores (free float). O Patrimônio
Líquido da Companhia encerrou o trimestre com R$ 1.048,6 milhões.

Sustentabilidade
Em 2007, a CCP tornou-se membro fundadora do Green Building Council Brasil (GBC Brasil), instituição que
promove a construção sustentável no país e apoia a transformação de toda cadeia produtiva do setor.
Todos os empreendimentos administrados pela CCP atendem a rigorosos critérios de responsabilidade
socioambiental, sendo que vários desses empreendimentos estão comprometidos com a obtenção e
manutenção da certificação LEED (Leadership in Energy and Environmental Design), conferido pelo U.S.
Green Building Council (USGBC) e reconhecida mundialmente como parâmetro de mensuração para
construções com baixo impacto ambiental e que asseguram condições saudáveis de ocupação.
Sobre a CCP
A CCP é uma das principais empresas de locação, aquisição, venda, desenvolvimento e operação de
imóveis comerciais do Brasil. Tem foco nos segmentos de edifícios corporativos de alto padrão e
shopping centers, com investimentos nos estados de São Paulo, Rio de Janeiro, Minas Gerais, Goiás e

Subsequent Events
In April, the Company issued its eleventh issue of simple, non-convertible debentures, unsecured, the total amount
totaling R$300.0 million. The Issue will be performed in up to 2 (two) series and the number of series and the
number of Debentures issued in each series will be defined according to the Bookbuilding Procedure. The
Debentures of the First Series will have a maturity of thirty-six months, as of its issuance date, maturing on May 15,
2022, with semi-annual interest and bullet amortization. The debentures of the Second Series will have a maturity of
sixty months, as of its issuance date, maturing on May 15, 2024, with semi-annual interest and two amortization
installments on May 15, 2023 and May 15 of 2024.

The analyses in this section refer exclusively to managerial data and do not consider the effects of accounting
consolidation, when applicable.
The physical occupancy of CCP’s portfolio, calculated as the total occupied area over the total leasable area, was
92.2% in 1Q19. Meanwhile, CCP’s financial occupancy, calculated as potential revenues from occupied areas over
potential revenues of the portfolio, stood at 92.5% in 1Q19. In 1Q18, these figures were 85.9% and 90.5%,
respectively.

The physical and financial occupancy rates in the office building segment increased 1.9 p.p. and 1.4 p.p.,
respectively, in 1Q19, due to the performance of the Miss Silvia Morizono building, which has only half a floor of the
building vacant.
The occupancy rate of the buildings tends to increase, due to the improvement in the net absorption of the São
Paulo and Rio de Janeiro markets and the properties’ low vacancy risk, as only 8.2% of leasing revenues mature in
2019.

The occupancy rate of CCP’s shopping malls continues growing every quarter. Physical occupancy increased by
1.2 p.p., while financial occupancy grew 0.6 p.p.
The increase in the shopping malls’ physical and financial occupancy rates in 1Q19 was essentially due to the
improvement of Shopping D and Shopping Cerrado, which have substantially reduced vacant areas this year.
Accordingly, it is worth noting that Shopping Cerrado’s physical and financial vacancy rates fell 10 p.p.

Contracted sales in the shopping malls in which CCP holds an interest totaled R$740 million in 1Q19, up 9.0% from
1Q18, excluding Parque Shopping Belém, which was sold in 2Q18. Sales growth was mainly fueled by the
performance of Shopping Grand Plaza and Shopping Cidade de São Paulo.

3. Financial Performance
The analyses in this section refer exclusively to accounting data consolidated in accordance with IFRS criteria,

CCP’s gross revenues totaled R$117.7 million in 1Q19, up 6.3% from 1Q18. The leasing revenues of the office building
segment increased by 9.1% in 1Q19, as a result of higher physical and financial occupancies in the segment.

First-quarter adjusted FFO increased by 33.5% from 1Q18, to R$30.9 million, with an adjusted FFO margin of 27.5 %,

Adjusted EBITDA totaled R$77.2 million in 1Q19, up 20% from 1Q18. In 1Q19, adjusted EBITDA margin came to
68.7%, up 7.2% from 1Q18.
Excluding the results from Park Place, the company that manages the parking lots in office buildings and shopping
malls, the EBITDA margin was 78.6% in 1Q19, up 9.9 p.p. from the Adjusted EBITDA figure. This effect was a result of
the transfer of revenues from the parking lots to CCP’s properties.

CCP closed 1Q19 with cash, cash equivalents and financial investments of R$336.5 million, equivalent to 9.6% of
total assets.
Indebtedness (IFRS)
CCP’s net debt totaled R$1,325.8 million at the close of 1Q19, up 1.2% from 1Q18. The decrease in the net debt/LTM
EBITDA ratio was due to an increase in EBITDA, reflecting the greater efficiency of CCP’s operations.

denominated debt. The financing lines are broken down as follows:
Approximately 41% of CCP's debt instruments are indexed to the reference rate (TR), which allows the Company to
have longer repayment terms.
The Company has a long-term debt profile, designed to match the cash flow of maturing projects.

In 2007, CCP became a founding member of the Green Building Council Brasil (GBC Brasil), an institution
that promotes sustainable construction in the country and supports the transformation of the sector’s
entire production chain. All projects managed by CCP meet strict social and environmental responsibility
criteria, and several of these projects are committed to obtaining and maintaining LEED (Leadership in
Energy and Environmental Design) certification, granted by the U.S. Green Building Council (USGBC),
globally recognized as a benchmark in the evaluation of constructions with low environmental impact which
ensure healthy occupation conditions.
About CCP
CCP is one of Brazil’s leading companies in the leasing, acquisition, sale and management of commercial
real estate. It focuses on triple-A office buildings and shopping malls, with investments in the states of

Exhibit 2 – Glossary
Adjusted FFO: Adjustments made to the FFO in the period to exclude revenues from property sales in the period.
CAPEX: Capital Expenditure. It is the estimated amount of funds to be disbursed for the development, expansion or improvement
of an asset.
CCP: Cyrela Commercial Properties S.A. Empreendimentos e Participações.
EBITDA (Earnings Before Income, Tax, Depreciation and Amortization): Net result for the period plus income tax, net financial
expenses from financial income, depreciation, amortization and depletion, in accordance with the calculation methodology
established by CVM Rule 527/12. Non-accounting measurement that assesses the Company’s capacity to generate operating
revenues, without considering its capital structure.
EBITDA Margin: EBITDA divided by Net Revenue.
FFO (Funds From Operations): FFO (Funds from Operations): non-accounting measurement that adds depreciation, goodwill
amortization, non-recurring gains/losses, and income from stock option plan back to the net income to calculate, through the
income statement, the net cash generated in the period.
Financial Vacancy: It is estimated by multiplying the lease price per square meter that could be charged by the respective vacant
areas, divided by the potential monthly rent of the property as a whole. Subsequently, the percentage of the monthly revenues
that was lost due to portfolio vacancy is calculated.
Key Money or CDU: Payment for Usage Rights (CDU) is payable by tenants in exchange for the technical infrastructure provided
by the shopping malls. Especially in the launch of new projects, expansions or when a store is repossessed for nonpayment or
negotiation, the new tenants pay for the right to use the commercial sites in the shopping malls. These amounts are negotiated
based on the market value of these sites, with the sites with greater visibility and higher customer traffic being the most valuable.
Law 11,638: Law 11,638 was enacted with the purpose of including publicly held companies in the international accounting
convergence process. Thus, a few financial and operating results were impacted by certain accounting effects due to the changes
arising from the new law.
Loan to Value: a financial indicator which compares the loan amount with the value of the guarantee offered.
LTM: Last twelve months. It refers to the figure for the last twelve months.
NOI (Net Operating Income): Net revenues excluding revenues from services and property sales and direct expenses in the
projects.
Own GLA: Total GLA multiplied by CCP’s interest in each shopping mall and distribution center.
Physical Vacancy: It is estimated by dividing the total vacant areas by the total GLA of the portfolio.
SSR – Same Store Rent: the variation in billed rent of shopping malls, verified only in the stores where there was no change in
operator or area between the two periods.
SSS – Same Store Sales: the variation in contracted sales of shopping malls, verified only in the stores where there was no change
in operator or area between the two periods.
Total GLA: Gross Leasable Area, consisting of the total areas in distribution centers and shopping malls available for lease (except
for kiosks).
TR: reference rate (TR) is an indicator disclosed monthly by the Brazilian Central Bank, calculated based on the average monthly
remuneration of deposits or financial investments.
