TERMS & CONDITIONS OF SALE

1. PRICE:
Prices indicated are Ex-works Nangloi – New Delhi. The current rate of Taxes 18% GST.
2. PACKING:

3. PAYMENT:
30% advance, along with Purchase Order.
70% against Performa Invoice after inspection at our works.
4. FREIGHT :
Machine will be dispatched by road on freight to pay basis through any reputed transporter. The Company
shall not be held liable for any loss or damage of whatsoever nature, if any, caused as a result of delay in or
failure of delivery. It will be incumbent upon the Buyer to take delivery of the equipment/machinery within 15
days of the date of intimation sent to the Buyer at the last known address.
5. PROPOSAL VALIDITY:
This proposal will remain in effect for 30 days unless changed in the interim by written notice from us.
6. DELIVERY:
Within 6 to 8 weeks from the date of receipt of technically & commercially clear order with advance payment.
7. INSURANCE :
Transit insurance to be arranged by you at your cost. However, if required the same can be arranged by us and
the necessary bills will be passed on to you.
8. LIMITATION OF LIABILITY UNDER WARRANTIES AND EXCLUSION OF LIABILITY FOR
AND INDEMNITY AGAINST CONSEQUENTIAL LOSS:
a) The Company warrants that the machines and equipment will at the time of delivery be free from defects
due to faulty materials or bad workmanship. Provided that in the event of any breach by the Company being
satisfied that the machine or ancillary equipments have been adequately maintained and that the defects have
been arisen solely through faulty workmanship or material shall be to replace or repair the defective part or
parts free of charge at its option. However, the applicable duties and taxes will be paid by the buyer. This
warranty clause would be applicable for a period of 12 months from the date of the equipment/machinery is
said to be ready for delivery.
b) In case of parts of machine/or any ancillary equipment manufactured by other companies but used as one of
the parts in the machinery supplied by the company to the Buyer, the Company shall be liable only to the
extent such guarantee or warranty prescribed by such companies and shall be under no obligation to give any
independent guarantee or warranty of its own in respect of such part or parts supplied by other companies to
the Company and used in the manufacture machinery supplied to the Buyer
(c) Provided always that if the Buyer makes, causes or allows any alterations or repairs to the Company’s
machines or ancillary equipment or parts, thereof without the Company’s consent or if the defect in any
machine is due to negligence or improper handling by the Buyer or to any other cause outside the Company’s
control, then the Company shall be released from any responsibility or liability under sub-clauses (a) and (b)
above.
d) All other conditions and warranties whether express or implied by statute or custom of the trade or
otherwise and whether as to quality condition performance merchantability fitness for any purpose or
otherwise are expressly excluded and subject only to paragraphs (a) to (c) above, the Company shall be under
no liability whatsoever in contract or in tort for or in respect of any loss or damage (including illness,
personal injury or death) whatsoever resulting from or arising out of the goods or any defect therein or the
supply or use thereof whether caused by the company's negligence or otherwise and the buyer indemnify the
company against all claims and expenses arising from or incurred by reason of any loss, injury or damage so
sustained by the Buyer or any third party.

9. PERFORMANCE, WEIGHT, MEASUREMENTS AND POWERS: Although carefully computed, must
be considered approximate only and are not guaranteed.
10. INSTALLATION AND COMMISSIONING:
We shall depute our technical staff to supervise to erection and commission of the plant if required on your
site. You will ensure availability of required raw material, air, water and power Connections and any other
utilities and provide necessary tools, lifting equipment, material and Skilled/unskilled manpower etc. to carry
out commissioning smoothly and if required some necessary tools. They will put the machine in operation and
explain about maintenance/operation to your staff.
We will depute our service engineer(s) to commission the machine on your request and after the sight readiness
intimation received from your end. You have to arrange To & Fro Ticket + Fooding, Lodging & Boarding +
Local transportation.
No service charges other than those mentioned above would be levied for the first four days stay of
supervisory or technical personnel. For a period beyond four days service charges at the rate of Rs.500/- per
day would be payable by the Buyer.
11. CLAIMS FOR NON-DELIVERY AND ACCEPTANCE OF GOODS:
(a) All claims for non-delivery of any consignment shall be made in writing to the Company and any carrier
engaged by the Company within seven (7) days after the date of the Company’s invoice.
(b) The Buyer shall be deemed to have accepted the goods as being in accordance with the order unless
notification of non-compliance or defects is received by the Company within 7 days of receipt of goods by the
Buyer.
12. ILLUSTRATIONS, DRAWINGS, SPECIFICATIONS, ETC.:
The leaflets and drawings brought out by the Company, if any and sent to the Buyer, along with the quotation
are intended only to present general description of the equipment/ machinery and the same cannot be
considered as binding on the Company.
13. CANCELLATION OF ORDER:
Orders once placed will not be later cancelled by the buyer for any reason whatsoever. In case of cancellation
of the order, the entire amount of the advance payments received from the buyer shall be forfeited.
14. JURISDICTIONS:
All matters touching interpretation of these conditions including all suits arising out of the Agreement between
the parties shall be subject to Jurisdiction of the Competent Court situated in Delhi alone and at no other place.
