UNDERTAKING AGAINST UNDUE INFLUENCE AND BRIBERY

We, ALDWIN CHRISTIAN C. ANG and CECIL G. MARVILLA, Treasurer and Vice President
and Head of Core Business Group, respectively of MERALCO ENERGY, INC. (the "supplier") with
business address at 17th and 18th Floor Marco Polo Ortigas Manila, Sapphire Road, Brgy. San
Antonio, Ortigas Center, Pasig City understand and agree to the following:

That we shall uphold strict ethical practices and standards, business integrity, transparency
and honesty in my business dealings, negotiations and bidding with all the officers, employees
and representatives of Robinsons Land Corporation.

We recognize that Robinsons Land Corporation penalizes any action by any of its officers,
employees and representatives in accepting money, expensive gifts, commissions and other
remuneration from suppliers, contractors, bidders, service and manpower providers, real estate
property sellers, brokers and agents.

In recognition of this corporate policy, we shall not give money, any valuable gifts,
commissions, non-cash incentives, and any other form of reward or remuneration, fringe benefit,
or promising anything of value to any officer, employee or representative of Robinsons Land
Corporation, in connection with or in consideration of my bid, offer or business proposal or
project. This prohibition extends to the officer or employee's spouse and immediate members of
his / her family and shall continue after the bid, proposal or project has already been approved
and executed.

In the event an employee or officer of Robinsons Land Corporation requests, hints or

insists upon a personal reward for the awarding of a bid, project or acquisition, we shall report the
matter through e mail to the Office of the President at e-mail address
catherine.cancio@robinsonsland.com. The received e-mail will be handled with strict
confidentiality and will be investigated.

We fully understand and agree that if any action/s is made in violation of this Undertaking,
immediate steps will be taken for my suspension and blacklisting as supplier, bidder, seller, sales
agent/broker or representative, without prejudice to a civil or criminal action that may filed against
erring parties before the appropriate court or prosecutorial office. Furthermore, we recognize the
full authority of Robinsons Land Corporation to investigate violations of this prohibition, as well
as to unilaterally terminate and cancel projects, biddings, acquisitions, joint venture or any
commercial agreement.

This undertaking is being made voluntarily and without any pressure, force or compulsion.
