SALE AGREEMENT
BETWEEN
ARTHUR SSERWANGA of c/o P.O BOX ………… Kampala [hereinafter called “the
Vendor” which expression shall wherever the context so admits include his successors in
title, nominees and assigns] of the one part;
AND
…………………………… of P.O Box ……………. Kampala hereinafter referred to as “the
Purchaser” which expression shall wherever the context so admits include his successors
in title, nominees and assigns] of the other part;
WHEREAS:
2. The Vendor is willing to sell all the land measuring to the Purchaser.
3. The Vendor has acquired the necessary approvals and spousal consent from his
wife to sell the above described land to the purchaser.
4. The Vendor is willing to assign, sell all his interest in the said land to the Purchaser
and the Purchaser is willing and able to buy the same on the terms and conditions
contained herein;

NOW THEREFORE THIS AGREEMENT WITNESSETH as follows:-

3. POSSESSION:
The Purchaser shall take immediate physical possession of the property upon
payment of the first installment of the purchase price.
The Vendor shall hand over the duplicate certificate of title upon payment of the
second/final installment of the purchase price.
4. LOCAL AUTHORITIES:
The Vendor undertakes to introduce the Purchaser to the local authorities of the area
where the Condominium is situated as the new owner immediately upon signing of
this Agreement or at such time the parties may appoint.
Upon payment of the full purchase price, the Vendor shall hand over to the Purchaser;

c) Photocopy of Passport or Identity Cards of the Vendor.
The Vendor shall ensure and hand over possession of the suit property to the
Purchaser.

The Vendor thereby warrants that he is the Bonafide owner of the land and the
Purchaser shall enjoy quiet possession of the same free from any encumbrance or
disturbance from any person claiming under the Vendors’ Title.
The Parties warrant to perform ALL the obligations set out in this agreement.
The Property is sold on the understanding that it is free from any encumbrance or
adverse claims of any description.
The Vendor undertakes to indemnify the purchaser against all actions, proceedings,
claims, costs and all other expenses whatsoever which may be suffered or incurred in
respect of the Property as a result of any encumbrances or adverse claims which have
not been disclosed to the purchaser by the Vendor if the same shall arise in breach of
the Vendors’ promises therein.
This agreement constitutes the entire agreement between the parties relating to the
subject matter thereof and supersedes any prior agreements or understandings between
the parties. Neither party shall be bound by any variations to this Agreement unless
signed by the parties thereto.
10. SEVERABILITY:
If any provision of this Agreement is invalid or unenforceable for any reason whatsoever,
such invalidity or unenforceability will not affect the validity or enforceability of any or all
of the remaining provisions of this Agreement which will continue in full force and effect
and be construed as if this Agreement had been executed without the invalid or
unenforceable provisions.

11. LEGAL FEES:
Any disputes arising in connection with this agreement which cannot be resolved
amicably by the parties shall be referred by either party to the courts of law. This
agreement shall be governed by the Laws of Uganda.
This agreement will endure to the benefit of and be binding upon the parties hereto and
applicable to their successors and assigns and further this agreement constitutes the
entire agreement between the parties there being no agreement collateral hereto.
IN WITNESS WHEREOF the parties thereto have set thereunto their respective hands
and seals on the day and year first above written.
