ASSIGNMENT AND ASSUMPTION OF DEVELOPMENT LEASE,
(this “Assignment”) made as of March 22, 2019 by and between PACIFIC PARK 18
SIXTH AVENUE, LLC, a Delaware limited liability company, having an office /o
Atlantic Yards Venture, LLC, 1 MetroTech Center, 18th Floor, Brooklyn, New York
11201 (“Assignor”), and 18 SIXTH AVENUE OWNER LLC, a Delaware limited
liability company, with an office address of c/o The Brodsky Organization, LLC, 400
West 59th Street, New York, New York 10019 (“Assignee”), and for purposes of Section
4 and 5 only, New York State Urban Development Corporation (d/b/a Empire State
Development) (“ESD”) having an office at 633 Third Avenue, New York, New York

WITNESSETH
WHEREAS, Assignor, as tenant (as successor-by-assignment to AYDC
Regional Development Company, LLC (“AYDC")), and ESD, as landlord, are parties to
that certain Agreement of Development Lease (Parcel 4), dated as of April 23, 2012, by
and between ESD, as landlord, and AYDC, as tenant, as amended by (a) that certain
Omnibus Amendment to Project Documents, dated as of June 27, 2014, by and among
ESD, AYDC and certain other parties thereto, (b) that certain Omnibus Amendment to
Leases and Development Agreement, dated as of December 10, 2015 and effective as of
October 23, 2015, by and among ESD, AYDC and certain other parties thereto, and (¢)
that certain Fourth Omnibus Amendment to Leases and Development Agreement, dated
as of December 21, 2018, by and among ESD, AYDC and certain other parties thereto (as
amended, the “Original Lease”) pursuant to which ESD leases to Assignor that certain
development parcel being, Tax Lot 4 and a portion of Tax Lot 7 in Tax Block 1118 as all
are shown on the Tax Map of the City of New York for the Borough of Brooklyn, Kings
