MEMORANDUM OF AGREEMENT

This Memorandum of Agreement made and executed between:

PHILIPPINE MERCHANT MARINE SCHOOL, a duly organized educational institution under and by
virtue of the laws of the Republic of the Philippines with office address at San Antonio Valley Road,
Talon I, Las Pinas City represented in this Agreement by its BSCA Department Head, Jimmy S. Sena,
hereinafter referred to as “PMMS”.

and

LOGISTICS CARGO FORWARDERS AND BROKERAGE CORPORATION, a duly organized corporation

existing under and by virtue of the laws of the Philippines, with office address at 2A Kabihasnan
Street, San Dionisio, Parañaque City, represented in the Agreement by its Chairman and President,
Ms. Myrna T. Rioflorido, hereinafter referred to as “LOGISTICS” and/or “LCFBC”.

Witnesseth:

The parties hereby bind themselves to undertake a Memorandum of Agreement for the purpose
of supporting the PMMS On-The-Job Training Program for student-trainee under the following
terms and conditions:

1. PMMS shall be responsible for briefing the on-the-job student-trainee who intends to
conduct practicum exposure in LOGISTICS CARGO FORWARDERS AND BROKERAGE
CORPORATION as part of the PMMS curriculum;

2. PMMS shall provide the on-the-job student-trainee the basic orientation on work
values, behaviour, and discipline to ensure smooth cooperation with LOGISTICS CARGO
FORWARDERS AND BROKERAGE CORPORATION;

3. PMMS shall issue an official endorsement vouching for the well being of the on-the-job
student-trainee which shall be used by LOGISTICS CARGO FORWARDERS AND
BROKERAGE CORPORATION for processing the application of the student-trainee;

4. PMMS shall voluntarily withdraw a student-trainee who is found to misbehave and/or

act in defiance to existing standards, rules, and regulations of LOGISTICS CARGO
FORWARDERS AND BROKERAGE CORPORATION and impose necessary school
sanctions to the said student-trainee;

5. Any allowance and/or insurance to student-trainee shall be in the discretion of the

company.

6. The duration of the program shall be a minimum of 150 working hours with issuance
of On-the-Job Training Certificate.

7. Any violation of the foregoing covenants will warrant the cancellation of the
Memorandum of Agreement by LOGISTICS CARGO FORWARDERS AND BROKERAGE
CORPORATION within thirty (30) days upon notice to PMMS.

8. This Memorandum of Agreement shall become effective upon signature of both parties
and implementation will begin immediately and shall continue to be valid hereafter
until written notice is given by either party thirty (30) days prior to the date of intended
termination.

In witness thereof, the parties hereto have executed this agreement on the date above
written.
