Dear Sir,

We are pleased to submit our Techno Commercial Proposal for the supply of Steel Building work
against your subject enquiry. Our proposal is in accordance with the building/ s layout, overall
dimensions and design loads given in your enquiry. Our scope of work covers the design,
fabrication, supply and Erection of Pre-Engineered Building in accordance with the enclosed
standards and specifications of our Steel Buildings Solution, unless otherwise stated.

This proposal is indexed for easy reference and includes scope of supply, building description
and design loads, criteria, Our Steel Buildings Solution standard product specifications and
standard conditions of sale.

SECTION 3: SPECIAL NOTES

Anchor Bolts / Foundation Bolts & its Nuts – Black Mild Steel. A single template shall be provided
for each type of footing. Kindly note that we have tried our best to ensure that this proposal
meets all your project requirements, however the items/additions which are not mentioned in
the proposal are not considered in the Supply price as stated in this proposal.

SECTION 4: G A DRAWING APPROVAL

 We will issue G.A. Approval Drawings within 1- 2 weeks from date of signing contract,
receipt of Purchase Order and Advance Payment.
 BUYER must give thereafter the written approval of G.A. Drawings preferably within 1
week; otherwise, it may result in revision to our price and delivery commitment.

SECTION 6: TAXES & DUTIES

a. GST @18.00 % will be extra as applicable on above price.

b. Entry Tax / Octroi / Other Local Levies & Taxes:

 Entry Tax / Octroi / Vasai / Mathadi Charges / Other Local Taxes if any, to be paid by the
buyer.

SECTION 7: TERMS OF PAYMENT
Payment shall be as follows:

 30% of the Total Contract Value as advance along with your PO/LOI.
 20% on G.A drawing approval.
 25% on structure material readiness in factory against Proforma Invoice as per
respective lot.
 15% on sheet and accessories readiness in factory.
 5% after completion.

SECTION 8: DELIVERY SCHEDULES

We will ship the materials from the latest date of receipt and acceptance of the following at
our Head Office:
 Signed Supply Contract / Purchase Order/LOI.
 Balance payment as per PO terms.
 G.A. approval drawings duly signed and approved.
 Purchase Order amendment (If applicable).
 Final Building Revision / modification (If applicable).

SECTION 9: TERMS & CONDITIONS OF SALES

1. PROPOSAL VALIDITY:

a. This offer is valid till 15 days from the date of issue. In the event of change in steel raw material
basic price over prevailing price on date of quotation / order, the supply value would stand
proportionately increased based on steel percentage price increase.
b. That portion of this order which is not shipped within TWO Weeks from the date of completion
of fabrication at our Factory due to a delay request from the buyer will be subject to
warehousing charges & repainting charges. The warehousing charges will be applied at the rate
of Rs. 100 per Metric Ton per day. The repainting charges will be charged as per the prevailing
rates.
c. Any changes in the prices of the material, labour, freight, taxes, duties or local levies will be
charged extra after the expiry period of validity. Any change in Sales Tax/VAT/Entry Tax/ Octroi
shall be charged extra as prevalent at time of delivery.

2. ERECTION DRAWINGS:
We, the SELLER will furnish the BUYER with all standard erection drawings required for the
erection of the buildings. The SELLER will also provide the BUYER with Anchor Bolts setting
plans. The BUYER shall arrange for electricity at work site for erection of steel building free of
cost.

3. SPECIFICATION CHANGES:
The SELLER reserves the right to modify the design of his standard buildings and to substitute
material equal to or superior to that originally specified (in order to permit incorporation of
changes and improvements in the continued development of the Seller’s product). However, it
may be noted that once the G.A. Drawings are approved, subsequently no modifications will be
possible.

4. CANCELLATION:
Agreement and orders CANNOT be cancelled or modified by BUYER under any circumstances
without BUYER first reaching an agreement in writing with SELLER covering all damages. If
cancellation or modification is agreed to by SELLER, BUYER agrees to promptly pay all
reasonable engineering and other expenses incurred by SELLER in connection with this
Agreement and in any case not less than 5 % of the Agreement price in case of cancellation.

5. JOBS ON HOLD:
All costs incurred due to a job placed "On Hold" after start of manufacturing will be to the
Customer's account. Jobs that have been entered but have not been released for production
within 30 days from the date of signing contract for whatever reason (including lack of technical
clarification) will be put "On Hold". If such jobs are subsequently reactivated, they are subject
to the pricing schedule in effect at the time of their release from the "On Hold" status;
accordingly, revised quote will be submitted as per current rate.

6. RELEASE FOR PRODUCTION:


The portion of this order that is not released by buyer for production within ONE month from
the date of Contract / Purchase Order will be subject to a price increase in accordance with the
new current prices posted at the end of the aforementioned time period.

7. SHIPMENT:
That portion of this order that is not shipped within TWO months from date of Contract /
Purchase Order will be subject to a price increase in accordance with new current prices posted
at the end of the aforementioned time period unless a longer delivery period is mutually agreed
to by SELLER and BUYER. Unloading at job site is the responsibility of the ERECTOR.

8. VARIATION ORDERS
Any change or revision to the above stated scope of supply may lead to a variation in the price
and the delivery period.

9. FORCE MAJEURE:
SELLER shall not be liable for any loss or damage to BUYER for delay in delivery or cancellation
of any Purchaser's Orders by SELLER due to circumstances beyond Seller’s control, such as, but
not limited to, war, riots, civil commotion, revolution, government regulations, orders, acts of
any government authority directly or indirectly interfering with or rendering more burdensome

the production or delivery of the products, floods, fires, delays due to transporter’s strike and
any other circumstance or event beyond Seller’s control.

10. PERMITS:
SELLER shall not be responsible or liable for obtaining permits to erect or install any product.

11. INSPECTION OF PRODUCT:


BUYER agrees to inspect upon arrival all articles shipped. Claims for shortages or defective
material, if not packaged, must be made in writing to our Office within five days after receipt of
the shipment, and if packaged within 30 days after receipt of shipment. We shall have
reasonable time to investigate all claims made by BUYER. Any claims for shortages or defects
made after the above periods shall be refused and finally dismissed.

12. EXCLUSIONS:
SELLER supply does not include any material or labour in connection with foundations,
concrete, setting of anchor bolts, grouting under columns or in recess around bottom of wall
sheets, electrical installations, plumbing, finished painting, heating, masonry, interior finishing,
partitions, glass and glazing, doors, windows, louvered ventilators, fixtures, rolling shutters, EOT
crane, crane beam (unless it is mentioned in the price section) or any item not shown in our
G.A. Approval Drawings, unless specifically mentioned in this Agreement.

13. WARRANTY:
Our products are warranted against failure due to defective material or workmanship for a
period of one year after shipment.

14. SCOPE OF AGREEMENT:


It is further understood that this Agreement is the only Agreement expressed or implied, either
verbal or in writing, in connection with this sale.

15. GOVERNING LAWS:


This agreement shall be construed and enforced in accordance with and under the laws of the
Government of India. Both parties agree that any differences or disputes arising between the
SELLER and the BUYER will be resolved by mutual discussions and agreement. However,
unresolved issues, if any, will be settled by arbitration as per the Indian Arbitration and
Conciliation Act, and the venue of the arbitration will be PUNE, Maharashtra.

Our standard Steel Buildings Solution System is made up of primary members, secondary
members, connections, roof sheeting, wall sheeting, sheeting fasteners, sealer, closures, ridge
caps, flashing and trim, gutters and downspouts.

A. PRIMARY MEMBERS:
Primary structural framing shall include the transverse rigid frames, lean-to-rafters and
columns, canopy rafters, interior columns (beam and column frames), bearing frame rafters and
corner columns and end wall wind columns.

B. SECONDARY MEMBERS:
Secondary structural framing shall include the purlins, girts and eaves struts (from galvanized
steel coils), wind bracing, flange bracing, base angles, clips and other miscellaneous structural
parts (with the paint same as primary steel paint).

C. PAINT OF STRUCTURAL MEMBERS:


All structural members shall be cleaned by wire brushing to remove dirt, grease, oil and loose
mill scale and given one shop coat of red oxide primer of 35 microns DFT with air drying. We
are not responsible for any signs of rust that might appear on the steel due to long storage
periods (exceed two weeks) at site.

D. CONNECTIONS:
All field connections shall be bolted (unless otherwise noted). Primary bolted connections shall
be furnished with high strength bolts conforming to the physical specifications of ASTM A325
M Class 8.8 Type 1 (or equivalent). Secondary bolted connections shall be furnished with
machine bolts conforming to the physical specifications of DIN 933 Class 4.6 / 4.8 Electro plated
Yellow Chromate (or equivalent).

E. PHYSICAL SPECIFICATIONS OF STRUCTURAL MEMBERS:


Members fabricated from plate or bar stock shall have flanges and webs joined on one side of
the web by a continuous welding process and will conform to the physical specifications of
ASTM A 572M (Grade 50) or equivalent and have a minimum yield strength of 50,000 psi (345
MPa). Members fabricated by cold forming process shall conform to the physical specifications
of ASTM A 653M (Grade 50) or equivalent and have a minimum yield strength of 50,000 psi (345
MPa). Members fabricated from hot rolled structural shapes shall conform to the physical
specifications of IS 2062:2006 (Grade A) or equivalent and have a minimum yield strength of
36,000 psi (245 MPa). Pipes and hand rails shall conform to the physical specifications of IS 1239
(Part 1): 2004 – Class Medium (or equivalent) and have minimum yield strength of 36,000 psi
(245 MPa). Roof and wall cladding shall conform to the physical specifications of ASTM A 792
M Grade 345 (or equivalent) and have minimum yield strength of 36,000 psi (245 MPa). All
other miscellaneous secondary members shall have minimum yield strength of 36,000 psi (245
MPa).

F. ROOF SHEETING / WALL SHEETING:


Roof sheet and wall cladding shall be 22 GA Colour Galvalume of 245 MPA Yield Strength has
been considered. The interior face of Wall Sheeting is pre-painted with 4+4 micron thick factory-
applied polyester paint. Each panel shall provide one meter coverage and can be shipped in any
length up to 10 m. Colour of interior faces shall be grey. Other materials, thicknesses and
coating are available upon request.
We reserve the right to substitute partly or entirely some of the materials in case of material
non-availability or supply shortages.

G. SHEETING FASTENERS:
Standard fasteners shall be No. 14, Type A, self-tapping sheet metal screws with metal and
neoprene washers. All screws shall have hexagonal heads and made of zinc plated steel.

H. SEALER / ROPE SEAL:


This is to be applied around Skylights and self-flashing windows. Sealer shall be 6 mm wide x 5
mm thick, asbestos fibre filled pressure sensitive Butyl tape. The sealer shall be non-asphaltic,
non-shrinking non-drying and nontoxic and shall have superior adhesion to metals, plastics and
painted surfaces at temperatures ranging from:-51C to+104C.

I. CLOSURES / FILLER STRIPS:


Solid or closed cell E.T.P. (Ethylene Polypropylene Terpolymer) closures matching the profile of
the panel shall be installed along the eaves, rake and other locations specified on our drawings.

J. RIDGE CAP:
A ridge cap is a profiled panel matching the material, colour, slope and profile of adjoining our
steel Buildings Solution roof panels.

K. FLASHING AND TRIM:


Flashing and/or trim shall be furnished at the rake, corners, framed openings and wherever
necessary to provide weather tightness and finished appearance. Colour shall be white for all
trims unless otherwise specified by client from one of our standard buildings Solution standard
range of colours. Material shall be 22 G thick conforming to the physical specifications of ASTM
A446 Grade C or equivalent and have minimum yield strength of 36,000 psi (245 MPa).

L. EAVE GUTTERS AND DOWNSPOUTS:


Eave gutters shall be box shaped, colour coated, and nominal thickness (22 gauges) galvalume
steel. The outside face of the gutter shall be supported with colour coated and nominal
thickness (22 gauges) straps to the eave member at a maximum spacing of 1.0 m. Downspouts
shall be rectangular shaped, machine pressed and riveted, colour coated. Downspouts shall
have a 45 degree elbow at the bottom and shall be supported by attachment to the wall
covering at 1.5 to 2.0 m maximum spacing.

M. ANCHOR BOLTS:
These are normally supplied prior to the delivery of Pre-Fabricated Steel Building. Delivery will
be made after receipt of our anchor bolts setting plans (marked "FOR CONSTRUCTION") from
our Engineering Department.
