______________________________ ("I” or “Licensor") hereby represents that I am the owner of the copyright in the
photographic artwork (collectively, the “Property”) described or shown in Schedule "A" attached hereto and hereby
acknowledge and warrants that I have the right to grant permission to Carnival to use the Property as specified herein and that
the Property will not infringe upon the copyright or other rights of any other party.

I hereby grant to Carnival the right to use the Property, alone or in conjunction with other material, in whole or in part, in
any form of media, including without limitation Carnival’s print publications, web site, the web site of Carnival’s subsidiaries
and affiliates, video media, free-to-air television, cable television, video cassette, video disc, DVD or other video device and
interactive devices and technologies existing or later developed, any such media to be publicized, distributed and/or sold by
Carnival and/or in advertisements and promotions produced for any purpose, including the commercial marketing of
Carnival’s and/or its subsidiaries’ and/or affiliates’ businesses and in conjunction with the commercial programs of such
entity(ies), throughout the world, for a period in perpetuity and at no cost. Carnival hereby represents that it has no right, title
and/or interest in and to the Property other than as expressly granted hereunder.

I hereby certify that the photo(s) submitted herewith is/are my original work and that I am the sole copyright owner. I am
entering this contest as an honest and true effort of my personal creativity; and I understand that the Property I enter may be
published in Carnival’s publications, magazines, upcoming commemorative books, DVDs and other materials for any purpose,
commercial and non-commercial, without credit to me.

By submitting the Property in the contest sponsored by Licensee, I, for myself and on behalf of anyone whose likeness
appears in the Property, (1) agree and irrevocably consent to the unrestricted use by Licensee and by those acting with
Licensee’s permission and authority of anyone appearing in the Property and of my name for all purposes, without limitation;
(2) hereby waive any right to inspect or approve the eventual use which Licensee shall make of the Property; (3) hereby release
Licensee from any liability concerning any blurring, distortion or alteration, whether intentional or otherwise, that may occur or
occur from the reproduction and/or publication of the Property; (4) in connection with all of the foregoing, expressly
indemnify, release and discharge Licensee, its agents, licensees, subsidiaries and affiliated companies and their respective
assigns, shareholders, officers, directors and employees and their respective agents and representatives, from any and all
claims which I and anyone appearing in the Property or anyone who may have claims in connection with the Property may have
or acquire in connection with any cause of action arising out of the licensing, use, production, duplication, distribution,
broadcast, exhibition or sale of my or their name and likeness, including without limitation for invasion of privacy, defamation
and libel; (5) indemnify and hold harmless Licensee and its respective successors, subsidiaries, affiliates and assigns and each
of their respective officers, directors, shareholders, employees, representatives and assigns, from all liabilities, claims, suits,
damages, judgments, awards, penalties, losses and other liabilities (including, without limitation, reasonable attorneys’ fees,
cost and expenses through appeal) suffered or incurred by Licensee by reason of, arising out of or in connection with
Licensee's use of the Property in accordance with this Consent; and (6) represent and warrant to Licensee that I have the power
to grant such rights set forth herein, including with respect to any other persons whose likeness, property or assets appear in
and form a part of the Property.

Intending to be legally bound hereby, the parties have executed this Consent as of the day and year first written above.
