WHEREAS, during the regular meeting of the Board of Directors of _____________. held on

insurance and authorizing the Corporation President, ____, to be the signatory and representative do the

To submit the application for group insurance – health link with Insurance Company in the name
of the corporation for the benefit of the stockholders and incorporators and to sign/execute any and/all
documents relative thereto;

That any and all transactions made by said officer pursuant to the forgoing resolutions are valid
and binding against the Corporation until Insurance Company shall have received a certified copy of the
resolution of the Board revoking or modifying the same.
