COMPANY OVERVIEW

The name of our company is "Baby Mind". It is located in the Mall La Rotonda, Puerto
Montt.Chile.

We want to make and innovation by recycling baby clothes and turning them into
stuffed animals and decorations.

This will allow parents who do not want to get rid of their baby's clothes to turn them
into cuddly toys or decorations of their choice in order to create new memories with
them.

COMPANY'S HISTORY

This business idea arose in 2010 after one of the partners became a mother and did
not want to get rid of her baby's clothes. That's where the idea arises to make
handicrafts with these.

We saved enough money to rent a small place in the mall la rotonda for our business,
today we have our own website (www.babymind.cl), where you can see our products
and contact information.

COMPANY DEFINITION

"BABY MIND" is projected with its unique products; our customers value our work
as they recycle the clothes that bring them so many memories. We appreciate that
with the effort and donations of our customers we have all kinds of adornments and
stuffed animals with such beautiful memories.
VISION

Our vision is to contribute through recycling, creative ideas and collaborative work
with our clients.

MISSION

To create, from recycled garments, a new product of high quality and design.

LEGAL CONDITIONS

Step 1: Obtain documentation and permissions for the creation of the company or
society.

This step is in the legal field as it tries to legally establish and make the Public
Presentation. Most of the requirements are: number of partners, minimum capital,
trademark registration and obtaining patents.

Step 2: Inform about the creation of the society in Chile through the use of the Official
Gazette.

It is mandatory by law to make a presentation in the Official Gazette within sixty days
of the creation of the company. This step is necessary to guarantee a transparent
and public start-up.

tep 3: Inscription in the Mercantile Registry.

New companies must complete this procedure within sixty days of their legal
creation. This registration must be carried out personally by one of the partners or
by a designated legal representative.
*Step 4: Tax Registration and Beginning of Activities.

The company must obtain its RUT and also notify the beginning of its commercial
activities, since this is the moment from which its tax commitment begins. The type
of contribution will depend on the type of activity. For this reason, when
deconstructing ideas to create a company, it is highly recommended to find out about
the type of activity covered and the tax obligations involved.

SETTING UP THE COMPANY

To establish our company, we must first make a lease contract with the owner of the
mall, for this, we must pay the amount of $300,000 plus the monthly guarantee.

With this rent, we have the opportunity to fix the room and set up a small workshop
for our work, and decorate, as we want.

PRODUCTS AND SERVICES

Baby Mind is a company that offers recycling services of baby clothes to create the
cuddly toys they want in our store, also offer decorations with baby clothes. Our
customers can come to our store or call the contact number and ask for pick-up and
delivery.

MARKET RESEACH

Our business model is unique and does not have great competition, so it is very
profitable. The place where we are is very favourable due to the high flow of people.
STRATEGIES AND IMPLEMENTATIONS

The products we sell are unique with their own designs. We also accept new designs
from customers. These products are low cost, good quality as they are made with
great care for the sentimental value they possess.

FINANCIAL PLAN

The 4 investors involved in the business contribute 25% of the total investment,
which corresponds to 2 million each.

CONTRACT.

LEASE CONTRACT FOR COMMERCIAL PURPOSES

In PUERTO MONTT, on January 1, 2012, between MALL PASEO LA ROTONDA,


Rut nº 65. 289. 070-3, of Chilean nationality domiciled in MAL PASEO LA
ROTONDA, comuna de PUERTO MONTT, REGIÓN DE LOS LAGOS, on the one
hand as ARRENDADOR"; and SOCIEDAD POR ACCIONES S. P. A, Rut nº
86. 142. 357-9, of Chilean nationality, domiciled in mall paseo la rotunda local 45,
comuna de puerto montt, Región lagos, representing baby mind Rut nº 86. 142. 357-
9, on the other hand as & ARRENDATOR"; it has been agreed to enter into the
following lease contract, which will be governed by the clauses expressed below,
and in silence of them, by the provisions of the Civil Code.
1ST PROPERTY

By the present instrument, the LANDLORD, delivers in lease, in days and working
hours, the use of a private and the room of meetings to the interior of the building
before individualized.

THE HIRER declares that the aforementioned spaces will be destined for the
Administrative Office, and is expressly prohibited from introducing into the property
flammable, explosive, corrosive or any other type of material that could cause
damage or deterioration, and is exclusively responsible for any damage to the
property or to third parties caused by such circumstances.

The space is rented in the state in which it is found, which is known to the RENTOR.

It includes furniture, electrical appliances and all species incorporated into the
building that form a single body with it, the absolute property of the Lessor, so you
can not make improvements or changes in the facilities, as well as may not install
furniture, or any article that changes the current physiognomy of the spaces.

Note that the lease will only be for TRIBUTARY AND COMMERCIAL EFFECTS.

2° RENT The monthly rent for the office is $400. 000. - (four hundred thousand
pesos), which must be paid in advance between the 1st and 5th of each month at
the reception located inside the office, by bank transfer or cash.

The rent will be readjusted according to the accumulated Consumer Price Index
(CPI) for the year at the time the contract has to be renewed.

3RD TERM

This contract will come into force on January 1, 2012 and will last for a period of 10
years, and will therefore expire on December 31, 2022. Notwithstanding the
foregoing, this contract will be renewed successively and automatically in the same
period as the contract, if neither party gives notice to the other at least (60) days
prior to its expiration date, by written means, their desire to terminate this contract,
and informing the Internal Revenue Service of the termination or change of address.

4. FINES, EXPENSES AND COSTS

It is expressly agreed that for failure to timely pay the agreed rent, the HIRER shall
pay a fine equal to the maximum conventional interest for readjustable operations,
a fine that shall apply from the day following the period they have to do so until the
date on which the effective payment of the obligation is made.

In the case of monthly instalments 30 days late, collection costs will be applied from
the 3rd day of default, as a percentage of the monthly amount owed.

The HIRER hereby authorizes that in the event of simple delay, delay or breach of
the obligations assumed in this contract, his personal data and any other data
derived from this contract may be entered, processed, processed and communicated
to third parties without restrictions in the database or commercial information system
determined by the HIRER.

In the event that the LANDLORD has to resort to external services for the collection
of rent or rents of service, unpaid accounts or any value related to the lease, the
expenses and costs shall be at the expense of the LANDLORD, accepting from this
moment to pay the values that are charged for these services.

5° EARLY TERMINATION OF THE CONTRACT

THE LANDLORD may immediately terminate this contract for the following reasons
that the parties agree to elevate to the quality of essential or determining in this
contract:

(1) If it uses the office for any purpose other than that indicated in this instrument.

(2) If he assigns, subleases or otherwise transfers this contract

3) If the use of the units is not maintained in good condition.

(4) if it enters into financial or legal commitments which may affect the interests of
the LANDLORD.
5) If it causes annoyance to neighbours, or other subtenants, or falls into ill-treatment
with other clients or the Lessor's staff. If you do not respect the established
reservation schedules.

6) If you misuse the facilities or services offered by the Lessor.

7) If you do not cancel the amount of the lease within the deadlines.

6TH MISCELLANEOUS

It is expressly agreed that the use of the office will always be prior reservation made

is availability of physical space. The HIRER undertakes to respect the timetables set
out in the reservation.

7TH DOMICILE

For all the effects derived from the present contract, the parts fix their domicile in the
city of Santiago.

8TH COPY OF THE CONTRACT

The present contract is granted in 2 (two) copies of the same tenor, leaving 1 (one)
in the hands of the Lessor, and 1 (one) in the hands of the Lessor
