DEED OF SALE OF MOTOR VEHICLE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF SALE made and executed by and between _____________, a citizen of
___________, of legal age, with postal address at _________________ (hereinafter called the
SELLER) and_______________, of legal age, a citizen of _the Philippines_ and with postal
address at ________________________ (hereinafter called the BUYER).

WITNESSETH THAT:

WHEREAS, the SELLER is the owner of a motor vehicle [hereinafter called the Vehicle]

WHEREAS, the SELLER desires to sell and the BUYER is willing to buy the Vehicle;

NOW THEREFORE, the parties hereto agree as follows:

1. For and in consideration of the amount of ______ paid by the BUYER to the SELLER,
receipt of which is hereby acknowledged by the SELLER, the SELLER cedes, sells and conveys all
his rights, title and interest in the Vehicle to the BUYER free from all claims of the third persons
whomsoever with effect from the delivery of the Vehicle to the BUYER from the SELLER on a date
not later than the __________, subject to the SELLER meeting all conditions and obligations in
Paras. 2 to 4 below.

2. The BUYER will make payment of all import duties and all other taxes which may be
assessed and levied/charged by the Philippine Government on the Vehicle not later than
________.

3. The BUYER and SELLER agree and hereby represent that: (i) the BUYER has not made
and will not make any other payment to the SELLER in addition to the total price as indicated in
Para. 1 above, and (ii) the SELLER has not provided and will not provide any other monetary or
non-monetary benefits to the BUYER in connection with this sale transaction.

4. The BUYER further acknowledges that he has fully inspected the Vehicle and agrees to
purchase the same in an "as is" condition free of any representation or warranties from the
SELLER as to the mechanical or other condition of the Vehicle.
