SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

We, LEAH O. NACIONALES and IVY O. NACIONALES both

of legal age, Filipino, single and resident of Aras-asan, Tobias Fornier,
Antique by these presents, hereby name, constitute and appoint my
mother JOSEPHINE O. NACIONALES, of legal age, widowed and

lawful Attorney-in-Fact for me and in my name, place and stead, to

do and perform the following acts and things to wit:

1. To represent me in any transactions, negotiations and dealings

before the National Conciliation and Mediation Board (NCMB) and
or with the Inter-Orient Maritime, Inc.;

2. To institute all legal actions (administrative, civil or criminal

action) against Inter-Orient Maritime, Inc. for and in favor of my
deceased father Dionisio B. Nacionales;

3. To file all appropriate complaints and represent me in all

proceedings/hearings in court in relation to the above-mentioned
actions up to its termination;

4. To negotiate or transact with all persons and juridical entities,

secure and sign all necessary documents, enter into a fair and
reasonable compromise agreement or amicable settlement and do
all acts for the protection and preservation of my rights and interest.

5. To ask, demand, sue for, recover, collect, and receipt for any and

all sums of money, debts, accounts, legacies, bequest, interests,

dividends, demands, and other things of value of whatsoever

nature or kind as may hereafter become due, owing, payable or
belonging to me, and to have, use and take any and all lawful ways
and means for the recovery thereof by suit, attachment, or
otherwise, and to compromise, settle and agree for the same;

6. To deposit money in any bank or banks and to withdraw the same

by cheque, receipt, draft, or otherwise; to draw, make, endorse,
assign, transfer, accept and pay drafts, bills of exchange,
promissory notes, letters of credit, guarantees, and all other
writings, contracts and agreements; to borrow or lend money, with
or without security, upon such terms and conditions as he/she, may
said attorney, may approve; and to transact any and all business,

 operations, and affairs with any and all banking institutions in the
Philippines as may be deemed necessary, proper, and convenient;

7. To make sign, seal, execute, and deliver contracts, documents,

agreements and other writings of whatsoever nature, kind, and
description, with any and all third persons, concerns and entities,
upon such terms and conditions acceptable to my said attorney;

8. To prosecute and defend any and all suits, actions, and other

proceedings in the courts, tribunals, departments, and offices of

the Government of the Philippines, and to terminate, compromise,
settle, and adjust the same and the subject matter thereof; and

9. In the event of said suits actions, and other proceedings in the

courts, are filed my said attorney in fact is authorized to appear
during pre-trial, to consider the following:

9.1. The Simplification of the issues;

9.2. To enter into compromise agreement and to sign and execute
and deliver the same;
9.3. The necessity or desirability of amendment to the pleadings;
9.4. The possibility of obtaining stipulations or admissions of facts
and of documents to avoid unnecessary proof;
9.5. The limitation of the number of witnesses;
9.6. The advisability of a preliminary reference of the issues to a
commissioner;
9.7. The propriety of rendering judgment on the pleadings, or
summary judgment or of dismissing the actions should a valid
ground therefore be found to exist;
9.8. The advisability or necessity of suspending the proceedings;
and

10. To delegate in whole or in part any or all of the powers and

authorities herein conferred by means of an instrument in writing,
in favor of any third person or persons whom my said attorney may
select.

HEREBY GIVING AND GRANTING unto my said attorney-

in-fact full power and authority to do and perform any and every act
whatsoever requisite or necessary or proper to be done in and about
the premises, as fully to all intents and purposes as we might or could
do if personally present and acting in person, with full power of
substitution or evocation; and
