Services Agreement Consultoría en materia Contractual y Comercial
Witnessed hereby the Advisory Agreement (hereinafter, the
“Agreement”), entered into by and between:
- LIMA AIRPORT PARTNERS S.R.L., hereinafter referred
to as “LAP”, with Taxpayer Registration (Registro Único
del Contribuyente) N° 20501577252, with registered
office at Edificio Central del Aeropuerto Internacional
“Jorge Chávez”, located at Av. Elmer Faucett S/N,
Callao, entered in Electronic Registry File N° 11250416
of the Lima Registry of Legal Entities, duly represented
by its General Manager, Mr. Juan José Salmón Balestra,
identified by D.N.I. N° 09379203 and by its legal
representative, Mr. David William Whyte, identified by
C.E N°001538303 , pursuant to the powers of attorney
in the aforementioned Registry File, as party of the first
part; and,
- MARK HUTCHINS TULLOSS, identifies with Passport N°
531233529, hereinafter referred to as “ADVISOR”, with
registered office at 179 al Mejadmi Street, Dubai UAE,
following terms and conditions:
1. BACKGROUND
1.1 LAP is a commercial limited liability company organized
and existing under the laws of Peru. It is the holder of
the concession for the construction, improvement,
maintenance and operation of the “Jorge Chávez”
International Airport (hereinafter, the "Airport"),
whose award was granted on November 15, 2000 by
the Peruvian State, leading to the execution of the
Concession Agreement dated on February 14, 2001
(hereinafter, the "Concession Agreement"), within the
framework of the International Special Public Tender
called by the Special Committee of Airports.
1.2 The concession granted to LAP under the Concession
Agreement referred to in sub-clause 1.1 of this clause
requires hiring the services of a firm to provide the
advisory service named “Commercial and Contractual
Services”.
1.3 By this Agreement LAP sets a system for hiring of the
ADVISOR, for the provision of the advisory service
named “Commercial and Contractual Services”, for the

Conste por el presente, el Contrato de Servicios
Profesionales de Consultoría (en adelante, el “Contrato”),
que celebran:
- LIMA AIRPORT PARTNERS S.R.L., en adelante,
“LAP”, con Registro Único de Contribuyente No.
20501577252, con domicilio legal en el Edificio
Central del Aeropuerto Internacional “Jorge
Chávez”, ubicado en Av. Elmer Faucett S/N, Callao,
una compañía inscrita en la Partida Electrónica No.
11250416 del Registro de Personas Jurídicas de
Lima, la misma que actúa debidamente
representada por su Gerente General, el señor Juan
José Salmón Balestra, identificado con D.N.I. No.
09379203; y, por su representante legal, el Sr. David
William Whyte, identificado con Carné de
Extranjería No. 001538303, según poderes que
obran inscritos en la referida Partida; y
- MARK HUTCHINS TULLOSS, identificado con
Pasaporte No. 531233529, en adelante, el
“CONSULTOR”, con domicilio legal en 179 al
Mejadmi Street, Dubai, UAE; en los términos y
condiciones siguientes:
1. ANTECEDENTES
1.1. LAP es una sociedad comercial de responsabilidad
limitada que se encuentra constituida y que existe
en virtud de las leyes de Perú. Es titular de la
Concesión para la Construcción, Mejoramiento,
Mantenimiento y Operación del Aeropuerto
Internacional “Jorge Chávez” (en adelante, el
“Aeropuerto”), cuya buena pro fue adjudicada por
el Estado Peruano, el 15 de noviembre de 2000,
para la ejecución del Contrato de Concesión
celebrado el 14 de febrero de 2001 (en adelante, el
“Contrato de Concesión”), dentro del marco de la
Licitación Pública Especial Internacional convocada
por el Comité Especial de Aeropuertos.
1.2. La Concesión otorgada a LAP en virtud del Contrato
de Concesión, al que se hace referencia en la sub-
cláusula 1.1 de la presente cláusula, requiere que se
contrate los servicios de Consultoría, denominado
“Servicios en materia Contractual y Comercial”.
1.3. En virtud del presente Contrato, LAP establece un
sistema para contratar al CONSULTOR, para la
provisión de servicio de Consultoría denominado
“Servicios en materia Contractual y Comercial”,
 Design and Construction Program of the New Jorge
Chavez International Airport (hereinafter, “the newLIM
Program”).
2 PURPOSE
2.1 The Parties hereby agree to set forth the conditions
under which the ADVISOR shall provide Commercial
and Contractual advisory services to LAP for the
Program. The Parties hereby undertake to collaborate
with each other to accomplish their joint purposes and
objectives.
2.2 The ADVISOR hereby agrees to provide, at is sole
account, cost and risk the Service of consultancy and
advisory for the development program for the Jorge
Chavez International Airport expansion in accordance
with the Specifications contained in this Agreement,
the Scope of Work and other Annexes thereto. The
ADVISOR states that it has the equipment, implements,
financial resources, governmental licenses and the duly
qualified and trained personnel to provide the Service.
Furthermore, the ADVISOR states that it will provide
the Service in accordance with the highest quality
standards.
2.3 The Service shall be provided independently by the
ADVISOR, whereby it shall not be subject or
subordinated to LAP and implies providing all the assets
required to fulfill the purpose of this Agreement.
2.4 The ADVISOR agrees to (i) conduct all activities, (ii) use
all the equipment, resources and labor, (iii) obtain all
authorizations and rights (including easements) and, in
general, (iv) do all such things as may be
recommendable and/or necessary for proper and
timely fulfillment of the purpose of this Agreement.
2.5 The ADVISOR states that performance of the Service
shall at no time interfere, whether directly or indirectly,
with the ordinary operation of the Airport or with the
development of the activities of LAP or of the Airport
users.

2. OBJETIVO
2.1. Por medio del presente, las Partes acuerdan
establecer las condiciones en virtud de las cuales, el
CONSULTOR deberá prestar los servicios de
Consultoría en material Contractual y Comercial a
LAP en relación al Programa. En virtud del presente
Contrato, las partes se comprometen a colaborar
entre sí para dar cumplimiento a sus metas y
objetivos comunes.
2.2. En virtud del presente Contrato, el CONSULTOR se
compromete a prestar, por su propia cuenta, costo
y riesgo, el servicio de Consultoría y asesoría para el
programa de desarrollo relacionado con la
expansión del Aeropuerto Internacional “Jorge
Chávez”, de conformidad con las Especificaciones
contenidas en este Contrato, el Alcance del Trabajo
y otros Anexos del mismo. El CONSULTOR establece
que cuenta con el equipo, los implementos, los
recursos financieros, las autorizaciones
gubernamentales, así como con el personal
debidamente calificado y capacitado para prestar el
Servicio. Asimismo, el CONSULTOR establece que
prestará el Servicio de acuerdo con los más altos
estándares de calidad.
2.3. El CONSULTOR prestará el Servicio con
independencia, por lo que no se encontrará sujeto
ni subordinado a LAP, lo que implica suministrar
todos los bienes que se requieran para cumplir el
objetivo de este Contrato.
2.4. El CONSULTOR se compromete a (i) llevar a cabo
todas las actividades; (ii) utilizar todos los equipos,
recursos y mano de obra; (iii) obtener todas las
autorizaciones y derechos (incluso el derecho de
servidumbre); y, en general, (iv) realizar todos
aquellos actos que sean recomendables y/o
necesarios para el cumplimiento apropiado y
oportuno del objetivo de este Contrato.
2.5. El CONSULTOR señala que la ejecución del Servicio
no podrá interferir en ningún momento, sea directa
o indirectamente, con la operación normal del
Aeropuerto o con el desarrollo de las actividades de
LAP o de los usuarios del Aeropuerto.
2.6 The Parties agree to maintain a relationship of
cooperation, communication and team work at all
levels, and that it is their intention to set and develop
the provision of the advisory services in accordance
with the principles set forth in this Agreement.
3. DEFINITIONS AND INTERPRETATION
All references herein to "Annexes" and "Clauses" shall
be understood as made to Annexes and Clauses of this
Contract, unless expressly provided otherwise. All
Annexes to this Contract are an integral part hereof.
3.1. Definitions:
As used herein, capitalized terms shall have the
following meaning:
Advisor: A firm duly organized under the laws of its
country of origin or natural person that has all the
powers and corporate authority required to enter the
Agreement and develop the technical advisory services
required.
Agreement: This Commercial and Contractual Advisory
Agreement, which regulates the obligations and
responsibilities of the ADVISOR and LAP, and the
conditions for implementing the Scope of Work.
Airport: Shall mean the "Jorge Chavez" International
Airport, located at Av. Elmer Faucett s/n, Callao, Peru.
Annexes: Those documents that are an integral part of
this Agreement.
Applicable Laws: Any and all Peruvian laws of any rank
or level enacted by any Authority (whether municipal,
regional, judicial, administrative, regulatory or of any
other nature) as may apply to the Agreement, with no
limitation, including (but not limited to) laws,
regulations, ordinances, and resolutions.
Business Days: The calendar days other than Saturday,
Sunday or any public holiday declared as such for the
city of Lima, including the days on which banks in this
city are not required to be open to the public. Half-day
holidays are considered holidays for these purposes.

2.6. Las Partes se comprometen a mantener una
relación de cooperación, comunicación y trabajo en
equipo a todo nivel, y tienen la intención de
establecer y desarrollar la provisión de los servicios
de consultoría en virtud de los principios
establecidos en este Contrato.
3. DEFINICIONES E INTERPRETACIÓN
Toda referencia que se realice en el presente
Contrato a “Anexos” y “Cláusulas” deberá
entenderse como referidos a Anexos y Cláusulas de
este Contrato, salvo que se establezca
expresamente lo contrario. Todos los Anexos del
presente Contrato forman parte integral del mismo.
3.1. Definiciones:
Los términos que aparecen con mayúscula inicial, tal
como se utiliza en el presente documento, tendrán
el significado siguiente:
Consultor: Una firma legal debidamente constituida
en virtud de las leyes de su país de origen, o una
persona natural que cuenta con todos las facultades
y autoridad corporativa que se requiere para
celebrar el Contrato y desarrollar los servicios de
consultoría técnica requeridos.
Contrato: El presente Contrato de Consultoría en
materia Comercial y Contractual que regula las
obligaciones y responsabilidades del CONSULTOR y
de LAP, así como las condiciones para implementar
el Alcance del Trabajo.
Aeropuerto: Deberá entenderse por el Aeropuerto
Internacional “Jorge Chávez”, ubicado en Av. Elmer
Faucett s/n, Callao, Perú.
Anexos: Aquellos documentos que forman parte
integrante de este Contrato.
Legislación Aplicable: Una o todas las leyes
peruanas de cualquier rango o nivel promulgada(s)
por cualquier Autoridad (sean municipales,
regionales, judiciales, administrativas, regulatorias o
de cualquier otra naturaleza), la(s) misma(s) que se
pueda(n) aplicar al Contrato, sin limitación alguna,
incluyendo (entre otras) leyes, regulaciones,
ordenanzas y resoluciones.
Días Hábiles: Son los días calendario que no incluyen
sábados, domingos, ni cualquier feriado público,
declarado como tal en la ciudad de Lima, incluyendo
los días en que los bancos de la ciudad no estén
obligados a atender al público. Los feriados de
medio día son considerados feriados para este
propósito.
Certificate of Acceptance of Service: document which,
duly signed by LAP and the ADVISOR, shall evidence the
performance and completion, to the satisfaction of
LAP, of the advisory in accordance with the Scope of
Work to the satisfaction of LAP.
Change: Any change to the Services instructed in
writing by LAP, including any omission, reduction,
addition or variation to the Services.
Concession: Means the Concession Agreement for
Construction, Improvement, Maintenance and
Operation of Jorge Chavez International Airport
executed by LAP and the Peruvian government through
the Ministry of Transport and Communications on
February 14, 2001.
Days or Calendar Days: The days from Monday to
Sunday.
Deliverables: Means the reports, specifications, briefs,
equipment and any other technically approved
documents to be delivered by the ADVISOR to LAP as
part of its services hereunder, in order to fulfill the
execution of the Services, according to the provisions of
the Scope of the Work. The listing and deadlines for
which are detailed in the Scope of Work, Annex A
hereto;
Fee: The amount listed in the Fee Schedule, which may
be adjusted only as provided herein.
Licenses: All authorizations, permits, licenses and, in
general, municipal and administrative approvals
required under Applicable Laws, and such permits and
authorizations as may be issued by LAP to allow the
ADVISOR to perform its activities hereunder.
Party(ies): the ADVISOR and/or LAP.
Remuneration: Shall mean the aggregate amount to be
paid by LAP to the ADVISOR for the proper performance
of the Services. The remuneration will be paid to the
ADVISOR as established in Clause 8.
Scope of Work: Contains the outline of the objectives
and accomplishments to be achieved with the service
to be performed by the Advisor.
Services: Means any work, tasks and/or activities to be
performed by the ADVISOR in accordance with the
Scope of Work, the Technical Proposal and other
specifications contained in this Agreement and in the
Annexes thereto.

Constancia de Aceptación del Servicio: Documento
que cuando se encuentra debidamente firmado por
LAP y por el CONSULTOR, se considerará como
constancia de la ejecución y cumplimiento de la
Consultoría, a satisfacción de LAP, de conformidad
con el Alcance del Trabajo.
Modificaciones: Cualquier modificación de los
Servicios que LAP apruebe por escrito, incluyendo
cualquier omisión, reducción, inserción o variación
de los Servicios.
Concesión: Significa el Contrato de Concesión para
la Construcción, Mejoramiento, Mantenimiento y
Operación del Aeropuerto Internacional “Jorge
Chávez”, suscrito por LAP y el gobierno peruano a
través del Ministerio de Transporte y
Comunicaciones, el 14 de febrero de 2001.
Días o Días Calendario: Todos los días, de lunes a
domingo.
Entregables: Son los informes, especificaciones,
resúmenes, equipos y cualesquier documentos
técnicamente aprobados, que el CONSULTOR
entregará a LAP, en virtud del presente Contrato,
como parte de sus servicios, a fin de cumplir con la
ejecución de los Servicios, de acuerdo a las
disposiciones del Alcance del Trabajo. Asimismo, las
listas y plazos que se describen en el Alcance del
Trabajo, adjunto al presente Contrato en Anexo A;
Tarifas: El monto que aparece en la Tabla de Tarifas,
el mismo que sólo podrá ajustarse de conformidad a
lo previsto en el presente Contrato.
Licencias: Todas las autorizaciones, permisos,
licencias y, en general, aprobaciones municipales y
administrativas que se requieran en virtud de las
Leyes Aplicables, así como aquellos permisos y
autorizaciones que pueda emitir LAP para permitir
que el CONSULTOR realice sus actividades, en
adelante.
Parte(s): El CONSULTOR y/o LAP.
Remuneración: Significará el monto total que LAP
deberá pagar al CONSULTOR por el correcto
desarrollo de los Servicios. La remuneración será
pagada al CONSULTOR de acuerdo a lo establecido
en la Cláusula 8 del presente Contrato.
Alcance del Trabajo: Contiene la estructura de
objetivos y cumplimientos que se deberán alcanzar
mediante el servicio que desarrolle el CONSULTOR.
Servicios: Significa cualquier obra, tarea y/o
actividad que desarrolle el CONSULTOR de acuerdo
al Alcance del Trabajo, la Propuesta Técnica y otras
especificaciones contenidas en el presente Contrato
y en los Anexos del mismo.
3.2. Guarantees regarding capacity:
LAP guarantees that it has the power to execute, deliver
and fulfill all of its obligations under this Agreement and
that all necessary corporate and other actions have
been taken to ensure execution, delivery and
performance.
The ADVISOR guarantees that it has the power to
execute, deliver and fulfill all its obligations under this
Agreement and that all the measures, corporate and
otherwise, necessary to guarantee execution, delivery
and performance have been adopted.
3.3. Survival:
Unless otherwise provided, the guarantees, obligations
or responsibilities of the Parties shall survive
termination of this Agreement.
3.4. Severability:
If the enforcement of any provision hereof is prohibited
by law or if any provision or a part thereof is declared
null, invalid our unenforceable by law, such prohibition,
nullity or unenforceability shall not affect the validity or
enforceability of the remainder of such provision
and/or of any other provision and condition hereof.
4. TERM OF THE AGREEMENT
4.1 This Agreement shall enter in force and effect on the
date of execution thereof.
4.2 Unless otherwise agreed in writing by the Parties, this
Agreement shall cease to be effective on termination
thereof or sixteen (16) weeks as from the date of
execution hereof, whichever is earlier.
4.3. This Agreement should only be extended and amended
in writing by the Parties.

3.2. Garantías con respecto a las facultades:
LAP deja constancia que cuenta con facultades
suficientes para ejecutar, entregar y cumplir con
todas sus obligaciones en virtud del presente
Contrato, y que todas las facultades societarias que
se requieren, así como otras acciones, han sido
tomadas para asegurar la ejecución, entrega y
cumplimiento.
El CONSULTOR deja constancia que cuenta con
facultades suficientes para ejecutar, entregar y
cumplir con sus obligaciones en virtud del presente
Contrato, y que todas las acciones, facultades
societarias y de otra naturaleza, necesarias para
asegurar la ejecución, entrega y cumplimiento, han
sido adoptadas.
3.3. Vigencia:
Salvo que se estipule lo contrario, las garantías,
obligaciones o responsabilidades de las Partes,
seguirán vigentes aún después de la terminación del
presente Contrato.
3.4. Integridad:
Si la ejecución de cualquiera de las disposiciones del
presente Contrato es contraria a ley, o si alguna de
las disposiciones o parte de las mismas es declarada
nula, inválida o que no se pueda ejecutar por ley, tal
prohibición, nulidad o impedimento de ejecución,
no afectará la validez o eficacia del remanente de la
mencionada disposición y/o de cualquier otra
disposición y condición de la misma.
4. VIGENCIA DEL CONTRATO
4.1 El presente Contrato entrará en vigencia a partir de
la fecha de suscripción.
4.2 Salvo que las Partes acuerden lo contrario por
escrito, el presente Contrato dejará de surtir efecto
a su término o dieciséis (16) semanas después de la
fecha de suscripción del Contrato, lo que se
produzca primero.
4.3. El presente Contrato sólo podrá ser ampliado y
modificado previo consentimiento por escrito de las
Partes.
5. SERVICIOS
5.1. Services and obligations of the ADVISOR
(a) The ADVISOR shall:
(i) perform and complete the Services,
including correcting any defect, in
accordance with this Agreement;
(ii) complete the Services on as established in
the Scope of Work;
(iii) know the requirements of LAP for the
Program and, in this connection, interact and
consult with LAP regularly;
(iv) consult and interact with other LAP
advisor(s), when necessary or desirable for
proper performance of the Services,
including attending to all work meetings as
requested by LAP;
(v) obtain the prior written consent of LAP for
any publication of reports, photographs, or
details relative to any Service provided or
underway of the Scope of Work, complying
at all times with the confidentiality duty
regulated in this Agreement;
(vi) communicate to LAP any discrepancy as may
arise during implementation of the Scope of
Work; that is, any failure of agreement as
may occur with LAP personnel. In such an
event, the ADVISOR shall be required to
comply with, immediately, with the decision
of LAP in such regard;
(vii) implement and use all the necessary
methods to comply with occupational health
and safety standards;
(viii) hold LAP harmless against any claims or
administrative, arbitration and/or legal
proceedings filed against LAP for failure of
performance by the ADVISOR of any of its
obligations hereunder, provided such failure
of performance is attributable solely to the
ADVISOR.
(b) In performance of the obligations set forth in
Clause 5.1 (a), the ADVISOR represents and
warrants that:
(i) it has the expertise and is duly qualified to
perform the Services as provided herein;

5.1. Servicios y obligaciones del CONSULTOR
(a) El CONSULTOR deberá:
(i) ejecutar y completar los Servicios, incluyendo
la subsanación de cualquier error, en virtud
del presente Contrato;
(ii) completar los Servicios de acuerdo a lo
establecido en el Alcance del Trabajo;
(iii) conocer los requerimientos de LAP
relacionados al Programa y, en este sentido,
interactuar y consultar con LAP, regularmente;
(iv) consultar e interactuar con otro(s)
consultor(es) de LAP cuando sea necesario o
aconsejable, a fin de prestar adecuadamente
los Servicios, que incluye asistencia a todas las
reuniones de trabajo, a solicitud de LAP;
(v) obtener previo consentimiento por escrito de
LAP, en relación a cualquier publicación de
informes, fotografías o detalles relacionados
con cualquier Servicio que se preste o que se
estén ejecutando del Alcance del Trabajo,
manteniendo el deber de confidencialidad
regulado en el presente Contrato;
(vi) comunicar a LAP cualquier discrepancia que
pudiera surgir durante la implementación del
Alcance del Trabajo; es decir, cualquier
incumplimiento de los acuerdos que pudiera
ocurrir con el personal de LAP. Si se diera el
caso, se exigirá al CONSULTOR que cumpla
inmediatamente con la decisión de LAP, al
respecto.
(vii) implementar y utilizar todos los métodos
necesarios para cumplir con las normas de
salud y seguridad ocupacional.
(viii) liberar a LAP de toda responsabilidad
relacionada con los reclamos o
procedimientos administrativos, de arbitraje,
y/o legales que se entablen contra LAP debido
al incumplimiento, por parte del CONSULTOR,
de cualquiera de sus obligaciones en virtud del
presente Contrato, siempre y cuando tal
incumplimiento sea atribuido exclusivamente
al CONSULTOR.
(b) En cumplimiento de las obligaciones
estipuladas en la Cláusula 5.1 (a), el
CONSULTOR declara y garantiza lo siguiente:
(i) que tiene competencia y está
debidamente calificado para la provisión
 (ii) it will not infringe any Intellectual Property
Right of third parties in performance of the
Services; and
(iii) it will comply with all Applicable Laws in the
provision of the Services.
(c) The ADVISOR agrees that the Services will include
all the activities which, even if not expressly
referred to in this Agreement, are necessary for
completion, or for the safe and/or appropriate
provision of the Services.
(d) Nothing contained in this Agreement shall be
deemed to authorize the ADVISOR to make any
unilateral Change to the performance of the
Services, the Fee and/or this Agreement, without
the prior written consent of LAP.
5.2 Review of documents
(a) The ADVISOR is responsible for all reasonable
efforts in obtaining all the information, documents
and other details required to perform the Services
as provided herein.
(b) The ADVISOR shall review all such information,
documents and other details pertaining to the
Services as LAP may make available to it and ensure
the sufficiency of such information documents and
other details.
(c) LAP makes no warranty as to the accuracy or
adequacy of any information, data or documents
made available to the ADVISOR in connection with
the Services.
5.3 Standard of the Services
The ADVISOR shall provide the Service in accordance
with the professional standards of reasonable skill, care
and diligence expected from experienced and
competent international advisors specializing in the
provision of similar services for programs of scope,

de los Servicios de acuerdo a lo que se
estipula en el presente Contrato;
(ii) que no incumple ningún Derecho de
Propiedad Intelectual de terceros al
momento de prestar los Servicios; y
(iii) que cumple con todas las Leyes Aplicables
al momento de prestar los Servicios.
(c) El CONSULTOR se compromete a que los
Servicios incluirán todas las actividades que,
aun cuando no estén expresamente referidas
en este Contrato, sean necesarias para la
prestación de los Servicios o para la seguridad
y/o conveniente provisión de los mismos.
(d) Ninguna disposición contenida en el presente
Contrato será considerada como autorización
al CONSULTOR para realizar cualquier
Modificación unilateral relacionada con la
prestación de los Servicios, con el honorario
y/o con el presente Contrato, sin contar con el
previo consentimiento por escrito de LAP.
5.2 Revisión de los documentos
(a) El CONSULTOR es responsable en realizar
todos los esfuerzos razonables para la
obtención de toda información, documentos y
otros detalles que se requieran para prestar
los Servicios según se encuentra estipulado en
el presente Contrato.
(b) El CONSULTOR deberá revisar toda esa
información, documentos y otros detalles que
se encuentren relacionados con los Servicios,
en cuanto LAP pueda facilitárselos,
asegurando que tal información, documentos
y otros detalles están completos.
(c) LAP no garantiza la precisión o suficiencia de
cualquier información, datos o documentos
que pusiera a disposición del CONSULTOR,
relacionados con los Servicios.
5.3 Calidad de los Servicios
El CONSULTOR deberá prestar el Servicio de
conformidad con las normas profesionales de
competencia razonable, atención y diligencia que se

 quality, size, magnitude and complexity similar to those
of the Program.
5.4 Preparation and submission of documents for the
Program
The ADVISOR shall ensure that the documents for the
Program and any other document prepared and
submitted by the ADVISOR to LAP under this
Agreement:
(a) are submitted in accordance with the Scope of
Work;
(b) meet the requirements of this Agreement; and
(c) are submitted in the form(s) approved by LAP.
5.5 Quality assurance of the Services
The ADVISOR must establish and maintain the quality
of the Services.
5.6. Error or omission or defects in the Services
(a) Whenever errors or omissions or defects are
found in the documents or in any other part of the
Services, the ADVISOR shall promptly remedy such
errors or omissions or defects and, if appropriate,
re-issue the documents, all at its sole cost and
expense.
(b) In the event of failure by the ADVISOR to take
corrective actions, LAP shall be entitled to
perform or cause performance of such corrective
services by third parties.
5.7. Liability for performance of the Services
(a) The ADVISOR is liable for full performance of its
obligations hereunder. In this connection, the
ADVISOR shall be solely and exclusively
responsible for the Services to be performed and
that the work methodology thereof and the
Services Payment provides for all that is necessary
for performance of the Services. The authority of
supervision and verification granted to LAP, and
the approval by LAP of any document issued by

alcance, calidad, dimensión, magnitud y
complejidad similares a aquellos del Programa.
5.4 Elaboración y entrega de documentos para el
Programa
El CONSULTOR deberá asegurar que los documentos
para el Programa y cualquier otro documento que el
CONSULTOR elabore y entregue a LAP en virtud del
presente Contrato:
(a) sean entregados de conformidad con lo
estipulado en el Alcance del Trabajo;
(b) cumplan con los requerimientos estipulados
en el presente Contrato; y
(c) se entreguen en el(los) formato(s) autorizados
por LAP.
5.5 Control de Calidad de los Servicios
El CONSULTOR debe establecer y mantener la
calidad de los Servicios.
5.6. Error u omisión o defectos en la prestación de los
Servicios
(a) Si se encontrara algún error u omisión o
defecto en los documentos o en cualquier otra
parte de los Servicios, tales errores u
omisiones o defectos deberán ser subsanados
inmediatamente por el CONSULTOR, y si fuera
necesario, deberá expedir nuevamente los
documentos, todo ello bajo su exclusiva
responsabilidad y riesgo.
(b) En caso de que el CONSULTOR no cumpliera
con realizar las acciones correctivas, LAP
estará facultado para realizar o coordinar que
terceros realicen tales medidas correctivas.
5.7. Responsabilidad por la prestación de los Servicios
(a) El CONSULTOR es responsable por el total
cumplimiento de sus obligaciones
mencionadas más adelante. En este sentido, el
CONSULTOR será el único y exclusivo
responsable por los Servicios que preste y que
la metodología de trabajo de los mismos, así
como el Pago de los Servicios que preste por
todo ello, son necesarios para la prestación de
los Servicios. La facultad de supervisión y

release of the responsibilities of the ADVISOR
hereunder, or as a situation of co-responsibility.
(b) All information required by the ADVISOR for the
provision of the service must be managed by the
latter before LAP with due anticipation.
(c) The ADVISOR shall be afforded the possibility to
request LAP to change the time limit of the
Deliverables set by the Parties, only for reasons
not attributable to the ADVISOR, as set forth in the
following paragraph.
(d) The ADVISOR is released of the responsibilities
attributable to failure to perform its obligations
hereunder only when such failure is caused by an
act of God or force majeure, which are
exceptional, unforeseeable and irresistible events
preventing performance of its obligations or
causing partial, late or defective performance
thereof, or for any cause attributable to LAP.
5.8. Acceptance of the Service
(a) LAP may make objections and/or comments in
connection with the documents, reports, briefs or
any communication issued by the ADVISOR in
performance of the Agreement, to which the
ADVISOR shall respond immediately and to the
satisfaction of LAP.
(b) The Parties expressly agree that acceptance by
LAP of the documents, reports, briefs or any
communication issued by the ADVISOR shall not
release the ADVISOR from its applicable
contractual and legal liabilities or be construed as
a waiver by LAP to any claims arising from this
Agreement, whether directly or indirectly, to which
it may be entitled.

debida anticipación.
(c) Se deberá conceder al CONSULTOR la
posibilidad de requerir a LAP que modifique el
tiempo límite de los Entregables establecido
por las Partes, únicamente por razones no
atribuibles al CONSULTOR, de conformidad a
lo estipulado en el párrafo siguiente.
(d) El CONSULTOR queda liberado de cualquier
responsabilidad atribuible al incumplimiento
de sus obligaciones mencionadas líneas abajo,
únicamente cuando tal incumplimiento sea
causado por hechos fortuitos o de fuerza
mayor, que sean considerados eventos
excepcionales, impredecibles o de naturaleza
extraordinaria, que puedan impedir la
ejecución de sus obligaciones o causen
cumplimiento parcial, tardío o defectuoso de
las mismas, o por cualquier otra causa
atribuible a LAP.
5.8. Aceptación del Servicio
(a) LAP puede realizar observaciones y/o
comentarios en relación con los documentos,
informes, resúmenes o cualquier otra
comunicación que emita el CONSULTOR en
cumplimiento del presente Contrato, para
ello, el CONSULTOR deberá subsanarlos
inmediatamente, a total satisfacción de LAP.
(b) Las Partes se comprometen expresamente a
que la aceptación de LAP de los documentos,
informes, resúmenes o cualquier otra
comunicación elaborados por el CONSULTOR,
no liberará al CONSULTOR de sus
responsabilidades legales y contractuales
aplicables, así como no se interpretará como
renuncia de LAP a presentar cualquier reclamo
que se derive del presente Contrato, sea

5.9. Reports
If requested by LAP, the ADVISOR shall provide a
written report detailing the progress of the Services,
with the level of detail required by LAP, as well as any
other information and / or documents reasonably
requested by LAP.
5.10. Changes
(a) LAP may, in its sole discretion and at any time,
instruct a Change, which may include additional
Services, changes in quality, timing and other
characteristics of the Services or the omission of
any Service.
(b) The ADVISOR shall not make any changes to the
Services, and will not be entitled to any Fee
adjustments, unless a Change is indicated by LAP
in writing.
(c) The ADVISOR shall comply with implementing any
Change instruction issued by LAP under this
clause, with due issuance and without delay.
(d) Upon receiving a Change instruction issued as
provided in this clause, the ADVISOR shall give LAP
written notice, no later than seven (7) Days as
from receipt of the instruction, with the following:
(i) a statement confirming the scope of the
Changes and the implications for the
Services;
(ii) full details of the implications of the Fee
Change; and
(iii) any other information reasonably requested
by LAP.
(e) Upon receiving a Change instruction issued in
accordance with Subclause 5.10 (d), LAP shall
proceed to agree or determine a time extension

5.9. Informes
Cuando LAP lo requiera, el CONSULTOR entregará un
informe escrito, detallando el progreso de los
Servicios, con el nivel de detalles que solicite LAP, así
como cualquier otra información y/o documentos
que LAP pudiera requerir razonablemente.
5.10. Modificaciones
(a) LAP puede, a su exclusiva discreción y en
cualquier momento, dar las instrucciones para
realizar alguna Modificación, que pueda incluir
Servicios adicionales, modificaciones de
calidad, tiempo y otras características
relacionadas a los Servicios o la omisión de
cualquier Servicio.
(b) El CONSULTOR no deberá modificar de
ninguna forma los Servicios, así como tampoco
estará facultado para realizar cualquier ajuste
a la Tarifa, salvo que LAP estableciera alguna
modificación por escrito.
(c) El CONSULTOR deberá cumplir con
implementar cualquier instrucción de
Modificación que emita LAP en virtud de la
presente cláusula, con la debida expedición y
sin demora.
(d) Al recibir una instrucción de Modificación
emitida de acuerdo a lo estipulado en la
presente cláusula, el CONSULTOR deberá
cursar notificación por escrito a LAP, en un
periodo que no exceda los siete (7) Días desde
la recepción de la instrucción, en la que se
consignará lo siguiente:
(i) una declaración que confirme el alcance
de las Modificaciones y las implicancias
para los Servicios;
(ii) detalles completos de las implicancias
para la Modificación de la Tarifa; y
(iii) cualquier otra información que solicite
LAP razonablemente.
(e) Al recibir la instrucción de Modificación que se
emita de conformidad con la Sub-Cláusula
5.10 (d), LAP procederá a acordar o
 for completion of the Services and/or a Fee
adjustment, taking into account the fee contained
in the Fee Schedule.
(f) If the Change requires the reduction of any of the
Services, LAP may complete the reduced services
or have a third party perform them. The ADVISOR
acknowledges and accepts that any reduction will
not constitute a basis for alleging that LAP has
breached this Agreement.
(g) Notwithstanding any other provision herein, any
instruction issued by LAP, including a Change
instruction, that may be necessary due to any act,
omission or failure of performance by the
ADVISOR of its obligations hereunder, shall be
deemed not to constitute a Change and shall not
entitle the ADVISOR to a Fee increase or an
extension of the time for completion of the
Services.
5.11. Obligations of LAP
(a) LAP shall pay the ADVISOR the Fee for the
Services in accordance with Clause 8 hereof.
(b) LAP agrees to deliver any information, whether
its own or of third parties, as may be necessary
for the performance of the various activities
provided for in the Scope of Work, which shall be
delivered within the time limits previously set
and agreed with the ADVISOR.
6. VERIFICATION AND SUPERVISION OF THE AGREEMENT
6.1. LAP shall be in charge of supervision and verification of
the performance of this Agreement. The ADVISOR shall
deliver all documents arising from this Agreement,
whether directly or indirectly, to such responsible
personnel, without prejudice to the right of LAP to
require such documents to be submitted.
6.2. The ADVISOR agrees to provide LAP all the facilities
required for supervision and verification of the
performance of this Agreement and of the Services, and
provided, among others, clarifications and/or

teniendo en cuenta la Tarifa contenido en el
Tabla de Tarifas.
(f) Si la Modificación requiriera la reducción de
cualquiera de los Servicios, LAP podrá
completar los servicios reducidos o establecer
que terceros lo ejecuten. El CONSULTOR
reconoce y acepta que cualquier reducción no
constituirá base para declarar que LAP ha
incumplido el presente Contrato.
(g) No obstante, cualquier otra disposición que se
establezca en el presente Contrato, o
cualquier instrucción que dé LAP, incluyendo
una instrucción de Modificación necesaria,
debido a cualquier acto, omisión o
incumplimiento por parte del CONSULTOR de
sus obligaciones establecidas líneas abajo, no
se considerarán como Modificación y no le
dará derecho al CONSULTOR de incrementar la
Tarifa o una prórroga para completar sus
Servicios.
5.11. Obligaciones de LAP
(a) LAP deberá pagar al CONSULTOR la Tarifa por
los Servicios que preste, de acuerdo a la
Cláusula 8 del presente Contrato.
(b) LAP se compromete a entregar cualquier
información, sea de su propiedad o de
terceros, según sea necesario, para la
ejecución de las diversas actividades
establecidas en el Alcance del Trabajo, la
misma que deberá ser entregada dentro de los
plazos previamente establecidos y acordados
con el CONSULTOR.
6. VERIFICACIÓN Y SUPERVISIÓN DEL CONTRATO
6.1. LAP estará a cargo de la supervisión y verificación del
cumplimiento del presente Contrato. El CONSULTOR
entregará todos los documentos que se deriven de
este Contrato, sea directa o indirectamente, al
personal a cargo, sin perjuicio del derecho que tiene
LAP para requerir la entrega de dichos documentos.
6.2. El CONSULTOR se compromete a brindar a LAP todas
las facilidades que se requieren para la supervisión y
verificación del cumplimiento del presente Contrato
y de los Servicios, y entregar, entre otros,

6.3. LAP has the following authority:
(a) Suspend at any time, upon the giving of written
notice to the ADVISOR, performance of the
Services, provided it LAP deems such measure
necessary to ensure proper performance of the
Services agreed herein.
(b) LAP shall review and approve performance of the
Services completed, and the invoices submitted by
the ADVISOR.
(c) If any defects are detected during performance of
the Agreement, LAP shall be entitled to request that
the ADVISOR promptly make the necessary
correction(s).
7. SUSPENSION
7.1 The ADVISOR shall provide at all times the Services with
the due diligence and without delay, with a view to
accomplishing performance of the Services and
completion of the activities and the Services in
accordance with the Scope Work.
The ADVISOR acknowledges that time is of the essence
for performance of its obligations hereunder.
7.2. LAP may suspend performance by the ADVISOR of work
hereunder, whether in whole or in part, by giving notice
thereof to the ADVISOR. Upon receipt of such
suspension notice, the ADVISOR shall suspend
performance of work immediately to the extent
required. The ADVISOR acknowledges that all payments
of the Fee in connection with the suspended
obligations shall be suspended as a result and LAP shall
not be liable to the ADVISOR for any future
compensation associated with a suspension under this
clause.
7.3. At any time after suspension of the obligations of the
ADVISOR hereunder, LAP may, acting reasonably,
request by written notice to the ADVISOR to resume
performance of the suspended obligations, whether in

aclaraciones y/o información sobre el estado de
actividades y trabajo desempeñado.
6.3. LAP tiene las siguientes facultades:
(a) Suspender en cualquier momento la provisión
de los Servicios, al momento de la entrega de
notificación por escrito al CONSULTOR,
siempre y cuando LAP estime que tal medida
es necesaria para asegurar una adecuada
ejecución de los Servicios, en virtud del
presente Contrato.
(b) LAP deberá revisar y aprobar la provisión de
los Servicios completados, y las facturas que
entregue el CONSULTOR.
(c) Si se detectara alguna deficiencia durante la
ejecución del Contrato, LAP tendrá el derecho
a solicitar que el CONSULTOR realice la(s)
subsanación(es) necesaria(s).
7. SUSPENSIÓN
7.1 En todo momento, el CONSULTOR deberá prestar los
Servicios con la debida diligencia y sin demora, con
el fin de cumplir con la prestación de los Servicios y
la culminación de las actividades y de los Servicios de
acuerdo al Alcance del Trabajo.
El CONSULTOR reconoce que el tiempo es esencial
para la ejecución de sus obligaciones, en virtud del
presente Contrato.
7.2. LAP puede suspender la ejecución del trabajo, por
parte del CONSULTOR, en virtud del presente
Contrato, ya sea parcial o totalmente, notificando al
respecto al CONSULTOR. A la recepción de la
mencionada notificación de suspensión, el
CONSULTOR suspenderá la ejecución del trabajo
inmediatamente, en la medida que sea necesario. El
CONSULTOR reconoce que como resultado, se
suspenderá todos los pagos de Tarifas con relación a
las obligaciones suspendidas, y LAP no será
responsable frente al CONSULTOR por cualquier
futura compensación asociada a la suspensión en
virtud de esta cláusula.
7.3. En cualquier momento, después de la suspensión de
las obligaciones del CONSULTOR, que se establecen
más adelante, LAP, actuando razonablemente,
podrá requerir, mediante notificación por escrito,
que el CONSULTOR reanude la ejecución de las

7.4. If, at any time after a period of three (3) months as from
the suspension date the ADVISOR has not received any
notice from LAP to resume performance of all the
suspended obligations, it shall terminate the Services
by written notice to LAP.
7.5. If the Agreement is terminated as provided in
Subclause 7.4, the ADVISOR shall be entitled to be paid
the value of the Services performed and the direct
expense reasonably incurred by the ADVISOR on the
termination date, as agreed between the Parties or, in
the absence of an agreement in this connection, as
reasonably determined by LAP.
7.6. If, in the judgment of the ADVISOR, any circumstances
other than an act of God or force majeure beyond the
control of the ADVISOR which actually make it
impossible to perform the Services, whether in whole
or in part, in accordance herewith, arise, the ADVISOR
shall immediately give notice thereof to LAP, within
seven (7) Days as from the occurrence of such
circumstances, the full details of the circumstances,
and the reasons that make it impossible to perform,
whether in whole or in part, the Services under this
Agreement.
7.7. If LAP, in its sole discretion, determines:
(i) that the ADVISOR is not responsible for the
circumstances set forth in the notice to LAP given
under Subclause 7.6, and
(ii) that the circumstances justify the suspension of
the Services, then LAP may suspend the
performance by the ADVISOR of its work
hereunder as provided in Subclause 7.1. At any
time after suspension of the obligations of the
ADVISOR hereunder, LAP may request once again
in writing to the ADVISOR to resume performance
of the work suspended in accordance with
Subclause 7.2.

7.4. Si, en cualquier momento después de un periodo de
tres (3) meses a partir de la fecha de suspensión, el
CONSULTOR no hubiera recibido ninguna
notificación por parte de LAP para reanudar la
ejecución de todas las obligaciones suspendidas, el
CONSULTOR podrá dar por concluidos los Servicios,
mediante comunicación por escrito a LAP.
7.5. Si se resolviera el Contrato de acuerdo a lo previsto
en la Sub-Cláusula 7.4, el CONSULTOR tendrá
derecho a recibir el pago correspondiente a los
Servicios realizados y el gasto directo
razonablemente incurrido por el CONSULTOR a la
fecha de cierre, en virtud a los acuerdos celebrados
entre las Partes, o a falta de acuerdos sobre este
asunto, de conformidad a lo razonablemente
determinado por LAP.
7.6. Si, a juicio del CONSULTOR, se produjera algún
evento que no se derive de hechos fortuitos o fuerza
mayor, los mismos que se encuentran fuera del
control del CONSULTOR, y que realmente
imposibilite la prestación de los Servicios, sea parcial
o total, de acuerdo con lo estipulado en el presente
Contrato, el CONSULTOR deberá cursar inmediata
notificación sobre tal evento a LAP, dentro de los
siete (7) Días siguientes a la ocurrencia de tales
eventos, brindando detalles completos de tales
eventos, y de las razones por las cuales se impide la
prestación de los Servicios, sea total o parcialmente,
en virtud del presente Contrato.
7.7. Si LAP, a su exclusiva discreción, determinara:
(i) que el CONSULTOR no es responsable por los
eventos establecidos en la notificación
enviada a LAP, de conformidad con la Sub-
Cláusula 7.6, y
(ii) que los eventos justifiquen la suspensión de
los Servicios, LAP podrá suspender la ejecución
de los trabajos, según lo previsto en la Sub-
Cláusula 7.1. En cualquier momento, después
de la suspensión de las obligaciones por parte
del CONSULTOR que se estipulan más
adelante, LAP podrá solicitar al CONSULTOR,
una vez más y por escrito, que reanude la
ejecución del trabajo suspendido, de
conformidad a lo establecido en la Sub-
Cláusula 7.2.
8. PAYMENT
8.1 Fee
(a) LAP shall pay to the ADVISOR, on a monthly basis,
the Remuneration for the Services in accordance
with the Fee set in the Fee Schedule, and as
provided in this clause.
(b) The Parties expressly agree that the Remuneration
for each Service shall cover all costs, expenses,
among others, as necessary for performance of the
Service to the satisfaction of LAP with the Scope of
Work and the Fee Schedule according to the
specifications and exceptions specified in those
Annexes.
(c) The ADVISOR states that the Remuneration covers
and includes, without limitation, all items detailed
in the work units contained in the Scope of Work,
including all costs and/or expenses arising directly
or indirectly for the ADVISOR, and hereby waives
any request, claim and/or additional amount in this
connection except (i) in the case of the exceptions
expressly specified in the Fee Schedule and (ii) in a
change to the Services as required by LAP or task
specific circumstances which shall be
communicated to, and agreed by, LAP.
8.2 Payment Method
(a) LAP shall make payment for the Services, provided
they have been approved to the full satisfaction of
LAP in accordance with the Scope of Work in a
monthly basis. To approve payment upon meeting
the requirement to make such payment, the
ADVISOR shall issue a payment (valuation) request
to LAP, detailing the payments that, in its opinion,
are due. In any case, approval of the valuation shall
be conditional on submission by the ADVISOR to
LAP, and to the satisfaction of LAP, each and every
one of the following documents:

8. PAGO
8.1 Tarifa
(a) LAP deberá pagar al CONSULTOR, sobre una
base mensual, la Remuneración
correspondiente a los Servicios, de acuerdo
con la Tarifa establecida en la Tabla de Tarifas,
y lo previsto por esta Cláusula.
(b) Las Partes se comprometen expresamente a
que la Remuneración por cada Servicio deberá
cubrir los costos, gastos, entre otros, según
sea necesario, para la prestación del Servicio a
satisfacción de LAP, así como para el
cumplimiento del Alcance del Trabajo y de la
Tabla de Tarifas, de acuerdo a las
especificaciones y excepciones especificadas
en los Anexos.
(c) El CONSULTOR establece que la Remuneración
cubre e incluye, sin limitación alguna, todos los
temas detallados en las unidades de trabajo,
las mismas que se encuentran contenidas en
el Alcance del Trabajo, incluyendo todos los
costos y/o gastos que resulten, directa o
indirectamente, del CONSULTOR; y, por el
presente Contrato, renuncia a cualquier
requerimiento, reclamo y/o monto adicional,
en ese sentido, salvo (i) en el caso de las
excepciones expresamente especificadas en la
Tabla de Tarifas, y (ii) LAP requiriera realizar
alguna modificación de los Servicios, o de las
tareas, según circunstancias específicas, que
deberán ser comunicadas a LAP y aprobadas
por esta última.
8.2 Método de Pago
(a) LAP deberá realizar un pago mensual por los
Servicios, siempre y cuando éstos hayan sido
aprobados a entera satisfacción de LAP, de
conformidad con el Alcance del Trabajo. Para
aprobar el pago, una vez que se cumpla con el
requerimiento del mismo, el CONSULTOR
deberá enviar a LAP un requerimiento de pago
(valorización), detallando los montos que, a su
opinión, se encuentran pendientes. En
cualquier caso, la aprobación de la
valorización estará condicionada al envío que
deberá realizar el CONSULTOR a LAP, a su

i. Deliverables and other document required in
accordance with this Agreement, as set forth
in the Scope of Work, evidencing performance
of its contractual obligations and requesting
payment as provided herein.
ii. Monthly Report certifying days worked,
primary activity on each day and summarizing
overall activities of the ADVISOR during the
month.
iii. Documents evidencing that the premiums of
all insurance to be taken by the ADVISOR have
been paid as and when due.
iv. Other documents as LAP may require
validating performance of the Service.
(b) Upon receipt of all documents, LAP shall have five
(5) Days to object and/or approve the payment
request submitted and to communicate such
payment to the ADVISOR. If the payment request
is approved, LAP shall issue within five (5) Days as
from such approval the pertaining Service Entry
Sheet (HES).
(c) Only upon approval of the payment request, the
ADVISOR shall issue and submit its invoice to LAP,
in one original vía email, for the amount authorized
by LAP, accompanying a copy of the document
evidencing it. The invoice shall be submitted with a
copy of the approved valuation, the HES and the
Service Order (OS). Invoices submitted by the
ADVISOR shall meet all the requirements set forth
in Applicable Laws, the ADVISOR being solely
responsible for performance of such obligation.
LAP reserves the right not to accept and will return
an invoice that fails to meet the minimum legal
requirements described in the “Reglamento de
Comprobantes de Pago”, as supplemented and
amended, and/or that fails to attach the
documents detailed in this clause. Accordingly, if
the ADVISOR fails to meet such requirements, LAP
may withhold payment until the requirements are

entera satisfacción, de cada uno de los
documentos siguientes:
i. Entregables y otro documento que se
requiera en virtud de este Contrato, de
acuerdo a lo estipulado en el Alcance del
Trabajo, mediante el cual se deje
constancia del cumplimiento de sus
obligaciones contractuales y del
requerimiento de pago, de acuerdo a lo
estipulado en el presente Contrato.
ii. Informe Mensual donde se deje constancia
de los días trabajados, de la actividad
principal por día y un resumen de la
totalidad de operaciones que el
CONSULTOR realizó durante el mes en
cuestión.
iii. Documentos que certifiquen que el
CONSULTOR cumplió con pagar las primas
de todos los seguros que contrató, en los
plazos y formas debidos.
iv. Otros documentos que pudiera requerir
LAP, que den validez al cumplimiento del
Servicio.
(b) A la recepción de todos los documentos, LAP
tendrá cinco (5) Días para realizar
observaciones y/o aprobar la solicitud de pago
entregada, así como para comunicar dicho
pago al CONSULTOR. Si se aprobara el
requerimiento de pago, LAP deberá emitir la
correspondiente Hoja de Entrada de Servicios
(HES), dentro de los cinco (5) primeros Días en
que se dio la mencionada aprobación.
(c) Sólo cuando el requerimiento de pago sea
aprobado, el CONSULTOR deberá emitir su
factura y entregarla a LAP, en original,
mediante correo electrónico, por el monto
autorizado por LAP, acompañando una copia
del documento que lo sustente. La factura
deberá ser entregada junto con la copia de la
valorización aprobada, la HES y la Orden de
Servicio (OS). Las facturas que entregue el
CONSULTOR, deberán cumplir con todos los
requisitos establecidos por las Leyes
Aplicables, y el CONSULTOR será
exclusivamente responsable de cumplir dicha
obligación. LAP se reserva el derecho de
rechazar y devolver cualquier factura que
incumpla los requerimientos legales mínimos
descritos en el “Reglamento de Comprobantes
de Pago”, en su versión corregida y
 met. Invoices shall be paid by LAP in the currency
set in this Agreement.
(d) LAP shall pay the duly approved invoice within
twenty (20) Days from receipt thereof. Payment of
the invoice shall not mean acceptance, approval,
consent or satisfaction of the Services by LAP.
(e) LAP or its designee shall be entitled to reject the
payment request or suspend or withhold
payment, whether in whole or in part, if:
i. The ADVISOR is in failure of performance of
any other obligation under the Agreement,
including, without limitation, non-
performance of the Scope of Work;
ii. The ADVISOR has not submitted:
 The Deliverables,
 The information and/or reports required
by LAP or its designee,
 The updated and current insurance
policies as required in the Agreement or
has failed to provide the coverage
required or evidence thereof.
iii. The ADVISOR has any debt or sum
outstanding with LAP, whereby LAP is
entitled to make any such offsets as may be
required;
iv. There is any sum required to be paid to LAP
that the ADVISOR is required to pay.
(f) LAP shall pay the amounts withheld in accordance
with the previous paragraph, with no recognition
of any interest, if the ADVISOR regularizes or
corrects, to the satisfaction of LAP, the failures of
performance or the causes that originated such
withholding or suspension of payment.

adjuntar los documentos descritos en la
presente Cláusula. En ese sentido, si el
CONSULTOR no cumpliera con los requisitos
en cuestión, LAP podrá retener el pago hasta
que se subsane dicho incumplimiento. LAP
deberá cancelar las facturas en la misma
moneda que establezca el presente Contrato.
(d) LAP deberá pagar la factura debidamente
aprobada dentro de los primeros veinte (20)
Días en que recibió la misma. El pago de factura
no significará que LAP ha aceptado, autorizado,
aprobado los Servicios ni que estos fueron
prestados a su entera satisfacción.
(e) LAP o la persona que ésta designe, estará
facultada para rechazar el requerimiento de
pago o para suspender o retener el pago, sea
parcial o totalmente, en caso de que:
i. El CONSULTOR no cumpliera con alguna de
las obligaciones estipuladas en el Contrato,
incluyendo, entre otras, la de falta de
ejecución del Alcance del Trabajo.
ii. El CONSULTOR no hubiera entregado:
 Los Entregables,
 La información y/o informes que LAP
o la persona que designe requiera,
 Pólizas de seguro contratadas y
mantenidas, según lo estipulado en el
Contrato, o que no cumpla con
entregar la cobertura requerida o
prueba de ello.
iii. El CONSULTOR tuviera alguna deuda o
suma pendiente por cobrar a LAP, por
medio de la cual, se pueda exigir a LAP que
cumpla con realizar tales compensaciones,
si se diera el caso.
iv. Hubiera algún monto que LAP tuviera
derecho a recibir, y que el CONSULTOR
tuviera la obligación de cancelar.
(f) LAP deberá pagar los montos retenidos de
acuerdo a lo señalado en el anterior párrafo,
sin considerar los intereses, en caso de que el
CONSULTOR regularice o subsane, a entera
satisfacción de LAP, los incumplimientos o las
causas que originaron dicha retención o
suspensión de pago.
 (g) All payments hereunder shall be made in US
dollars.
8.3.
8.3. Closing Settlement
(a) The financial – accounting settlement, among
other things, is required to be made prior to
executing the Certificate of Acceptance of the
Service.
(b) Upon execution Closing Settlement by both
Parties, the ADVISOR shall prepare, based on such
Settlement, and submit to LAP, the payment
(valuation) request.
8.4
8.4 Taxes, expenses, permits and licenses
(a) The ADVISOR agrees to pay, as applicable, any
contribution, tax, levy and, in general, any taxes,
created or to be created, as may directly or
indirectly arise from performance of the Service,
other than the withholding Income Tax, which shall
be paid by LAP, as the ADVISOR is a non-resident
vendor.
(b) Any changes to the current tax system not
considered in the Agreement amount shall not
affect or alter the Services Payment.
(c) The ADVISOR shall be solely liable for payment of
all expenses pertaining to professional association
fee, and all authorizations, permits and/or licenses
as may be required to perform the Service as may
apply to this Agreement. It is clearly agreed that in
the event of any failure of performance by the
ADVISOR, LAP may elect to remove immediately
the facilities of the ADVISOR for personnel entry to
the Airport, under no liability to LAP.
(d) LAP reserves the right to reject ADVISOR’s invoices
which do not meet the following minimum
requirements such as: Name of Company, Address,
Tax Number, Date, Invoice Number, LAP

(g) Todos los pagos que se realicen en virtud del
presente Contrato, serán en Dólares de los
Estados Unidos de Norteamérica.
Liquidación al Cierre
(a) Antes de suscribir el Certificado de Aceptación
del Servicio, se requiere realizar la liquidación
financiero-contable, entre otras acciones.
(b) A la suscripción de la Liquidación Cierre por
ambas Partes, el CONSULTOR deberá preparar
el requerimiento de Pago (valorización), en
base a la mencionada Liquidación, y enviar el
mismo a LAP.
Impuestos, gastos, permisos y licencias
(a) El CONSULTOR se compromete a pagar, según
sea aplicable, cualquier contribución, impuesto,
carga y, en general, cualquier impuesto, creado
o por crearse, que pudiera derivarse, directa o
indirectamente, de la provisión del Servicio, que
no corresponda a la retención del Impuesto a las
Ventas, los que serán cancelados por LAP, ya
que el CONSULTOR es un proveedor extranjero.
(b) Cualquier modificación del actual sistema de
impuestos que no se hubiere considerado en el
monto del Contrato, no afectará o alterará el
Pago de los Servicios.
(c) El CONSULTOR será el único responsable por el
pago de todos los gastos relacionados a la cuota
de la asociación profesional, y todas las
autorizaciones, permisos, y/o licencias que se
pudieran requerir para cumplir con el Servicio
según se aplique al presente Contrato.
Claramente queda pactado que, en caso de
cualquier incumplimiento por parte del
CONSULTOR, LAP podrá tomar la decisión de
suspender inmediatamente las facilidades
otorgadas al CONSULTOR para que su personal
pueda ingresar al Aeropuerto, bajo ningún tipo
de responsabilidad para LAP.
(d) LAP se reserva el derecho de rechazar las
facturas del CONSULTOR que no cumplan con
los siguientes requisitos mínimos: Razón social
de la Compañía, dirección, RUC, Fecha, Número

8.5. Advance Payment
LAP will pay to the ADVISOR, and advance payment of
US$ 51,502.50 twenty days after signed the Contract.
The advance payment will be discounted from each of
the monthly valuations and invoice at a value of 25%
of each them until the ADVISOR amortizes the 100%
of advance payment. In case the Service ends before
the term mentioned in clause 4.2, LAP may charge the
outstanding balance of the advance in any pending
payment.
8.6. SUCCESS FEE
LAP will pay a Success Fee to the ADVISOR according
to the conditions established in the Fee Schedule.
9. INTELLECTUAL PROPERTY
9.1. All files, data, designs, drawings, plans, specifications,
reports and all documents prepared by the ADVISOR
and its subcontractors, if any, in any means or support,
for the provision of the Service or in connection with
this Agreement, and all intellectual property rights
thereon, shall become the property of LAP
automatically. Such documents shall be delivered to
LAP as provided herein or, if appropriate, when
required by LAP at any time. The ADVISOR hereby
assigns to LAP all copyrights and intellectual property
rights over such data, designs, drawings, plans,
specifications and reports, and agrees to sign any
statement or additional agreement as may be required
to formalize such transfer of title. In this connection,
the ADVISOR declares and accepts that LAP holds title
to such intellectual and property rights over the Service
and agrees and undertakes to respect and protect such
rights, holding LAP harmless against any claims,
whether in or out of court, as may be filed against it in
this connection.
9.2 The ADVISOR will protect, indemnify and hold LAP
harmless against all costs and/or expenses incurred by
it due to any court or out-of-court claim according to
which any patent or other intellectual property right

8.5. Pago Adelantado
LAP entregará al CONSULTOR un anticipo de US$
51,502.50, a los veinte días después de suscrito el
Contrato. El pago adelantado se descontará de
cada valorización mensual y de la factura, en un
valor de 25% por cada una, hasta que el
CONSULTOR amortice el 100% del anticipo. En
caso de que el Servicio finalice antes del término
mencionado en la Cláusula 4.2, LAP podrá cargar el
saldo pendiente del adelanto a cualquier otro pago
que tuviera pendiente.
8.6. HONORARIO DE ÉXITO
LAP pagará un Honorario de Éxito al CONSULTOR
de acuerdo a las condiciones establecidas en la
Tabla de Tarifas.
9. PROPIEDAD INTELECTUAL
9.1. Todos los archivos, datos, planos, planes,
especificaciones, informes y todos los documentos
elaborados por el CONSULTOR y sus Sub-
Contratistas, si los hubiera, por cualquier medio o
soporte, para prestar el Servicio o en relación con
este Contrato, así como todos los derechos de
propiedad intelectual, al respecto, se convertirán
automáticamente en propiedad de LAP. Dichos
documentos serán entregados a LAP según lo
previsto en este Contrato, o, si fuera necesario, a
solicitud de LAP en cualquier momento. El
CONSULTOR por medio del presente Contrato, cede
a LAP todos los derechos de autor o de propiedad
intelectual sobre tales datos, diseños, planos,
planes, especificaciones e informes y se
compromete a suscribir cualquier declaración o
acuerdo adicional, según fuera necesario, para
formalizar dicha transferencia o título. En este
sentido, el CONSULTOR declara y acepta que LAP
posea el título sobre los derechos de propiedad
intelectual por el Servicio y se compromete a
respetar y proteger tales derechos, liberando a LAP
de realizar cualquier reclamo, judicial o extrajudicial,
que pudiera entablarse contra LAP por este asunto.
9.2 El CONSULTOR protegerá, indemnizará y eximirá a
LAP de todo costo y/o gasto en que el CONSULTOR
hubiera incurrido debido a cualquier demanda
judicial o extrajudicial de violación de patentes u
 has been infringed either by the ADVISOR or any of its
subcontractors as a result of the performance of
Services under this Agreement or any part of such
performance, provided LAP gives notice to the
ADVISOR immediately to allow it the right to defend or
settle such claim or lawsuit; LAP shall cooperate with
the ADVISOR in the defense of such claim or lawsuit.
The obligation of the ADVISOR to hold LAP harmless
includes, without limitation, payment of attorney fees
and all other costs and expenses incurred by the
ADVISOR or LAP in the defense of a lawsuit on such
infringement claims.
10. INDEMNIFICATION AND INSURANCE
10.1. INDEMNIFICATION
a) The ADVISOR shall indemnify and agrees to hold LAP,
its representatives, subsidiaries, shareholders and
workers harmless against any losses, expenses,
damages and/or costs of any claim, action or
administrative proceedings, lawsuits, and defects
arising from any acts or omissions by the ADVISORS
related with the performance of the Services and
other obligations of the ADVISOR hereunder.
b) The liability of the ADVISOR to indemnify as provided
in Subclause 10.1 (a) above will be reduced on a pro
rata basis, to the extent that such costs, losses,
expenses or damages arise from a negligent act or
omission by the indemnified parties.
c) The indemnifications referred to in Subclause 10.1 (a)
shall survive the term of effectiveness or the
termination of this Agreement.
d) Disclaimer of Consequential Damages. In no event
shall ADVISOR or its suppliers be liable (i) for any
indirect, special, punitive or consequential damages.

otros derecho de propiedad intelectual entablada
contra el CONSULTOR o cualquiera de sus Sub-
Contratistas, como resultado de la prestación de
Servicios en virtud del presente Contrato o alguna
parte de la mencionada prestación, siempre y
cuando LAP hubiera notificado al CONSULTOR
inmediatamente, de tal forma que le permita su
derecho a defensa o de conciliación sobre la
demanda, o a presentar acción legal; y LAP deberá
cooperar con el CONSULTOR en su defensa contra la
mencionada demanda o acción legal. La obligación
del CONSULTOR de liberar a LAP de responsabilidad,
incluye, sin limitación alguna, el pago de los
honorarios legales y cualquier costo y gasto en que
incurra el CONSULTOR o LAP en defensa de una
acción legal sobre demandas por violación de
derechos.
10. INDEMNIZACIÓN Y SEGURO
10.1 INDEMNIZACIÓN
a) El CONSULTOR deberá indemnizar a LAP y
eximirlo, así como a sus representantes,
subsidiarios, accionistas, trabajadores, de
cualquier pérdida, gastos, daños y perjuicios y/o
costos por cualquier demanda, acción o
procedimiento administrativo, acciones legales,
y defectos que se deriven de cualquier acto u
omisión por parte del CONSULTOR relacionado
con la prestación de los Servicios y otras
obligaciones del CONSULTOR, en virtud del
presente Contrato.
b) La responsabilidad del CONSULTOR de
indemnizar según lo previsto en la Sub-Cláusula
10.1 (a), se reducirá proporcionalmente, en la
medida en que tales costos, pérdidas, gastos o
daños y perjuicios se deriven de actos de
negligencia u omisión incurridos por las partes
indemnizadas.
c) Las indemnizaciones a que se refiere la Sub-
Cláusula 10.1 (a) subsistirán la vigencia o
término del presente Contrato.
d) Descargo de Responsabilidad de Daños
Consecuenciales. En ningún caso, el
CONSULTOR o sus proveedores serán
responsables (i) por cualquier daño indirecto,
especial, punitivo o daños consecuenciales.
 e) Limitation on Direct Damages. In no event shall
ADVISOR’s aggregate liability should exceed 100% of
the total amount of the Remuneration, without
regard to whether such claim is based in contract or
tort, including negligence, unless such liability is
based on the willful misconduct or gross negligence
of consultant.
10.2. HAZARDOUS WORK SUPPLEMENTAL INSURANCE (SCTR)
The ADVISOR, shall assure, if applicable to contract
Hazardous Work Supplemental Insurance (SCTR for the
acronym in Spanish of Seguro Complementario de
Trabajo de Riesgo) and/or Life Insurance and/or
Workers Compensation to protect its employees from
any injury, accident and/or disease associated with the
work to be performed under the Agreement.
11. TERMINATION
11.1. As provided in Article 1430 of the Civil Code,
notwithstanding any other causes of termination set
forth herein, failure by any of the Parties to perform
any of their essential obligations hereunder, and filing,
by the other Party or by any third party, of a petition for
insolvency, bankruptcy, court or conventional winding-
up against the affected party, shall be causes of
automatic termination hereof, without prejudice to the
rights and actions to which each may be entitled.
11.2 To exercise the right of automatic termination of the
Agreement, the giving of notice of such decision, in
accordance with Article 1430 of the Civil Code, shall
suffice. Such notice shall be submitted to the address
set forth in the preamble to this Agreement. The
termination right shall be generated in favor of the
affected Party, by the sole occurrence of any of the
events described in this clause.
11.3. In the event of failure of performance of non-essential
obligations, termination shall proceed in accordance
with the procedure set forth in Article 1429 of the Civil
Code, that is, upon request for remediation from the
affected Party to the other.
11.4 The Parties agree that LAP shall be entitled to early
termination of this Agreement automatically and out of

e) Limitación de Daños Directos. En ningún caso, la
responsabilidad acumulada del CONSULTOR
debería exceder el 100% del monto total de su
Remuneración, independientemente a si dicha
demanda es contractual o extracontractual, que
incluye negligencia, salvo que dicha
responsabilidad se base en dolo o culpa
inexcusable.
10.2 SEGURO COMPLEMENTARIO DE TRABAJO DE
RIESGO (SCTR)
El CONSULTOR garantizará, de ser aplicable, la
contratación de un Seguro Complementario de
Trabajos de Riesgo (SCTR) y/o Seguro de Vida y/o
Compensación de Trabajadores, con el fin de
asegurar a sus empleados contra cualquier lesión,
accidente y/o enfermedad vinculado al trabajo que
se realice en virtud del presente Contrato.
11. RESOLUCIÓN
11.1. Según lo previsto en el Artículo 1430 del Código Civil,
no obstante cualquier otra causa de resolución
establecida en el presente Contrato, cualquier
incumplimiento de las Partes de cualquiera de sus
obligaciones esenciales, en virtud del mismo, y la
presentación, por la otra Parte o por terceros, de
una solicitud de proceso de insolvencia, bancarrota,
liquidación judicial o convencional contra la parte
afectada, será causal de resolución automática del
mismo, sin perjuicio de los derechos y acciones a que
pudieran tener derecho.
11.2 Para ejercer el derecho de resolución automática del
Contrato, será suficiente la notificación de tal
decisión, de conformidad con el Artículo 1430 del
Código Civil. Dicha notificación deberá ser enviada al
domicilio establecido en la introducción del
presente Contrato. El derecho de resolución será
tramitado a favor de la Parte afectada, tan sólo con
la ocurrencia de cualquiera de los eventos descritos
en la presente Cláusula.
11.3. En caso de incumplimiento de las obligaciones no
esenciales, se procederá la resolución del Contrato
de conformidad con lo previsto en el Artículo 1429
del Código Civil, es decir, cuando la Parte afectada
demande a la otra Parte que realice las medidas
correctivas.
11.4 Las Partes garantizan que LAP tendrá derecho a
resolver anticipadamente el presente Contrato,
 court, in the event of (i) termination or lapsing of the
Concession Agreement between the Peruvian State and
LAP; (ii) the contents hereof is questioned, directly or
indirectly, in whole or in part, by an administrative
order – which is to be understood as any statement
made in an official communication, resolution, report
and/or similar document issued by OSITRAN or
INDECOPI–, for which purpose a communication to the
ADVISOR enforcing its right shall suffice. In such case,
LAP shall pay the ADVISOR the Remuneration for the
Services actually completed as of the Agreement
termination date, provided such works have been
approved by and to the satisfaction of LAP.
11.5 This Agreement may be terminated early by mutual
consent of the Parties.
11.6 In the event of termination of the Agreement, payment
shall be made as follows:
(a) If the Agreement is terminated under this clause,
the ADVISOR shall be entitled to payment of the
equivalent to the value of the Services completed
and the direct expenses duly substantiated by
the ADVISOR in accordance with the Fee
Schedule, as of the termination date, as agreed
by the Parties, or as reasonably determined by
LAP.
(b) The ADVISOR shall provide to LAP all detailed
information required by LAP to determine the
amount payable.
(c) The ADVISOR is not entitled to any other
compensation and/or indemnification as a result
of LAP exercising its rights hereunder.
12. ACT OF GOD OR FORCE MAJEURE
12.1. Procedure in the event of Acts of God or Force
Majeure
(a) If, as a result of an Act of God or Force Majeure
event any of the Parties is unable to perform its
obligations, whether in whole or in part (other than
the obligation to pay money) under this Agreement
or delays the performance of its obligations:

extrajudicial y automáticamente, en caso de (i)
terminación o caducidad del Contrato de Concesión
celebrado entre el Estado Peruano y LAP; (ii) que el
contenido del Contrato sea cuestionado, directa o
indirectamente, parcial o totalmente, por resolución
administrativa – pudiendo entenderse como
cualquier declaración formulada mediante
comunicado oficial, resolución, informe y/o
documento similar emitido por OSITRAN o
INDECOPI- propósito por el cual será suficiente una
comunicación enviada al CONSULTOR para la
aplicación de su derecho. Si ese fuere el caso, LAP
pagará al CONSULTOR la Remuneración
correspondiente por los Servicios realmente
ejecutados hasta la Fecha de Cierre del Contrato,
siempre y cuando los mencionados trabajos
hubiesen sido aprobados por LAP a su entera
satisfacción.
11.5 Se podrá resolver anticipadamente el presente
Contrato por acuerdo mutuo de las Partes.
11.6 En caso de resolución del Contrato, el pago deberá
efectuarse como sigue:
(a) Si se resolviera el Contrato en virtud de esta
cláusula, el CONSULTOR tendrá derecho al pago
equivalente al valor de los Servicios
completados y a los gastos directos
debidamente sustentados por el CONSULTOR,
de conformidad con la Tabla de Tarifas, a partir
de la fecha de resolución, según lo acordado por
las Partes, o lo determinado razonablemente
por LAP.
(b) El CONSULTOR deberá entregar a LAP toda la
información detallada que requiriera LAP para
determinar el importe de pago.
(c) El CONSULTOR no tendrá derecho a ninguna
otra compensación y/o indemnización, como
resultado de que LAP ejerza sus derechos, en
virtud del presente Contrato.
12. CASO FORTUITO O DE FUERZA MAYOR
12.1. Procedimiento en caso de Caso Fortuito o de
Fuerza Mayor
(a) Si, como resultado de un Caso Fortuito o de
Fuerza Mayor, cualquiera de las Partes no
pudiera ejercer sus obligaciones, parcial o
totalmente (que no sea la obligación de
realizar pagos), en virtud del presente
Contrato, o se produjera demoras en la
ejecución de sus obligaciones:
 (i) the affected Party shall, immediately and in any
case within seven (7) Days as from the occurrence
of such Act of God or Force Majeure event, give the
other Party notice detailing the circumstance of
such Act of God or Force Majeure and the reasons
preventing the affected Party from performing its
obligations hereunder.
(ii) the work and obligations identified in the notice
referred to in Subclause 13.1 (a) (i) shall be
suspended, but only to the extent to which
performance of such work and obligations is
affected by the Act of God or Force Majeure event;
and
(iii) the Parties shall make their best efforts to
overcome or eliminate the effects of the Act of God
or Force Majeure event as soon as practicable.
(b) Upon the end of the Act of God or Force Majeure
circumstances, the affected Party shall give the
other Party notice thereof within seven (7) Days
and, as soon as practicable, resume performance
of the affected work and obligations. LAP shall give
the Representative of the ADVISOR notice of any
adjustments to the applicable timing or periods to
perform the Services as may be necessary.
(c) Notwithstanding any other provision in this Clause
12, the Act of God or Force Majeure shall not
release any of the Parties from an obligation that
existed prior to the event.
12.2 Obligations of the Parties
The ADVISOR is not entitled to and LAP is not liable
for any compensation or payment of the Fee for
suspended Services because of an Act of God or Force
Majeure event.
12.3 Force Majeure exceptions
Act of God or Force Majeure events shall not include
any circumstance caused by the act, omission,

(i) la Parte afectada deberá notificar a la otra
Parte, inmediatamente y, en cualquier caso,
dentro de los siete (7) Días siguientes a la
ocurrencia de dicho Caso Fortuito o de
Fuerza Mayor, detallando ese Caso Fortuito
o de Fuerza Mayor, así como las razones que
impidan a la Parte afectada el cumplimiento
de sus obligaciones, en virtud del presente
Contrato.
(ii) se suspenderá el trabajo y las
obligaciones señaladas en la notificación a
que se hacen referencia en la Sub-Cláusula
13.1 (a) (i), pero únicamente en la medida en
que el cumplimiento del mencionado trabajo
y obligaciones, se hubiera visto afectado por
el Caso Fortuito o de Fuerza Mayor; y
(iii) las Partes realizarán sus mejores
esfuerzos para superar o eliminar los efectos
del Caso Fortuito o de Fuerza Mayor, tan
pronto como sea posible.
(b) Cuando se supere el Caso Fortuito o de
Fuerza Mayor, la Parte afectada deberá
comunicar a la otra Parte, en un plazo de
siete (7) Días y, tan pronto como sea posible,
la reanudación de la ejecución del trabajo
afectado y las obligaciones. LAP deberá
comunicar al Representante del CONSULTOR
sobre los ajustes en los periodos o plazos
aplicables, para la provisión de los Servicios,
según fuera necesario.
(c) No obstante, cualquier otra disposición
establecida en esta Cláusula 12, el Caso
Fortuito o de Fuerza Mayor no eximirá a
cualquiera de las partes de la obligación que
existiera con anterioridad al evento.
12.2 Obligaciones de las Partes
El CONSULTOR no tendrá derecho a ninguna
compensación o pago de Tarifa por los Servicios
suspendidos debido a un Caso Fortuito o de Fuerza
Mayor, y LAP no tendrá responsabilidad alguna por
ello.
12.3 Excepciones de Fuerza Mayor
Los Caso Fortuitos o de Fuerza Mayor no incluirán
ningún evento causado por acto, omisión,
 negligence or breach of this Agreement by any of the
Parties, failure by the ADVISOR to perform the
Services in accordance herewith, the specific
industrial disputes on the Services or this Agreement
or the obligation to pay any sums of money or, that
any of the Parties does not have sufficient funds to
perform its obligations hereunder.
13. NATURE OF THE AGREEMENT
The Parties agree that this Contract is of a civil nature
and is regulated by Articles 1764 et seq. of the
Peruvian Civil Code, whereby this contractual
relationship shall not create any relationship of
dependence or subordination, and, therefore, shall
not create any employment relationship between LAP
and any personnel of the ADVISOR.
Accordingly, the ADVISOR shall be solely responsible
for the relationship of the personnel that it uses in
performance of this Agreement, which will be held in
its own name, at its own sole account risk, without
LAP acquiring any liability for such acts or contracts.
14. SETTLEMENT OF DISPUTES
Any dispute, lawsuit or controversy between the
Parties arising from or in connection with this
Contract, whether directly or indirectly, relative to
the execution, interpretation, performance and legal
effects thereof which fails to be amicably settled
within ten (10) Calendar Days as from any of the
Parties filing a claim or objection in writing to the
other, shall be submitted to arbitration according to
law (arbitraje de derecho).
In such case, the Parties to the arbitration shall have
fifteen (15) Calendar Days to appoint one of the three
arbitrators that will make up the court of arbitration.
Within fifteen (15) calendar days as from the
appointment of the last of the arbitrators, such two
arbitrators shall appoint the third arbitrator, who will
be a member of and preside the court of arbitration.
In the event of failure to appoint any of the
arbitrators, such appointment shall be made by the

Partes, el incumplimiento del CONSULTOR en la
prestación de los Servicios establecidos en el
presente Contrato, los conflictos industriales
específicos relacionados a los Servicios o al
presente Contrato o a la obligación de pagar
cualquier suma de dinero o que cualquiera de las
Partes no tuvieran suficientes recursos para
cumplir con sus obligaciones, en virtud del
presente Contrato.
13. NATURALEZA DEL CONTRATO
Las Partes acuerdan que este Contrato es de
naturaleza civil y se encuentra regulado por los
Artículos 1764 y siguientes del Código Civil
Peruano, por lo cual, la relación contractual
establecida no generará ninguna relación de
dependencia o subordinación, y por lo tanto, no
generará ninguna relación laboral entre LAP y
cualquier personal del CONSULTOR.
En consecuencia, el CONSULTOR será el único
responsable de la relación que mantenga con el
personal que utilice para dar cumplimiento al
presente Contrato, el que permanecerá a su
nombre, a su propia cuenta y riesgo, sin que LAP
adquiera ninguna responsabilidad por tales actos
o contratos.
14. SOLUCIÓN DE CONTROVERSIAS
Cualquier conflicto, acción legal o controversia que
surgiera entre las Partes, como resultado o en
virtud del presente Contrato, sea directa o
indirectamente, con relación a la ejecución,
interpretación, cumplimiento y efecto legal del
mismo, que no pudiera ser solucionado mediante
conciliación dentro de un plazo de diez (10) Días
Calendario contados a partir de la interposición
por escrito de una demanda o impugnación contra
la otra Parte, será sometido a un arbitraje de
derecho.
En tal caso, cada una de las Partes que se sometan
a arbitraje tendrán quince (15) Días Calendario
para designar uno de los tres árbitros que
conformarán el Tribunal Arbitral. Dentro de los
quince (15) Días Calendario contados a partir de la
designación del último de los árbitros, los dos
árbitros deberán designar al tercero, quien será
miembro y Presidente del Tribunal Arbitral. Si no

the issues in dispute, the applicable procedural rules

the Lima Chamber of Commerce and other matters as
may be required to conduct the arbitration.
In the event that LAP is the plaintiff, it may elect, in its
sole discretion, arbitration proceedings under the
terms agreed above or submitting the matter to the
competence of the Judges and Courts of the Lima
Court District. If LAP elects legal proceedings, these
shall be governed by the rules in the Code of Civil
Procedure and other applicable laws and legal
provisions.
15. CONFIDENTIALITY
15.1. The ADVISOR or its workers shall not provide and/or
disclose to third parties any information to which they
may have access as a result of the execution and/or
performance of this Agreement in connection with (i)
the Peruvian State (as Concession Grantor of the
Jorge Chávez International Airport), OSITRAN, LAP
and/or the Airport; or, (ii) this Agreement.
15.2. This duty of confidentiality extends to all personnel
serving the ADVISOR and includes, if applicable, all
shareholders, directors, principals, representatives,
agents, operators, advisors, officers, vendors and
contractors of the ADVISOR, who shall take all such
measures as may be necessary for such persons to
comply with the confidentiality and reserve
provisions in this Clause. The ADVISOR or its
personnel shall not disclose to third parties the
confidential or reserved information referred to

deberá realizarse en base a la relación de árbitros
del Centro de Arbitraje de la Cámara de Comercio
de Lima. La sede del Tribunal Arbitral será la ciudad
de Lima y se somete a las Reglas del Centro de
Arbitraje de la Cámara de Comercio de Lima y otras
leyes aplicables, a cuyas reglas, administración y
decisión se someten las Partes, libre e
incondicionalmente, declarando conocerlas y
aceptarlas en su totalidad. Las resoluciones y el
laudo arbitral serán definitivas y vinculantes, y las
Partes, por el presente Contrato, renuncian
expresamente a interponer cualquier apelación
contra dichas resoluciones.
El Tribunal Arbitral deberá ser competente para
resolver los temas controvertidos, las reglas
procedimentales complementarias al reglamento
del Centro de Arbitraje de la Cámara de Comercio
de Lima y otros asuntos que se pudieran requerir
para conducir el arbitraje.
En caso de que LAP sea el demandante, puede
elegir, a su exclusiva discreción, el procedimiento
arbitral en virtud de los términos convenidos líneas
arriba o someter la materia a la competencia de los
Jueces y Tribunales del Distrito Judicial de Lima. Si
LAP elige seguir un proceso judicial, este se regirá
por las disposiciones del Código Procesal Civil y
otras leyes aplicables, así como otras disposiciones
judiciales.
15. CONFIDENCIALIDAD
15.1. Ni el CONSULTOR ni sus trabajadores podrán
entregar y/o revelar a terceros información alguna
a la que pudieran tener acceso como resultado de
la ejecución y/o cumplimiento del presente
Contrato, en relación a: (i) el Estado Peruano
(como Concedente de la Concesión del Aeropuerto
Internacional “Jorge Chávez”), OSITRAN, LAP y/o el
Aeropuerto; (ii) el presente Contrato.
15.2. El deber de confidencialidad se extiende a todo el
personal que preste servicios al CONSULTOR e
incluye, si fuera aplicable, a todos los accionistas,
directores, representantes principales, agentes,
operadores, consultores, funcionarios,
vendedores y contratistas del CONSULTOR, quien
deberá tomar las acciones que sean necesarias,
para que las mencionadas personas cumplan con
las disposiciones de confidencialidad y reserva
estipuladas en la presente Cláusula. El

15.3. Notwithstanding the foregoing, the ADVISOR may
allow access to the information required under
Applicable Laws, or due to an investigation or court or
administrative order, or an order from Congress, the
Prosecutor’s Office, the police or other authority
legally entitled to request such access, if so directed.
In such case, the ADVISOR shall meet the court or
administrative requirement and submit a copy of the
information provided to LAP for the applicable
purposes. Likewise, the ADVISOR shall communicate
to the requiring authority that the information
provided is confidential or reserved.
When the confidential information is required by the
auditors of the ADVISOR, it shall be provided with the
written authorization of LAP, who in turn shall be
legally obligated to keep the information provided to
them under strict confidential reserve.
15.4. The ADVISOR may deliver confidential information if:
(i) It is known to the ADVISOR at the time it is
received;
(ii) It is already public knowledge or becomes public
knowledge, and
(iii) It is delivered by a legal or court order, or any
order of an administrative, tax, police, Congress or
other authority legally entitled to request such
information.
16. OMISSION OF THE EXERCISE OF LAW
It is expressly stated that the non-invocation,
application or use of a power or right established in
any clause of this Agreement or its invocation,
application or non-immediate use, should not be
understood as a waiver of a future action or as the
novation or modification of the terms of this

CONSULTOR o su personal no revelará a terceros
información confidencial y reservada, a la que se
hace referencia en el presente Contrato, salvo, en
cada caso, que cuenten con la autorización escrita
de parte de LAP.
15.3. No obstante lo antes mencionado, el CONSULTOR
puede permitir el acceso a la información que se
requiera según las Leyes Aplicables, o debido a
fiscalización, o por orden judicial o administrativa,
o por disposición congresal, de la Fiscalía, policía o
de cualquier otra autoridad legalmente autorizada
para solicitar el mencionado acceso, si así lo
indicaran. Si ese fuera el caso, el CONSULTOR
deberá cumplir con el requerimiento
administrativo o judicial y entregar una copia de la
información enviada a LAP para el propósito
aplicable. Igualmente, el CONSULTOR deberá
informar a la autoridad que solicitante que la
información proporcionada es confidencial y
reservada.
Cuando la información confidencial sea requerida
por los auditores del CONSULTOR, deberá ser
proporcionada previa autorización por escrito de
LAP, quien a su vez estará legalmente obligada a
mantener la información proporcionada bajo
reserva y confidencialidad.
15.4. El CONSULTOR podrá entregar información
confidencial, si:
(i) el CONSULTOR tomó conocimiento de ella, al
momento que la recibió.
(ii) ya es de público conocimiento o será de
público conocimiento; y
(iii) es entregada por orden o mandato judicial, o
cualquier disposición proveniente de
autoridad administrativa, tributaria, policial,
congresal, o cualquier otra autoridad
legalmente autorizada para solicitar dicha
información.
16. OMISIÓN DEL EJERCICIO DE DERECHO
Se establece expresamente que la no invocación,
la aplicación o el uso de un poder o derecho
establecido en cualquiera de las cláusulas de este
Contrato, o su invocación, aplicación o uso no
inmediato, no podrá ser entendido como una
renuncia de futuras acciones o como novación o

17. ENVIRONMENTAL PROTECTION
Notwithstanding its legal obligations pertaining to
environmental protection, the ADVISOR agrees to
strictly comply with: (i) the Concession Agreement;
(ii) Peruvian Laws applicable to the activities, services
or operations at the Airport.
18. OCCUPATIONAL SAFETY AND HEALTH
Notwithstanding the occupational safety and health
obligations pertaining to the ADVISOR by law, the
ADVISOR agrees to strictly comply with: (i) the
Concession Agreement; (ii) Peruvian Laws applicable
to the activities, services or operations at the Airport;
iii) the Occupational Safety and Health Law and its
Regulations, as applicable.
19. LANGUAGE
For a better understanding of the parties, this
agreement is being submitted in two languages,
Spanish and English. The Spanish version will prevail
over the English version.
20. ADDRESSES
The Parties hereto state as their addresses those set
forth in the introduction to this document. Any
change of address shall be communicated five (5)
Days in advance to be enforceable on the other Party.
21. ANNEXES
The Annexes detailed below, the contents of which
the ADVISOR states to know and accept in their
entirety, are an integral part of this Agreement:

The Parties agree that, in the event of conflicts,
discrepancies, doubts, errors or omissions in
performance and/or interpretation of the scope,

17. PROTECCIÓN DEL MEDIO AMBIENTE
El CONSULTOR, no obstante sus obligaciones

estrictamente con: (i) el Contrato de Concesión;
(ii) las Leyes Peruanas aplicables a las actividades,
servicios u operaciones en el Aeropuerto.
18. SALUD Y SEGURIDAD OCUPACIONAL
El CONSULTOR, no obstante las obligaciones de
salud y seguridad ocupacional que le
corresponden por ley, se compromete
estrictamente a cumplir con: (i) el Contrato de
Concesión; (ii) las Leyes Peruanas aplicables a las
actividades, servicios u operaciones en el
Aeropuerto; (iii) la Ley de Salud y Seguridad
Ocupacional y su Reglamento, según se aplique.
19. IDIOMA
Para un mejor entendimiento de las partes, el
presente Contrato se entrega en dos idiomas:
español e inglés. La versión en español prevalece a
la versión en inglés.
20. DOMICILIO
Las Partes intervinientes en el presente Contrato
establecen como sus domicilios aquellos que
aparecen en la introducción del presente
documento. Cualquier cambio de domicilio deberá
ser informado con cinco (5) Días de anticipación
para que sea considerado válido para la otra Parte.
21. ANEXOS
Los Anexos que se detallan líneas abajo, cuyos
contenidos el CONSULTOR declara conocer y
aceptar en su integridad, conforman parte
integrante del presente Contrato:

 Annex A
Scope of Work

This Commercial and Contractual Advisory Services is divided in two different Phases:

Phase 1 (Estimated Time Frame 4-6 weeks)

Tasks and Activities:

The following different listed activities will run concurrently/iteratively with each other and are not
intended to be sequential:

a. Review all relevant documents, including Franchise Agreement, Tender Documentation,

Draft Agreements, LAP SoPs and organizational documents, Agreements and Scope of other
LAP services providers, and existing understandings/areas of discussion with Contractor as
recorded in Correspondence and MoMs.

b. Receive briefings from all key stakeholders, including LAP management (technical and
commercial), Turner and Townsend, and Local Counsel to confirm understanding of Project
goals and priorities as well as existing/forecast capabilities and role in Contract Formation
and Implementation.

c. Receive briefing from Local Counsel on contract Formation and Drafting Strategy, in
particular, any adaptations made or concerns that exist under Peruvian Law.

d. Work directly with Local Counsel to complete drafting of FWA in line with confirmed
understanding of Project Priorities and Contractor concerns, this stage will include
participation in negotiations/discussions with the Contractor and ongoing discussions with
the Project Management/Controls teams to ensure viability and optimization of
contractually established processes and procedures.

e. Work directly with Local Counsel to complete drafting of Component Package Agreements
for attachment to FWA in line with the priorities of the FWA and best practices for each
component type (civil works, buildings, etc.), this stage will include participation in
negotiations/discussions with the Contractor and ongoing discussions with the Project
Management/Controls teams to ensure viability and optimization of contractually
established processes and procedures.

f. Support the negotiation of the final FWA, including package contract forms.

Deliverables:

i. Short written summary of takeaways from review and briefings, restatement of

understanding of Project/Contract priorities for management confirmation.

ii. A risk and cost/benefit analysis of final draft FWA and package contracts in matrix form with
particular attention to forecasting the behavious/actions incentivized and likely real world
outcomes arising from the particular terms of each agreement.

 iii. During negotiations provide risk and cost/benefit analysis of each contractor request and
propose solutions based on understanding of contractor needs with the goal of creating
‘win-win’ solutions to address contractor concerns while maintaining LAP priorities.

iv. Working with Local Counsel, provide an executive summary level overview and ‘users
manual’ for the final Contract for the Project.

v. Monthly Report certifying days worked, primary activity on each day and summarizing
overall activities of the ADVISOR during the month.

Phase 2 (Estimated time frame 14-16 weeks)

Task and Activities:

The following different listed activities will run concurrently/iteratively with each other and, to the
extent practicable, with the Activities of Phase 1 and are not intended to be sequential.

a. Liase with Project Management and Controls teams to assist in development of draft
policies, procedures and forms that are aligned with the FWA and Package Contracts,
minimize cost and time requirements of compliance to both Contractor and LAP, allow for
effective use of early warning systems and processes, and disincentivize utilization of the
dispute process beyond the amicable resolution level.

b. Participate in engaging the Contractor in a discussion of intended Project Management and

Controls policies and processes.

c. In conjunction with the PM team, receive feedback from LAP and support PM team in
development of final policies, processes and procedures.

d. Support the PM team in production of final Project Management documentation, including

manuals, with particular responsibility, in conjunction with Local Counsel, for providing
guidance/utilization notes that will allow PM teams to best protect the rights and interests
of LAP. This may include forms for contractual correspondence, alerts to key actions
required to preserve rights and similar inputs.

Deliverables:

i. In conjunction with Project Management and Controls team, provide a high level brief of
the draft PM/PC policies, processes, and procedures (alongside any Contractor inputs or
requests) and the underlying philosophy for project delivery; a risk and cost/benefit analysis
in matrix format of key elements of the Project Management and Controls plan, policies,
and procedures; and a forecast of the behaviors/actions incentivized and likely real world
outcomes arising from implementation.

ii. Monthly Report certifying days worked, primary activity on each day summarizing overall
activities of the ADVISOR during the month.

1) The Day Rate include all the necessary costs the ADVISOR considers to render the service with

2)*$ 80.’00 dollars per day (per diem allowance) as a lump sum of all the days in country.
3) Success Fees/ KPIs: LAP will paid to the ADVISOR a Success Fees of $ 24,506.46 divided as
following:
- One third of success fees if and only if Framework Agreement is completed and approved by the
Client.
- One third if and only if the Client and Contractor Execute the Framework Agreement or if the
Contractor proceeds with the Works in accordance with the Letter of Award, which incorporates
the Framework Agreement.
- One third if and only if the Project Management and Controls Policies, Protocols and Procedures
are completed and approved by the Client.
4) Flight: LAP will cover mobilization and demobilization from Dubai/Lima-Perú. A Round trip to
Florence, Italy on September 6 with return on September 14 (work remotely). Also, once per 8
weeks of services in Lima -Perú, ADVISOR will have a travel to Dubai or less expensive destination,
for one week of remote work. The fights will be at business class.
