CONSTITUTION

Junior Institute of Management Accountants


Foundation University

PREAMBLE OF THE CONSTITUTION


WE, THE members OF THE JUNIOR INSTITUTE OF MANAGEMENT ACCOUNTANTS (JIMA),
IMPLORING THE AID OF THE ALMIGHTY GOD, IN ORDER TO PROMOTE PERFECT
UNION, HARMONY AND LEADERSHIP, PROVIDE ACTIVITIES FOR THE ORGANIZATION,
DO ORDAIN AND ESTABLISH THIS CONSTITUTION AND BY-LAWS FOR THE JUNIOR
INSTITUTE OF MANAGEMENT ACCOUNTANTS.

ARTICLE I. NAME
The students under Junior Institute of Management Accountants shall be known
collectively as the JIMA Organization.

ARTICLE II. PURPOSE


The purpose of the Junior Institute of Management Accountants shall include the
following items:
● To represent the member on all matters pertaining to their general welfare.
● To promote harmony, unity and leadership among its member.
● To provide representative government and serve the needs of the member of the
organization as well as of the CBA-SG
● To provide formal means of communication among member of the organization.

ARTICLE III. AUTHORITY


SECTION 1. ​This organization is a recognized student organization at College of
Business Administration and adheres to all campus policies as set forth in the
Foundation University’s Code of Student Conduct and Foundation University’s Student
organization policies and guidelines.
SECTION 2. ​This organization will establish bylaws to govern administrative and
procedural matters (such as time and location of meetings, etc.). Bylaws shall not conflict
with this constitution. Bylaws may be adopted, amended or temporarily suspended by a
majority present at an organization meeting where quorum is present ( advance notice is
not required).

ARTICLE IV. MEMBERSHIP


SECTION 1. JIMA Organization
All regular and special students who enrolled in Bachelor of Science and Business
Administration Major in Management Accounting shall become a member of Junior
Institute of Management Accountants Organization.
SECTION 2. JIMA Student Council
All officers who will be elected by the students who are a member of JIMA Organization
shall be formed as Council.

ARTICLE V. OFFICERS
SECTION 1. ​The officers of Junior Institute of Management Accountants shall be
composed of a PRESIDENT, VICE - PRESIDENT, SECRETARY, TREASURER,
AUDITOR, PRESS RELATION OFFICER - INTERNAL, PRESS RELATION OFFICER -
EXTERNAL and BUSINESS MANAGER.
SECTION 2. ​In order to run for office of Junior Institute of Management Accountants,
members must not have a grade below 3.0 in each subject.
SECTION 3. ​Officers must be in good standing in his or her college.
SECTION 4. ​All officers serve for a term of one (1) year until their successors be duly
elected and qualified.

ARTICLE VI. ELECTIONS


SECTION 1. Election of Council Officers
The JIMA Officers shall be nominated and elected by the member students at the
meeting every second week of February. They shall assume office by the following
academic year and take their Oath of Office during the General Induction of Officers.
SECTION 2. Impeachment of Council Officer/s
An officer may be impeached by petition of two-thirds (2/3) member of Council and the
officers may be removed by a two-thirds (2/3) vote of the member council.

ARTICLE VIII. VOTING PROCEDURES


SECTION 1. ​Each student shall have only one vote on all matters except for the office of
PRO. Unless specified otherwise, voting decisions by the student body shall be made by
Simple majority of those present at the General meeting provided quorum has been
established. Further voting procedures shall be defined in the by-laws.

ARTICLE IX. COUNCIL MEETING


SECTION 1. Call to Meetings
The President shall call regular meetings. At least three meeting per term in one
semester must be held. A majority of the Council shall constitute a quorum. Meeting
shall open to all members of the organization.
SECTION 2. Special Meetings and Emergency Meetings
Special meetings and/or Emergency meetings of the council may be called to consider
special items of business, by the President, the rest of the officers and the members. All
member must given a minimum of 24 hours’ notice prior to the meeting time.
ARTICLE X. FACULTY ADVISER/S
SECTION 1. ​The Junior Institute of Management Accountants shall have a Faculty
Adviser who will be a full- or part-time member of the University and College faculty,
staff, or administration. Advisers shall serve on an academic year basis or until their
successor has been selected

ARTICLE XI. OPEN RECORDS


SECTION 1. ​Records and Documents of the College of Business Administration Junior
Institute of Management Accountants shall be open for inspection by any member,
subject to institute policy.

ARTICLE XII. FINANCES


SECTION 1. ​The organization will collect ONE HUNDRED FIFTY PESOS (P150.00) per
student as MEMBERSHIP FEE for the whole year and will serve as the standing fund of
the Organization.
SECTION 2. ​A PENALTY OF THIRTY PESOS (P30.00) for members of the Junior
Institute of Management Accountants that will not attend any activities initiated by the
different course related organizations of College of Business Administration.

ARTICLE XIII. GENERAL PROVISIONS


SECTION 1. ​The officers of Junior Institute of Management Accountants shall develop
a schedule of activities. Activities of Junior Institute of Management Accountants shall be
passed to the college of Business Administration Student Government for proper
implementation.
SECTION 2. ​The officers may be elected in at most terms except for the office of the
President.

ARTICLE XIV. AMENDMENTS OF REVISION


SECTION 1. Amendments of the Constitution
The constitution may be amended by the following methods.
1. A proposed amendment shall be presented at the JIMA Officers and its
members.
2. If three-fourths (3/4) of the total JIMA Officers and its members vote in favour of
the proposal, the proposed amendment shall be referred until the next meeting.
3. The proposed revision shall become part of this constitution if and when
three-fourths (3/4) of the total JIMA Officers and its members shall vote in favour
of it after it has been approved and referred from a previous meeting

SECTION I. The officers of the Junior Institute of Management Accountants shall be:
1. President;
2. Vice-President;
3. Secretary;
4. Treasurer;
5. Auditor
6. Press Relation Officer – Internal
7. Press Relation Officer – External

SECTION II. Powers, Duties, and Responsibilities of Officers


● The President shall be the head and chief executive officer of the
organization. He/she shall constitute over all meetings and he/she or
his/her delegate shall represent the organization on all occasions in which
representation of the organization may be required and agreed upon by
the University.
● The Vice-President shall assume the office of the President whenever
vacancy arises. He/she shall assist the duties and responsibilities of the
President in case of his/her absence.
● The Secretary shall be the custodian of all the records and papers except
those relating to fiscal matters under the purview of the Treasurer. He/she
will also make proceedings on every meeting of the organization.
● The Treasurer shall be the chief fiscal officer of the organization. He/she
will also be the custodian of all properties and funds of the organization,
and shall deposit in such banking institutions as the Board may designate.
He/she shall be responsible to the collections of all fees and dues, as well
as other contributions which may be agreed upon by the Board of the
General Assembly of the organization. He/she shall prepare and keep
accurate books of accounts for the organization, and render such financial
reports as the Board may require.
● The Auditor shall see to it that the books of all accounts must be checked
at the end of every month and must assists also in all financial matters of
the organization.
● The PRO Internal shall release appropriate information to the Council
Representatives and Student government members. He/she shall
communicate among the officers and representative within the council.
● The PRO External shall release appropriate information to the student
body. He/she shall communicate among the officers and representatives
within the council.
SECTION III. Qualifications necessary to hold office in the Junior Institute of
Management Accountants are as follows:
a. Foundation University policies require that to be eligible for office,
candidates must be in good academic and disciplinary standing and
regularly enrolled students at the said University.
b. No member may serve more than two (2) years in the same office.

SECTION IV. Election


a. Elections are held every second week of February and shall take place at
a regularly scheduled meeting of the organization at which a quorum is
present. At least one week’s notice shall be provided for any meeting at
which an election is to be held.
b. Nominations for officers shall be made at the regular meeting immediately
preceding the election. Nominations may also be made from the floor
immediately prior to the election for each office.
c. Officers shall be elected by majority vote. If no candidate receives a
majority vote, a runoff election shall be held between the two candidates
receiving the highest number of votes.
d. Votes shall be cast in a secret ballot; however, when there is only one
candidate for a an office a motion may be made to elect the candidate.

SECTION V. Faculty Adviser(s)


The Faculty Adviser/s shall see to it that the functions, duties and responsibilities
of the member of the Junior Institute of Management Accountants are
appropriately performed and executed. He/she may appoint member of the
Junior Management of Accountants in case of vacancies in office.

SECTION VI.​ Council Representatives


The Council Representatives shall coordinate with the members of the
organization they represented. They shall be responsible in their respective
organization and disseminate information to their members about the council
Meetings.

SECTION VII. Meetings and Voting


a. Regular meetings shall be scheduled during the academic year
2018-2019.
b. Special meetings may be called by the President. All members must be
given a minimum of 24 hours notice prior to the meeting time.
c. Business cannot be conducted unless a quorum of the membership is
present. A quorum for this organization is defined as a majority of the
voting membership.
d. Members must be present to vote. Absentee or proxy voting is not
allowed.
SECTION VIII.Finances
a. Occasionally the Junior Institute of Management Accountants (JIMA) may
need to assess a fee or collect money from the membership for special
events or purposes. The amount of money collected shall be decided a
majority of the membership at a regularly scheduled meeting.
b. Organization funds shall not be used to purchase or reimburse members
for alcoholic beverages.

SECTION IX.​ Impeachment


a. Petition with signatures of ⅓ of all voting members petition should state
the reason for removal and shall the notify the officers and call for
removal within fourteen days of the filing petition.
b. Memberships shall be notified at least one week prior to removal vote
meeting.
c. At the meeting for removal, the petition stated grievances shall be made
public and the officer charged shall be allowed to respond to the charges
of the petition.
d. Removal from office shall require a vote of ⅔ of all voting members.

SECTION X.​ Vacancy of office


a. In case of resignation or removal of any officer, an interim acting officer
shall be appointed by the Faculty Adviser and the President of the
organization.
b. The President shall call for an election within fourteen days after vacancy
of any office.
c. Elections shall be conducted as stated in the bylaws.
d. Should the office of the President become vacant, the Vice-President
should complete the President’s unexpired term and call for an election
for Vice-President consistent with the election process set forth in the
bylaws.

SECTION VI.​ Amendments


a. Proposed amendments to this constitution shall be presented to the
membership, in writing, one meeting prior to the meeting where the
amendment will be voted upon.
b. Constitution amendments require approval of two-thirds(2/3) of the voting
members present at a regular meeting. The amendment shall be effective
immediately unless otherwise stipulated in the amendment.
c. A copy of any amendments to this constitution must be submitted to the
College of Business Administration within two weeks of adoption.

These bylaws were adopted on the 1st day of August 2018 and most recently revised on the
13th of August 2018.
