anexos deste relatório.
DESTAQUES
• No 2T19, as vendas dos lojistas nos nossos shoppings tiveram um crescimento de 9,2%,
totalizando R$ 1,3 bilhão, resultado da tímida e relativa recuperação do varejo e da menor
base de comparação do 2T18, impactada pelos conhecidos efeitos negativos não recorrentes
naquele trimestre. No 1S19, as vendas aumentaram 6,5% contra o 1S18, atingindo R$ 2,4
bilhões.
• As vendas nas mesmas lojas (SSS) cresceram 8,4% no 2T19, lideradas pela combinação da
base de comparação mais baixa, o forte desempenho dos lojistas e uma temporada de filmes
com grandes blockbusters. No 1S19, o SSS cresceu 5,4%.
• A taxa de inadimplência líquida foi de 1,7% no 2T19, redução de 2,3 pontos percentuais em
relação ao 2T18.
• A receita líquida cresceu 11,2% no 2T19 em comparação com o 2T18, totalizando R$ 80,1
milhões, fruto da combinação de forte aumento nas receitas de aluguel e estacionamento,
da redução dos descontos temporários e da aquisição de participação adicional de 30% no
Plaza Sul Shopping. No 1S19, a receita líquida atingiu R$ 157,1 milhões, 8,8% superior ao
1S18.
• O FFO cresceu 34,4% no 2T19 em comparação com o mesmo período de 2018, atingindo R$
37,9 milhões. No primeiro semestre de 2019 o FFO totalizou R$ 71,5 milhões, um
crescimento de 28,0% em relação ao 1S18.

• Em junho de 2019, os acionistas controladores da Sonae Sierra Brasil e da Aliansce
anunciaram um acordo para combinar os negócios das empresas. No mês seguinte,
recebemos as aprovações para a transação, que deve ser concluída no início de agosto. A
empresa combinada, que se chamará Aliansce Sonae Shopping Centers S.A., será a maior
empresa de shopping centers do Brasil em termos de área sob gestão.

COMENTÁRIOS DA ADMINISTRAÇÃO
Desempenho e posicionamento
O segundo trimestre de 2019 foi muito positivo para a Sonae Sierra Brasil, cheio de eventos e
novidades, enquanto o nosso portfólio continuou a mostrar sua qualidade e resiliência.
Novamente todos os nossos ativos reportaram forte desempenho, com crescimento de vendas,
fluxo de visitantes e resultado operacional.
Vale ressaltar que a comparação com o segundo trimestre de 2018 foi beneficiada pelos eventos
que afetaram negativamente as vendas dos lojistas em maio e junho, nomeadamente a greve
dos caminhoneiros e a Copa do Mundo da FIFA. No entanto, os lojistas em nossos shoppings
tiveram um desempenho geral notável no trimestre.
Cinco de nossos nove shoppings encerraram o trimestre com crescimento de vendas de dois
dígitos, sendo eles os shoppings Passeio das Águas, Uberlândia, Manauara, Metrópole e Plaza
Sul. Assim, nosso portfólio fechou o 2T19 com um crescimento de vendas de 9,2% em relação
ao mesmo período de 2018, totalizando aproximadamente R$ 1,3 bilhão.
O indicador de vendas nas mesmas lojas acompanhou a tendência das vendas totais e fechou o
segundo trimestre de 2019 com crescimento de 8,4%. Enquanto os aluguéis nas mesmas lojas
apresentaram um crescimento ainda maior, de 10,1%, impulsionado pela robusta receita de
aluguel variável e menores descontos temporários.
A taxa de ocupação do portfólio no final de junho de 2019 era de 94,5%, enquanto os indicadores
de custo de ocupação e inadimplência permaneceram estáveis em relação a março de 2019, em
9,8% e 1,7%, respectivamente.
Atestando a sólida posição financeira da Sonae Sierra Brasil e a qualidade do seu risco de crédito,
a agência de rating Fitch elevou o Rating Nacional de Longo Prazo da Companhia, após a
aprovação da fusão com a Aliansce pelo CADE, enquanto a Moody's colocou o rating corporativo
da Companhia em escala nacional em revisão para elevação.

Em julho, anunciamos o lançamento do projeto piloto do marketplace do Parque D. Pedro
Shopping. O projeto oferece aos clientes do Parque D. Pedro a oportunidade de comprar
produtos online das marcas presentes no shopping, criando assim uma experiência de compra
unificada. O projeto iniciou sua operação com mais de 100 mil itens, e entre os segmentos já
disponíveis estão moda feminina, masculina e infantil, cosméticos, eletrônicos, smartphones,
acessórios e eletrodomésticos. Em poucos meses, todas as lojas do shopping terão a
oportunidade de fazer parte do marketplace. Após o projeto piloto do Parque D. Pedro
Shopping, a estratégia é expandir essa plataforma, dando a cada shopping em nosso portfólio
um marketplace próprio.

DESEMPENHO OPERACIONAL
As vendas dos lojistas nos shoppings da Companhia somaram R$ 1,3 bilhão no segundo trimestre
de 2019, um expressivo crescimento de 9,2% em relação ao mesmo período de 2018. No
primeiro semestre de 2019, as vendas dos lojistas cresceram 6,5% em relação aos seis primeiros.
meses de 2018, atingindo R$ 2,4 bilhões.
A greve dos caminhoneiros em maio de 2018 e a Copa do Mundo da FIFA afetaram fortemente
o fluxo de visitantes e de vendas dos lojistas no 2T18. Independentemente disso, o desempenho
dos lojistas foi forte no 2T19, em recuperação contínua no pós-crise, além de uma forte
temporada para os cinemas. Cinco shoppings encerraram o trimestre com aumento de vendas
de dois dígitos, nomeadamente Passeio das Águas, Uberlândia, Metrópole, Manauara e Plaza
Sul shopping centers.

As vendas nas mesmas lojas fecharam o segundo trimestre de 2019 com aumento robusto de
8,4% sobre o mesmo período de 2018. Nos seis primeiros meses do ano o SSS cresceu 5,4%.

Por outro lado, o SSS das lojas âncora foi novamente impactado negativamente pelo fraco
desempenho dos hipermercados.

Aluguéis nas mesmas lojas (SSR)
O indicador de aluguéis nas mesmas lojas do 2T19 apresentou um forte crescimento de 10,1%,
o maior desde o primeiro trimestre de 2015. No 1S19, o SSR foi de 7,9% em comparação com o
primeiro semestre de 2018.

Todos os segmentos de lojas satélite, âncoras e lojas de lazer registraram SSR positivos no
segundo trimestre de 2019 e apenas algumas lojas reportaram SSR negativo no período. Como
mencionado acima, o segundo trimestre de 2018 foi fortemente afetado pela greve dos
caminhoneiros e pela Copa do Mundo da FIFA, assim, o crescimento do aluguel variável no 2T19
impactou positivamente nossas receitas e o indicador SSR. Além disso, a contínua redução dos
descontos temporários continuou a ser um fator positivo para o SSR.
Os aluguéis das lojas âncora também foram influenciados positivamente por sólidos leasing
spreads nas renovatórias, principalmente no Manauara Shopping. O ativo completou 10 anos e
a maioria de suas âncoras renovou seus contratos de locação durante o primeiro semestre de
2019.
Os contratos de aluguel das operações de lazer estão mais atrelados às vendas do que outros
segmentos. Dada a forte temporada de filmes no 2T19, o SSR do segmento registrou um
aumento de 20,8% no período.

Taxa de ocupação
A taxa de ocupação geral da Sonae Sierra Brasil era de 94,5% ao final de junho de 2019, 0,8
ponto percentual acima de junho de 2018.
Nosso time comercial teve mais um trimestre agitado, assinando 47 novos contratos de locação,
totalizando 6,7 mil m² de ABL em nosso portfólio. Importantes marcas, tanto âncoras como
satélites, estão abrindo novas lojas em nossos shoppings, como a Centauro no Passeio das
Águas, Casa & Vídeo e Popeyes no Parque D. Pedro, Osklen no Manauara, Daiso no Plaza Sul,
Equus e Ana Capri no Uberlândia Shopping.
Custo de ocupação
O custo de ocupação fechou o trimestre em 9,8% das vendas no 2T19, em linha tanto com o
trimestre anterior quanto com o 2T18.
Inadimplência Líquida
A taxa de inadimplência líquida do segundo trimestre de 2019 ficou estável em comparação com
o trimestre anterior, mas 3,3 pontos percentuais abaixo da taxa do 2T18, liderado por melhores
fundamentos de varejo e cenário macro.

Receitas
A receita bruta totalizou R$ 92,7 milhões no 2T19, aumento de 8,9% sobre o 2T18, ao mesmo
tempo, a receita líquida cresceu 11,2%, atingindo R$ 80,1 milhões, influenciada positivamente
pela redução dos descontos aos lojistas. No 1S19, a receita bruta cresceu 6,7%, alcançando R$
181,5 milhões, e a receita líquida totalizou R$ 157,1 milhões, incremento de 8,8% frente aos
primeiros seis meses de 2018.
A receita de aluguel fixo cresceu 3,5% no segundo trimestre de 2019, liderada por fortes leasing
spreads no Manauara e aluguéis mais altos nos shoppings Passeio das Águas e Uberlândia. A
receita de aluguel variável apresentou um aumento de 45,9% no trimestre, também devido à
greve dos caminhoneiros e à Copa do Mundo de 2018, o que afetou negativamente as vendas
dos lojistas em maio e junho daquele ano. A receita de publicidade também apresentou um
forte aumento no segundo trimestre de 2019, crescendo 40,4% em relação ao mesmo período
de 2018.
Os descontos temporários continuaram a registrar forte queda no 2T19, caindo cerca de 10%
em relação ao mesmo período de 2018, afetados positivamente pela contínua recuperação dos
lojistas de nossos shopping centers maduros e pela maturação de nossa nova geração de ativos.

Custos e despesas
Os custos e despesas totalizaram R$ 24,9 milhões no 2T19, praticamente em linha com o mesmo
período de 2018.
Os custos com pessoal encerraram o trimestre com um crescimento de 12,5% devido ao reajuste
anual dos salários e o fortalecimento de nossa equipe comercial. Por outro lado, os custos
relacionados às lojas vagas continuam em queda, com uma redução de 22,9%, devido à maior
taxa de ocupação em nossos shoppings.

Resultado financeiro líquido
O resultado financeiro líquido consolidado no 2T19 foi uma despesa financeira líquida de R$ 9,2
milhões, uma queda de 35,6% em relação ao 2T18, reflexo da gestão ativa do endividamento da
Companhia e da queda do custo médio da dívida.
O EBITDA cresceu 14,2% no segundo trimestre de 2019, atingindo R$ 57,4 milhões, resultado do
crescimento de dois dígitos da receita líquida aliado a custos e despesas operacionais estáveis.
Nos seis primeiros meses do ano, o EBITDA totalizou R$ 111,2 milhões, representando um
crescimento de 11,0% em relação ao primeiro semestre de 2018 e a margem EBITDA alcançou
71,6%.
Similarmente aos trimestres anteriores, a combinação de maior EBITDA com menores despesas
financeiras levou a um forte crescimento do FFO, que totalizou R$ 37,9 milhões (R$ 0,50/ação)
no 2T19.

O saldo de caixa da Companhia totalizava R$ 172,3 milhões ao final do 2T19, redução de 47,2%
frente ao 1T19, explicado principalmente pela aquisição de participação adicional no Plaza Sul
Shopping. O saldo de caixa está alocado em aplicações financeiras de curto prazo e baixo risco,
em bancos com grau de investimento, a uma taxa média de 100% do CDI.

A dívida financeira líquida de R$ 625,2 milhões corresponde a 2,8 vezes o EBITDA dos últimos
doze meses (ou 2,1 vezes de acordo com a consolidação de acordo com das normas contábeis
do IFRS).
Custo da dívida
O custo médio da dívida da Companhia caiu para 8,62% ao final do segundo trimestre de 2019,
ante 8,84% no 1T19 e 9,50% no 2T18.

PROJETOS E EVENTOS SUBSEQUENTES
A nova empresa, batizada de Aliansce Sonae Shopping Centers S.A., será a operadora líder de
shopping centers no Brasil, com a maior quantidade de ativos e ABL sob gestão, que somam
mais de 1,4 milhão de m².
Todas as autorizações para a fusão foram obtidas durante o mês de julho e a conclusão da
transação está prevista para ocorrer em 5 de agosto de 2019. Nesta data, os acionistas da
Aliansce receberão 0,7878 ação da SSBR3 para cada ALSC3 e o grupo de controle da Aliansce
Sonae será composto pelos dois grupos atuais.
Elevação de Ratings
Atestando a sólida posição financeira da Sonae Sierra Brasil e a qualidade do seu risco de crédito,
a agência de rating Fitch elevou o Rating Nacional de Longo Prazo da Companhia, após a
aprovação da transação de fusão com a Aliansce pelo CADE, enquanto Moody's colocou o rating
corporativo da Companhia em escala nacional em revisão para elevação.

ABL (Área Bruta Locável): Equivalente à soma de toda a área disponível para locação nos shopping
centers.
B3: Brasil Bolsa Balcão S.A. - Bolsa de Valores, Mercadorias, Futuros e Mercado Balcão.
Custo de Ocupação: Relação (considerando os últimos doze meses) entre o aluguel mais encargos comuns
e fundo de promoção sobre o total das vendas dos lojistas.
EBITDA: Lucro operacional antes do resultado financeiro + depreciação e amortização – gastos com valor
justo das propriedades.
Fluxo de Caixa Operacional (FFO): EBITDA +/- resultado financeiro líquido – imposto de renda e

Resultado Operacional Líquido (NOI): Receita bruta dos shoppings (sem incluir receita de serviços) +
resultado do estacionamento - despesas operacionais dos shoppings – provisão para devedores
duvidosos.
SSR (Aluguel nas Mesmas Lojas): Relação entre o aluguel faturado para os mesmos lojistas no período
atual comparado ao período anterior, proporcionalmente à nossa participação nos ativos.
SSS (Vendas nas Mesmas Lojas): Relação entre as vendas dos mesmos lojistas no período atual
comparado ao período anterior, proporcionalmente à nossa participação nos ativos.

São Paulo, July 30, 2019 – Sonae Sierra Brasil S.A. (B3: SSBR3), a leading Brazilian shopping mall
developer, owner, and manager, announces its results for the second quarter of 2019.
The main financial information in this report was based on Management Accounts, which considers the
proportional consolidation of all assets. Notwithstanding, we also present a reconciliation between the
consolidated financial statements, in accordance with accounting standards, and the Management
Accounts in the appendices to this report.
HIGHLIGHTS
• Tenants’ sales at our malls posted a hefty 9.2% y-o-y growth in 2Q19, totaling R$1.3 billion,
resulting from the timid and relative recovery of the retailers and the lower comparison base
of 2Q18, which was impacted by known non-recurring negative effects in that quarter. In
1H19, sales increased 6.5% y-o-y, reaching R$2.4 billion.
• Same-store sales (SSS) grew 8.4% in 2Q19, led by the combination of a lower comparison
base, the stronger performance of tenants and a movie season with large blockbusters. In
1H19, SSS increased 5.4%.
• Same-store rents (SSR) posted a 10.1% growth in 2Q19, led by the combination of lower
temporary discounts and a strong turnover rent increase.
• The net delinquency rate stood at 1.7% in 2Q19, 230 bps lower in comparison to 2Q18.
• Net revenues grew 11.2% y-o-y in 2Q19, totaling R$80.1 million, given the combination of
strong rent and parking revenues increase, temporary discounts reduction, and the
additional 30% stake acquisition in Plaza Sul Shopping. In 1H19, net revenues reached
R$157.1 million, 8.8% higher than in 1H18.
• EBITDA totaled R$57.4 million in the quarter, a compelling 14.2% growth compared to 2Q18,
and the 1H19 indicator increased 11.0% y-o-y, totaling R$111.2 million.
• FFO grew 34.4% in 2Q19 compared with the same period of 2018, reaching R$37.9 million.
In the first half of 2019 the FFO totaled R$71.5 million, a 28.0% growth compared with 1H18.
• In June 2019, Sonae Sierra Brasil and Aliansce controlling shareholders announced a merger
agreement to combine the companies’ businesses. In July, we received the approvals for the
transaction, which should be concluded in the beginning of August 2019. The combined
company, which will be named Aliansce Sonae Shopping Centers S.A. will be Brazil’s largest
shopping mall company in terms of GLA under management.

MANAGEMENT COMMENTS
The second quarter of 2019 was very positive for Sonae Sierra Brasil, with many events and
news, while our asset portfolio continued to show, day after day, its quality and resilience. All
our assets reported, once again, solid figures, with increasing sales, visitors’ traffic and operating
result.
It is worth noting that the comparison with the second quarter of 2018 was also benefited by
the events that affected negatively tenants' sales in May and June of last year, namely the truck
drivers' strike and the FIFA World Cup. Nevertheless, tenants in our malls had a remarkable
overall performance in the quarter.
Five of our nine malls closed the quarter with double-digit sales growth, namely Passeio das
Águas, Uberlândia, Manauara, Metrópole and Plaza Sul. Thus, our portfolio closed 2Q19 with a
9.2% sales growth compared to the same period in 2018, totaling approximately R$1.3 billion.
The same-store sales indicator followed the total sales trend and closed the second quarter of
2019 with an 8.4% growth. While same-store rents posted an even higher growth, of 10.1%,
driven by robust turnover rent revenue and lower temporary discounts.
The overall occupancy rate at the end of June 2019 was 94.5%, while occupancy cost and net
delinquency indicators remained flat compared to March 2019, at 9.8% and 1.7%, respectively.
The solid operating performance of our malls led to record high financial results in the second
quarter of 2019. Net revenues surpassed the R$80 million milestone, the highest ever for a
second quarter, growing 11.2% over 2Q18, resulting from strong increase of rent and parking
revenues, the continuous reduction of temporary discounts, and the acquisition of an additional
30% stake in Plaza Sul Shopping.
With increasing revenues and stable operating costs and expenses, the EBITDA increased by
14.2%, to R$57.4 million, representing a margin of 71.6%, the highest since 2013, while the FFO
recorded an even more significant evolution in 2Q19, growing 34.4% reaching R$37.9 million,
with a 47.3% margin, the highest in the last 6 years.
Attesting Sonae Sierra Brasil’s solid financial position and the quality of its credit risk, rating
agency Fitch upgraded the Company's Long-Term National Rating, following the CADE (antitrust
authority) approval of the merger transaction with Aliansce Shopping Centers S.A., while
Moody’s placed the Company's national scale, corporate family rating under review for upgrade.
In July, we announced the launch of the pilot project of Parque D. Pedro Shopping’s marketplace.
The project offers Parque D. Pedro’s customers the opportunity to buy online products of the

brands present in the mall, thus creating a unified shopping experience. The marketplace started
its operation with more than 100 thousand items, and among the segments already available
are women, men and kids’ fashion, cosmetics, electronics, smartphones, accessories and home
appliance. In a few months all the mall’s stores will have the opportunity to be a part of the
marketplace. After the pilot project of Parque D. Pedro Shopping, the strategy is to expand this
platform, giving each mall in our portfolio its own marketplace.

OPERATING PERFORMANCE
Tenants’ sales in the Company’s malls totaled R$1.3 billion in the second quarter of 2019, a
robust 9.2% y-o-y growth over the same period of 2018. In the first half of 2019, tenants’ sales
grew 6.5% in comparison with the first six months of 2018, reaching R$2.4 billion.
The truck drivers’ strike of May 2018 and the FIFA World Cup heavily impacted 2Q18’s visitors’
traffic and tenants’ sales figures. Regardless, tenants’ performance was strong in 2Q19, with
their continuous recovery process in addition to a strong movie theater season. Five malls closed
the quarter with double-digit sales increase, namely Passeio das Águas, Uberlândia, Metrópole,
Manauara and Plaza Sul.

Same-store Sales (SSS)
The same-store sales closed the second quarter of 2019 with a robust 8.4% increase over the
same period of 2018. In the first six months of the year, the SSS indicator grew 5.4% y-o-y.

Movie theaters were positively impacted by a strong movie season, particularly in April and May.
Restaurants and fast food operations were heavily impacted by the negative events of 2Q18,
thus all segments, from coffee kiosks to restaurants, reported double-digit SSS growth in 2Q19.
Among the service operations, beauty salons, drug stores, and travel agencies were the
highlights, posting SSS of 18.3%, 18.2% and 12.6%, respectively. Other satellite operation
highlights were telecom, jewelry, and sports goods, which reported SSS growth of 22.6%, 13.5%,
and 10.1%, respectively.
On the other hand, the anchor store segment SSS was, once again, negatively influenced by the
subpar performance of hypermarkets.

Same-store Rents (SSR)
The 2Q19 same-store rents indicator posted a robust double-digit growth of 10.1% y-o-y, the
highest since the first quarter of 2015. In 1H19, the SSR was 7.9% in comparison with the first
half of 2018.

All satellite, anchor and leisure stores segments posted positive same-store rents in the second
quarter of 2019 and just a few stores reported lower SSR in the period. As mentioned above,
the second quarter of 2018 was heavily affected by the truck drivers’ strike and the FIFA World
Cup, thus the turnover rent growth in 2Q19 positively impacted our revenues and the SSR
indicator. To add it up, the continuous reduction of temporary discounts continued to be a
positive driver to the SSR.
Anchor stores rents were also positively influenced by solid renewal leasing spreads, mainly in
Manauara Shopping. The mall reached its 10th anniversary and most of its anchors renewed their
leasing contracts during the first half of 2019.
Once leisure operations rent contracts are more tied to sales than other segments. Given the
strong movie season during the 2Q19, the segment’s SSR posted a hefty 20.8% increase in the
period.

Occupancy Rate
Sonae Sierra Brasil’s overall occupancy rate totaled 94.5% by the end of June 2019, 80 bps higher
than in June 2018.
In 2Q19, Our leasing team had yet another quarter with intense work, as 47 store contracts were
signed, totaling 6.7 thousand sqm of GLA leased in our portfolio, with some important anchor
and satellite brands coming to our malls, such as Centauro in Passeio das Águas, Casa & Vídeo
and Popeyes in Parque D. Pedro, Osklen in Manauara, Daiso in Plaza Sul, Equus an Ana Capri in
Uberlândia.
Occupancy Cost
Occupancy cost stood at 9.8% in 2Q19, in line with both the previous quarter and 2Q18.
The net delinquency rate closed the second quarter of 2019 stable when compared with the
previous quarter, but 330 bps lower in comparison with the rate in 2Q18, led by better retail
and macro environment fundamentals.

FINANCIAL PERFORMANCE
Revenues
The gross revenue totaled R$92.7 million in 2Q19, an 8.9% increase over 2Q18, while the net
revenues grew 11.2% y-o-y, reaching R$80.1 million, still positively influenced by the reduction
discounts to tenants. In 1H19, gross revenue grew 6.7%, reaching R$181.5 million, and net
revenue totaled R$157.1 million, an 8.8% increase over the first six months of 2018.
The fixed rent revenue grew 3.5% y-o-y in the second of 2019, led by strong leasing spreads in
Manauara and higher leasing contracts in Passeio das Águas and Uberlândia shopping centers.
Turnover rent revenue posted a 45.9% y-o-y increase in 2Q19 due to the truck drivers’ strike and
the World Cup in 2018, which negatively affected tenants’ sales in May and June. Merchandising
revenue also posted a hefty increase in the second quarter of 2019, growing 40.4% over the
same period of 2018.
The truck drivers’ strike of 2018 deeply impacted the car traffic in our malls, thus in 2Q19 the
parking revenue grew 19.0% y-o-y, reaching R$9.7 million. Service revenue decreased 7.5% in
2Q19, explained by: (i) Shopping Penha’s management contract expired and was not renewed;
and (ii) the additional 30% stake acquisition of Plaza Sul Shopping, which also negatively affects
the service revenue.
Temporary discounts continued to post strong decrease in 2Q19, declining roughly 10% over the
same period of 2018, positively affected by the continuous recovery of the tenants of our mature
malls and the ramp-up of our new generation of assets.

Costs and expenses totaled R$24.9 million in 2Q19, roughly in line with the same period of 2018.
Personnel costs closed the quarter with a y-o-y growth of 12.5% due to annual wages revisions
and the strengthening of our leasing team. On the other hand, costs related with vacant units
continue to decline, with a 22.9% reduction, given the higher occupancy rate in our malls.

Net Financial Result
The consolidated net financial result in 2Q19 was a net financial expense of R$9.2 million, a hefty
35.6% decrease over 2Q18, given the Company’s active leverage management and the average
cost of debt decrease.
The EBITDA grew 14.2% y-o-y in the second quarter of 2019, reaching R$57.4 million, given the
double-digit net revenue growth allied with stable operating costs and expenses. In the first six
months of the year, the EBITDA totaled R$111.2 million, representing a 11.0% growth over the
first half of 2018, with an EBITDA margin of 71.6%.
Similarly, to the previous quarters, the combination of higher EBITDA with lower financial
expenses led to an even stronger increase of FFO, which totaled R$37.9 million (R$0.50/share)
in 2Q19.

The Company’s cash balance was R$172.3 million at the end of 2Q19, 47.2% lower than in 1Q19
mainly due to the acquisition of the additional stake in Plaza Sul Shopping. The cash balance is
invested in low-risk, short-term, investment grade bank securities and funds, at an average
interest rate of 100% of CDI.

PROJECTS AND SUBSEQUENT EVENTS
In June 2019, Sonae Sierra Brasil and Aliansce controlling shareholders signed a merger
agreement.
The new company, named Aliansce Sonae Shopping Centers S.A., will be the leading shopping
mall operator in Brazil, with the largest amount of assets and GLA under management, which
totals more than 1.4 million sqm.
Aliansce Sonae’s dominant portfolio will be present in all regions of Brazil, from Amazonas to
Rio Grande do Sul and will comprise some of the country’s main assets, such as Parque D. Pedro
Shopping, Manauara Shopping, Shopping da Bahia, and Shopping Leblon.
The estimated annual EBITDA impact from synergies ranges between R$55 and R$70 million.
All approvals for the merger were received during the month of July and its conclusion is
expected to occur on August 5, 2019. On this date, Aliansce shareholders will receive 0.7878
SSBR3 share for each ALSC3 and Aliansce Sonae control group will be composed by the two
existing groups.
Rating’s Upgrades
Attesting Sonae Sierra Brasil’s solid financial position and quality of its credit risk, rating agency
Fitch upgraded the Company's Long-Term National Rating, following the CADE (antitrust
authority) approval of the merger transaction with Aliansce Shopping Centers S.A., while
Moody’s placed the Company's national scale, corporate family rating under review for upgrade.

GLOSSARY
Anchor Store or Large Anchors: Well-known stores with special marketing and structural
features that serve to attract consumers, assuring continuous visitor flows and uniform traffic
in all areas of the mall.
B3: Brasil Bolsa Balcão S.A. – Securities, Commodities, Futures Exchange and Over the Counter
Market.
EBITDA: Operating income before financial result + depreciation and amortization – gains from
the fair value of investment properties.
FFO (Funds from Operations): EBITDA +/- Net financial result – current income and social
contribution taxes.
GLA (Gross Leasable Area): Equivalent to the sum of all the areas available for leasing in the
shopping malls.
IFRS: International Financial Reporting Standards.
IPCA: Consumer Price Indicator, published by the IBGE.
Net Delinquency: Ratio between the total amount of delayed rents and total billed rents in the
last twelve months.
NOI (Net Operating Income): Gross revenue from malls (excluding service revenue) + parking
revenue – mall operating expenses – provisions for doubtful accounts.
Occupancy Cost: Ratio (of the last twelve months) between total rent plus common charges and
promotion fund paid by the tenants and total sales.
Occupancy Rate: Ratio between leased area and total GLA of each mall at the end of each
period.
SSR (same-store rent): Relation between invoiced rent for the same tenants in the current
period compared to the previous period, proportional to our stake in each of the assets.
SSS (same-store sales): Relation between sales of the same tenants in the current period
compared to the previous period, proportional to our stake in each of the assets.
Satellite Stores or Satellites: Small stores without special marketing or structural features
located around the anchor stores and aimed at general commerce.
