MEMORANDUM OF AGREEMENT

This MEMORANDUM OF AGREEMENT made and executed by and between:

________________________, of legal age, Filipino, owner of ADDLINE

ENTERPRISE with address at Cutcot, Pulilan, Bulacan, hereinafter referred to
as the FIRST PARTY.

________________________, legal age, Filipino, and a resident of

_______________________________________________, herein referred to
as the SECOND PARTY;

That under this Memorandum of Agreement the SECOND PARTY must be able to comply
subject to the terms and conditions stated herein set forth by the FIRST PARTY:

1. It is acknowledged upon in this Memorandum that the SECOND PARTY received the
amount of ______________________ (P_____________) as his/her loan.

2. That the SECOND PARTY hereby warrants and vouches that all of the properties
listed in the list of collateral provided herewith are owned by him/her and the same
will not be encumbered or sold to any persons and the same shall not be removed
from the residence of the SECOND PARTY or transferred to other locations.

3. That the SECOND PARTY hereby grants full authority, permission and right to the
FIRST PARTY, that in case the said loan was not paid during the said period or has
been delayed in payment of its scheduled daily amortization for at least three (3)
days, the FIRST PARTY may get the collateral properties without any court
intervention to settle for the loan.

4. That on the event the SECOND PARTY had sold, encumbered, removed and/or
transferred the properties from one place or person to another, the whole obligation
is automatically due and demandable from the SECOND PARTY without the need of
demand to pay, settle the whole amount of outstanding balance of the loan. In the
event of failure to pay, the FIRST PARTY may acquire from SECOND PARTY or to
its’ comaker the said collateral to settle for said loan.

5. Both parties warrant full compliance of all of the above mentioned terms and
conditions and should any of the party violates herein, contract will be liable for
damages including attorney’s fees.
