Memorandum of Agreement

Between Katha Advertising and Production Company & Gawad Kalinga

I. Introduction

THIS MEMORANDUM OF AGREEMENT (MOA) dated_____________ between Gawad

Kalinga (“PARTNER”) an organization for profit established under the laws of the
Philippines with its office in (Location, Country) Represented by (Representative of partner
and Position), with its principal place of business in (City) collectively referred to as “The
Partners”

The Partners wish to work together and in compliance with the following clauses:

II. Goal

The goals of The Partners is to promote genuine Filipino products and tourism to the
international market by means of advertising such products and services that can only be
found within the Philippines.

III. Areas of Collaboration

Katha Advertising and Production Company would use the products of Gawad Kalinga to
advertise their product as genuine Filipino products by means of promotion through
placement of announcement and messages of products and services on the television,
radio, magazines, newspaper, outdoor leaflets etc. This can include sharing of knowledge
and products.

IV. Roles and Responsibilities of Partners

Katha Advertising and Production Company: To advertise and promote the products of its
Partner by showing its uniqueness to the international market

Gawad Kalinga: By providing its products to its Partner. They would also recommend
appropriate locations in order to help its Partner find suitable background for its
advertisement.

VI. USE OF INTELLECTUAL PROPERTY

The parties agree that any intellectual property, which is developed through this activity
covered under this MOA, can be used by either party for any purposes without the need of
obtaining the consent of any parties.

All other intellectual property of the parties not covered by the MOA will remain the
property of the party who owns it. If such property wishes to be used by one of the parties,
then they must obtain the consent from the owner of such property.

VII. EFFECTIVE DATES AND AMENDMENTS

This MOA shall take effect after the signing of both parties which shall last for 1 year from
the date it was signed unless it is otherwise terminated at an earlier date. Neither parties
may transfer the any portion of the MOA without a written consent of the parties signed by
the representative.

After the period of the partnership, both parties may renew by mutual agreement of both
parties.

The provisions of the MOA may be amended or waive by mutual agreement of both parties
in form of writing.

The individuals signing this MOA on behalf of their respective companies (without personal
liabilities thereof) that upon the signature of each, this MOA shall have been duly executed
by the company each represent.

VII. TERMINATION

The parties may terminate this MOA and any agreements and workplans at any time for
any reason by giving 7 days prior notice to the other party. Provided that in any event, one
of the Partners fails to perform any of its obligation under this MOA, the other Partner shall
have the rights to terminate this MOA and any related agreements.

IX. TRANSFER OF FUNDS

Both parties acknowledge and agrees that this MOA will create a financial funding or
obligation of the client to the agency. This will be stipulated and agreed upon in the
following contract.

X. DISPUTE RESOLUTION

In the event of any dispute between the Partners in relation with the MOA, the Partners
shall first resolve it through an informal discussion. In the event the dispute can’t be
resolved. The Partners can agree on a mediator. The cost shall be shared equally by the
partners
