MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement is made and entered by and between:

ESTER ABELLA, of legal age, Filipino, married and a resident of San Antonio, Titay,
Zamboanga Sibugay, hereinafter referred to as the FIRST PARTY; and

NOLI SANDOVAL, also of legal age, Filipino citizen, married, and resident of
Tugop, Titay, Zamboanga Sibugay, hereinafter referred to as the SECOND PARTY; and they –

WITNESSETH:

1. That the FIRST PARTY is the senior or original lessee of the parcel of land consisting of
ONE (1) HECTARE of the land and known Lot 1973-A, Pls-248; that the owner-possessor
of the same land is Mariano Sandoval; and that the FIRST PARTY was granted the right
or power to sublease the above mentioned leased premises;

2. That the FIRST PARTY is offering the above mentioned ONE (1) HECTARE, by way of
sublease in favour of the SECOND PARTY; and that the SECOND PARTY is a son of the
owner of the same property;

3. That the SECOND PARTY has accepted the offer of sublease by the FIRST PARTY on the
ONE (1) HECTARE PORTION, subject to the following terms and conditions mutually
agreed to by all the PARTIES, to wit:

3.1 That the term of the mortgage is for TWO (2) YEARS only;

3.2 That the SECOND PARTY binds to pay the FIRST PARTY, an equivalent of
TWENTY-FIVE (25) sacks of Palay for every year of the contract; but that the
SECOND PARTY shall deliver, in favour of the FIRST PARTY, 15 sacks for the first
cropping/harvest and another 10 sacks for the second harvest of each year;

3.3 That the SECOND PARTY shall have the enjoyment, use and fruits of the subject
land within the period stipulated;

3.4 That the SECOND PARTY binds to return the possession of the land upon the
expiration of the two-year period without need of any demand;

4. That the PARTIES bind and guarantee to observe and respect the stipulations
contained in this agreement with all good faith and honesty.

IN WITNESS WHEREOF, the PARTIES have hereby set their hands this 22nd day of
October 2018, in Ipil, Zamboanga Sibugay, Philippines.

This instrument, consisting of two (2) pages including this page on which this
acknowledgment is written, has been signed by the parties and their witnesses on each
