1.0 Introduction
Electricity Generation company ofBangladesh Limited (EGCB Ltd.) [An enterprise ofBangladesh
Power Development Boardl is a leading state owned power generation company of Bangladesh,
engaged in the electricity generalion business under Power Division, Ministry of Power, Energy
and Mineral Resources. Incorporated as Meghnaghat Power Company Limited in 1996,
later it has

been renamed as Electricity Generation company of Bangladesh Limited in 2004. EGCB Ltd.
is

committed to produce quality electricity and to satisry all the stakeholders and the communities as

well. The company, since inception, has been successfully operating the power plants and it has
good track record ofproject implementation. The present installation capacity ofEccB Ltd. is 840
MW (generating ftom three power plants namely Haripur 412 MW CCPP, Siddhirganj 2x 120 MW
peaking Power Plant & Siddhirganj 335 Mw ccPP GT). EGCB Ltd. has expanded its horizons
and has drawn up ambitious plans to develop into a fully-diversified Power Generation company
having presence in all types of conventional and non-conventional forms of energy. The company
has a plan to produce electricity to the national grid through coal, liquid fuel, wind, solar and LNG
based power plants. Towards this end, the company has taken steps to establish 150 MW Solar &
10 MW Wind Based Power Plant at Sonagazi, Feni'

In order to achieve the target of generating 10% of electricity from renewable energy sources of
total etectricity generation in Bangladesh by 2020 as per the National Renewable Enerry Policy
2008, EGCB Ltd. is planning to implement a Solar PV Power Plant Project ofcapacity of 100 Mw
at Sonagazi upazilla under Feni district through Joint Ventule with a Joint Venture Partner having
requisite credentials & experience as a strategic partner for expeditious roll out ofplanned capacity.
EGCB Ltd. has acquired 999.65 acres of land at Sonagazi and part of this land will be used for
implementation ofthe above mentioned Solar PV Power Plant Project with a provision for fisheries
under the solar Plant.

Accordingly, Expression of lnterest (Eol) is invited to

select Joint ventule Partner from
experienced and reputed Companies/organizations for implementation of 100 MW Solar PV Power
Plant Project at Sonagazi upazilla under Feni district in Bangladesh'

2.0 Responsibilities ofJoint Venture Company

EGCB Ltd. and the selected Joint Venture Partner will enter into a Memorardum ofUnderstanding
(subsequently into Joint venture Agreement) for the development ofthe project. Later, EGCB Ltd.
and the selected Joint Ventue Partner will establish a Special Purpose Vehicle incorporated
through
Registrar ofJoint Stock companies & Firms (RJSC) in Bangladesh under companies
Act, 1994.

Responsibilities of the proposed Joint ventule company shall include development of 100
MW
Solar PV Power Plant at Sonagazi upazilla under Feni district in all respect including-

F Selection of EPC contractor (design and engineering, construction, commissioning)
through intemational competitive bidding;
) Land & infrastructure development

3.0 Eligibility and Qualification Criteria:

3.1 General Eligibility
a. The Applicant should be incorporated legally in any country except Israel.
b. No consortium will be allowed.
c. The Applicant should not use the credentials of the Parent Company, Subsidiary, and/or
Affiliate for fulfillment ofQualification Criteria as detailed in Clause No. 3.2.

3.2 Qualification Criteria

a. Applicart, as Solar Power Project Developer, should have experience solely in developing.
own and operating at least cumulative 100 MW Grid Connected Solar PV Power Plants
(minimum one Power Plant of50 MW capacity) within last ten ( l0) years from the last date
of submission of this EOI out of which at least one Power Plant of minimum 50 MW
capacity should be in successful operation for minimum one (1) year.

b. Applicant, as Solar Power Project Developer or as a Joint Venture Lead Partner 6f a Joint
Venture Company, should have experience in developing, own and operating at least one
(l) Grid Connected Sotar PV Power Plant of capacity 30 MW outside Applicant's own
country within last ten (10) years from the last date of submission of this EOI and that
Power Plant should be in successful operation for minimum one (1) year.

c. The applicant should have an Average Annual Turnover ofat least USD 100 Million during
the last five (5) financial years.

d. The Net Worth and Profit should be positive for last five (5) financial years.

4,0 Language
The EOI Proposal and all related correspondence and documents shall be in English language.
Supporting documents and printed literature furnished by the Applicant with the EOI proposal may
be in any other language provided that they are accompanied by exact translations of all the
pertinent passages in the English language, duly authenticated and certified by the Applicant.
Supporting materials, which are not translated into English, may not be considered. For the purpose
of interpretation and evaluation ofthe EOI proposal, the English language translation shall prevail.

5.0 Period of EOI ValiditY:

The EOI Proposals shall initially be valid till I (one) year from the last date of submission ofEOl,
which may be extended for a further period from time to time to be decided mutually by EGCB
Ltd. and the Applicants, if required.

6.0 Instructions to Applicants
l. lnterested Applicants are required to submit the following documents with one (l) original and
three (3) copies of each ofthe following:
a. Application for Expression of lnterest;
b. A write-up on the project to enable the applicant on understanding ofthe project' The
applicants are encouraged to visit project site before submitting the EOI;

c. Documentary evidence substantiating the fulfillment of Eligibility and Qualification

Criteria as per Clause No. 3.0 of this TOR of EOI Document i'e'
i. Company Profile containing information about company's experience,
resources, technical staff, organogram etc.;

ii. Legal Documents, incorporation or constitution certificate of the Applicant's

company;
iii. Details ofPower Plants Experience (Name, Site, location, Size, Award Mode,
Award Date, Status ofcompletion ofworks, Beneficiaries etc.)
iv. Audited financial statements oflast five (5) years;
2. Each and every page ofthe EOI Proposal shall be duly numbered, signed & stamped by the
authorized representative and the contents and pages should be indicated in the index page.

4. All the EOI received from interested Applicants will be evaluated on the basis of following
criteria:
a. Age of the applicant company since formation/incorporation.
b. Organogram, technical staff and resources ofthe applicant company.
c. Average Annual Turnover during the last five (5) financial years'
d. cumulative Experience in developing, own and operating of Grid connected solar Pv
Power Plant within last ten (10) years.

e. Capacity of Solar Power Plant developed, owned and operated by the applicant
company in and outside their own country.
f. Years ofsuccessful operation ofthese solar power plants mentioned in sl.(e) above.

g. Understanding ofthe project by the applicant.

5. EGCBLtd. shall not be responsible for any late receipt ofEOI for reasons whatsoever. The EOI
received after lhe specified date shall not be considered'
