LIVE AUCTION FLOOR, HOWEVER, BUYERS, IN THEIR OWN INTEREST ARE ADVISED
TO GO TO LIVE E AUCTION FLOOR, AFTER SELECTING "ALL CATEGORIES". MSTC
WILL NOT BE RESPONSIBLE FOR ANY OVERSIGHT IN SELECTING THE CATEGORY IN
LIVE E AUCTION/Tender ON THE PART OF BIDDERS/BUYERS. "

Terms & Conditions:- (Most Important)

1) The quantity is mentioned above are based on eye estimation, hence

(+/-)20% quantity variation may occur at the time of actual disposal and hence the
same is to be mentioned in tender documents.

2) The scrap Tenders are disposed on "As is where basis is" basis from
NTPC/VSTPS, located in M.P. & therefore VAT & TCS as applicable shall be levied.
Present rate of TCS is 1% .In M.P VAT is applicable hence FORM-C shall not be
accepted.

3) You are requested to kindly take necessary auction for early tendering on As
is where is basis as per agreement between MSTC & NTPC through E-auction.

4) Unit of Measurement shall be as per the annexure-I

 5) For scrap Tenders of lubricants, Oil and grease etc: The party must have valid
certificate / license issued by state government pollution control board.

6) Customer has to lift the material within two months of issue of lifting order
from MSTC. Otherwise we shall cancel MSTC lifting Order and shall forfeit the
EMD.

7) Special instruction: MSTC may pl. incorporate the clause that MSTC delivery
order shall be issued only after receipt of full scrap payment including VAT &TCS .

PRE-BID NOTE : FOLLOWING Pre-bid EMD to be deposited with MSTC in the form
of online in favour of MSTC Ltd as per details of RTGS/or through DD infavour of
NTPC Vindhyanchal, latest by 25.05.2016 ALONGWITH MSTC ID CARD COPY or

NOTE: PAYMENT CLAUSE: Incase the date of submission of payment happens to

fall on a Public Holiday, the next day shall be considered as the date of submission
of payment.

PLEASE NOTE: THE AUCTION CATALOGUE ON THE LIVE E AUCTION FLOOR SHOULD
BE TREATED AS FINAL AND BINDING.

1. MSTC Ltd. shall hereinafter be referred to as MSTC and NTPC LTD.Vindhyachal as

owners .

2. All the offer shall be valid for a period of 90 days from the date of closing of e-
auction.

3. The materials offered for sale must be inspected prior to due date of e-auction.
For inspection & other related matters, bidders may contact officers of NTPC

4. The bidders shall submit Earnest Money Deposit online infavour of NTPC (as per
RTGS below) within 7 days of e auction for SOLD Tender(s). The EMD must be
@10% of the net sale Value quoted (excluding taxes AND duties) Upon issue of the
sale order the EMD shall automatically be converted into Security Deposit. The
Security Deposit as specified in Sale Order shall be adjusted only at the time of
final payment. For STA Tenders , EMD is to be paid from the date of acceptance of
the item/s (acceptance will be notified by system generated mail once decision is
given by the seller). Bidders will be deactivated automatically if they do not pay
Security Deposit within the specified time starting from the date of acceptance.

5. The Contract shall be treated as having been entered into as soon as the bid is
confirmed in favour of the successful bidders. The period of contract shall be of
sixty days from the date of last Delivery order by MSTC against full payment made
by the party. The contract shall be deemed to be complete as soon as the Area is
cleared of the entire material alTenderted or on completion of the period of
contract as mentioned above, whichever is earlier.

6.0 All the materials are offered for sale on AS IS WHERE IS basis Exworks Owners,
RATE MUST BE QUOTED ON UNIT BASIS FOR EACH Tender SEPARATELY NOT PART
THEREOF i.e. in Rupees per unit only. The quantity indicated against the Tender
are purely indicative, hence (plus/minus) 20% quantity variation also to be taken
into account at the time of disposal and lifting of same.

6.1 The quantity in actual may turn out to be more or less than the estimated
quantity. In the event of quantity turning out to be more than the estimated
quantity the buyer has to lift the alTenderted quantity(+/-20%).In the event of
actual quantity turning out to be less than the estimated quantity, the buyer shall
not be entitled to claim any damages, loss of interest or compensation on this
count.

7. Rate must be quoted exclusive of Sales taxes as applicable will be charged .The
scrap Tenders are disposed on "as is whee is basis" from NTPC/VSTPS located in
M.P. and therefore VAT & TCS as applicable shall be levied in M.P. VAT is applicable
hence "FORM 'C' SHALL NOT BE ACCEPTED.. Any variation in Excise Duty & Sales
tax will be borne by the buyers.

8. Bidders shall submit his/their income tax clearance certificate (latest)

partnership deed of org. as and when demanded by MSTC / Owners.
9. The Bidders/customers workmen shall have to abide by the rules & regulation
including safety & security regulation of the relevant statutory Acts. Entry inside
the works should only be against Gate pass for the men and equipment for which
purchaser will have to apply well in advance before lifting commences.

10. The Buyer will employ his own labour and means; at his own cost and risk for
removal/collection/shifting of scrap as per schedules and payment of
wages/compensation to the labourers will be the sole responsibility of the buyer.
The purchaser shall ensure that his workmen do not loiter around within the
stores area of the factory areas. They shall not touch any material except those
material shown to them. If any of his workmen is even found violating these
restriction, the purchaser shall be responsible for making good the loss to the
owners on which their decision shall be final and binding.

11.0 PAYMENT PERIOD : The cost of each Tender of materials along with all taxes
and duties must be paid by the buyer in equal installments as per table given
below :-

Note :

(i) Payment period for first instalment will not exceed 22 days from the date of
close of e-auction

(ii) Payment dates for installments shall be strictly adhered to irrespective of

whether lifting of earlier installments are completed or not.

(iii) If payment against basic cost only is deposited and amount SalesTax and Late
Payment Fee, if any, etc. is not deposited by purchaser then NTPC at its own
discretion shall relevant site delivery order for reduced quantities after adjusting
the Sales Tax/ Late payment charges etc.

(Branch code: 07937)& other payments i.e. cost of materials with taxes ,late
payment penalty & ground rent etc through RTGS only in NTPC Ltd SBI bank
Account against the respective Tender .

11.1 DELIVERY PERIOD: The successful bidders shall lift the all alTenderted
material lying in the Tender alTenderted to them by employing their own labour
and transport at their own cost within 30 Days (Thirty Days) from the date of Sale
Release Order by NTPC. Buyer shall not be allowed to lift following items if found
mixed with the scrap Tenders. : -

a) Aluminum cut pieces, CI cut pieces of any shape and size.

b) Cables and materials of Brass & Copper.

c) Any straight piece of Angle, Beam & Channel Measuring 04 Mtrs. And above.

d) Any straight piece of reinforcement steel Measuring 03 Mtrs and above

e) Plates of width more then 1000mm and length 01 Mtrs. And above.

f) Plates of width 400mm to 1000mm and length 01 mtrs. And above.

g) Plates of width 300mm to 400mm and length 4 mtrs. And above

h) Chequred plate of size 01 SC Mtrs. And above.

i) Bull Ring Segments, separator body liners and any rail pieces.

j) For ERW Ash pipes circumferential cutting may be allowed at purchasers.

11.2 LATE PAYMENT PENALTY : If the payment is not made within the free
payment date mentioned in the Acceptance Letter, the payment may be accepted
on the discretion of MSTC/NTPC upto a peroid of two weeks from the last date of
payment on payment of additional late payment penalty @ 1% per week on the
total sale value and thereafter on the sole discretion of NTPC.

11.3 Ground Rent @ 2 % per week or part there of beyond 30 Days will be levied
and up to 2 weeks maximum, provided written request is received before the
expiry of 30 days free lifting period, if no such request for extension is received,
the sale order stands cancelled & security deposit forfeited on completion of 30
days of free lifting period.

11.4 NTPC Vindhyachal reserves the right to withdraw in part or full or to close the
contract any time during the currency of contract without assigning any reason
thereof. This will not entitle the buyer to demand compensation or right for
delivery of full qty. by way of extension of contract.

12.0 The material shall be sold on As is where is basis, and Clean Sweep basis. The
intending buyers can inspect the material on Monday, Wednesday and Friday from
10.00 AM to 4 P.M. on working days prior to opening of bids. The sequence of
lifting of scrap shall be as decided by Officer in charge of NTPC. The buyers shall
place their truck as per direction of officer in charge.

13.0 Cutting of heavy scrap material may be allowed in the scrap yard for easy
transportation, loading in trucks and segregating the original material from the
foreign material. The bulky material either size or weight which cannot be loaded
manually into their truck, cutting may be permitted to facilitate loading. Thus the
cutting of bulky material like air pre-heater baskets & Air Pre-heater block may be
allowed to the party. However, due to cutting of the material the fly ash and
foreign material choked inside thin lair of CRC/MS equivalent sheets will get
removed/loosened and fell and this will not be considered as part of ferrous
material and will not be required to be lifted by the party. will However, such
unwanted material (fly ash and foreign material) shall have to be removed by the
purchaser at his own cost to a designated place as per directions of the
Vindhyachal.

14. For the purpose of disposal of Hazardous waste such as oil, batteries, non-
ferrous waste such as lead, copper, zinc waste following certificate should
available with the buyer at the time e auction or before issue of sale order by
MSTC. Production of the valid certificate is the responsibility of the bidder failing
which the EMD of the bidder is liable to be forfeited.

I) Valid letter from the pollution control under air & water act. As per the CPCB
rules and regulations

II) Valid authorization from the appropriate authorities as per law for handing of
hazardous wastes under the hazardous wastes (Management & handling) rules
1989. 15.0 MSTC/NTPC reserves the right to call all the eligible bidder(s) for
revised bid along with requisite EMD for any Tender.

16.0 After the submission of bid(s) by the Buyer, a presumtion would be drawn
that the buyer has inspected the material and has satisfied himself about the
nature, quantity ,quality, other technical specifications, taxes-duties and legalities
prior to the e-auction. No complaint, whatsoever, on the points referred above,
would be entertained after the submission of the bid.

17: The Sale will be governed by the Material List & Special Terms & Conditions
(STC) displayed on the Live eAuction Floor (and not under Forthcoming Auctions)
as well as the General Terms & Conditions (GTC) and Buyer Specific Terms &
Conditions ( BSTC ) already accepted by the Bidder at the time of eAuction
Registration with MSTC. The Material List & STC displayed under View
Forthcoming Auctions on MSTC's eAuction Website are tentative and subject to
change at MSTC's sole discretion before the start of eAuction. Bidders should
therefore download the Material List and STC displayed only under View Live
Auctions for their record purpose, if required. The BSTC and GTC can be seen and
downloaded by going to the Home Page of the eAuction Website and clicking on
NEW USER. Participation in the eAuction will be deemed to imply that the Bidder
has made himself thoroughly aware of and accepted the STC, BSTC and GTC. In
case of any conflict between the STC and BSTC , the STC shall prevail. MSTC shall
have the right to issue addendum to the STC or BSTC, to clarify, amend, modify,
supplement or delete any of the conditions, clauses or items stated therein and
the Addendum so issued shall form a part of the original STC.

18: The Principal/Owner of the materials reserves the right to withdraw at any
stage the sale of any item or quantity of material either by number or by weight or
any other specific unit etc, even after issue of Sale Order/Delivery Order. The
Principal/Owner will not be bound to assign any reason or details thereof. Value
of the materials so withdrawn, if any, and paid by the buyer will be refunded. The
Principal will however, not be responsible for any damage, loss, direct or
consequential compensation whatsoever to the buyer nor for payment of any
interest.
