k) "Third Party" means, any person, firm, company, institution, corporation or association

not being a party to this Agreement;


I) "VAT" means, Value Added Tax;
m) "WHT" means, withholding tax or tax withheld pursuant to the provisions of the law;
n) "Willful Misconduct" means an intentional disregard of good and prudent standards of
performance or of any of the terms of this Agreement;
o) "Works" or "Services" means, the Services to be executed as specified in Article 3.0 of
this Agreement.
1.1 Headings, Captions, Articles and paragraphs are for descriptive purposes only and shall
not modify, alter or affect the meaning of the terms and conditions of this Agreement.
1.2 The singular shall include the plural and vice versa without in either case altering the
meaning of the Agreement.
2.0 ARTICLE 2 - CONTRACT DOCUMENTS

In this Agreement, the under listed documents shall together with this Agreement form
the Contract documents, viz:

i) Tender documents and

ii) This Agreement.

The above Contract documents shall be mutually explanatory and in case of conflict
or discrepancy amongst the documents forming the Contract documents the same
shall be resolved by giving effect to the terms and conditions stipulated in this
Agreement which shall prevail over the terms and conditions contained in the other
documents.

3.0 ARTICLE 3 - SCOPE OF SERVICES

3.1 The services which Contractor shall perform pursuant to this Agreement shall include but
not limited to the following:

3.1.1 Provision of Produced Water Project Documentation & Close-out Engineer (Produced
Water Project)

EPT shall supply Produced Water Project Documentation & Close-out Engineer. The
personnel shall be responsible for the acceptance of all mechanical scope at
produced water handling and ensuring that all Mechanical and Piping Commissioning
has been successfully tested, and documented, in line with Site Standards and
Technical Practices.

The personnel task shall include but not limited to the following:

3.1.1.1 Operational readiness of all packages over the duration of contracting


period, gradual and effective handling over to the OML-42 operations
team.

3.1.1.2 Effective documentation handover procedures and ensuring all relevant


personnel are conversant with all documents (operations and
maintenance manuals, safety and data sheets etc.) and also working
closely with the document controller.

3.1.1.3 W itness Mechanical completion activities performed by the construction


contractor including approval of punch lists for Mechanical discipline.

3.1.1.4 Execute all mechanical & piping pre -commissioning, commissioning and
start-up activities for assigned sub -systems. This includes preparatory
activities, coordinating resources (technicians, equipment and other
departments), expediting documentation- in particular handover dossiers,
participating in walk -downs from construction to commissioning and from
commissioning to operations and formally agreeing and categorizing
punch -list items.

3.1.1.5 Commission systems/subsystems in accordance with the commissioning


procedures and commissioning and start-up schedule.

3.1.1.6 Assist Vendor servicemen with the commissioning activities.

3.1.1.7 Raise site materials requests (SMRs), technical queries (TQs), field instructions
(Hs) for activities where necessary and livening up notices (LUNs) where
piping/mechanical equipment or lines require energizing.
