Artist Work-For-Hire Agreement

This is an agreement between Mbracelights Media in association with Wedding Maniac-WM

(as company), Anton Hepalau & Sveatlana Hepalava (as artists) for creating promotional
media works such as photography and filming for the destination wedding planner firm
known as “Wedding Maniacs”.

Mbracelights Media desires to retain the services of Artists to develop certain artwork for
characters to be used by them for creating a promotional project for WeddingManiacs.
WHEREAS, artist is willing and able to provide such art services to and develop such artwork
in accordance with the terms recited herein.

Scope of the services :

Specifically for 3 days shooting in Bali, Indonesia – Includes posing, movements, acting and
travelling between 19/03/2019 to 21/03/2019 for Anton Hepalau and Sveatlana Hepalava.

The artists have neither any contribution or say on the other creative works by MbraceLights
Media or Wedding Maniac nor have any rights on their hiring strategies- addition/deletion of
other models

Mutually agreed compensation:

With the intention of goodwill and bi-party benefits, the compensation for this 3 days shoot
includes
• Food & Accommodation facilities
• Transportation
• Specific dresses- Bridal gowns and accessories

COPYRIGHT

Ownership of all images/videos of the Artists remains with WM at all times and any
unauthorized use or replication of their image will be an infringement of Australian Copyright
Laws. At no time does ownership of any image of the Artist revert to either the Photographer
or Client and said images can only be used where usage fees have been agreed and paid to
the Artist via The Agency.

CONFIDENTIALITY

Artist recognizes that during the course of its work with Mbracelights media and Wedding
Maniacs; Artist may have occasion to conceive, create, develop, review, or receive
information which is considered by the WM to be confidential or proprietary, including
information relating to inventions, patent, trademark and copyright applications,
improvements, know-how, specifications, drawings, cost data, process flow diagrams,
customer and supplier lists, bills, ideas, and/or any other written material referring to same
(Confidential Information). Both during the term of employment and thereafter:

a. Artist agrees to maintain in confidence such Confidential Information unless or until:

(1) it shall have been made public by an act or omission of a party other than itself; (2)
Artist receives such Confidential Information from an unrelated third party on a
nonconfidential basis; or (3) the passage of [number] years from the date of the
disclosure of such Confidential Information to Artist, whichever shall first occur.

b. Artist further agrees to use all reasonable precautions to ensure that all such
Confidential Information is properly protected and kept from unauthorized persons
or disclosure.

c. If requested by Company(WM.), Artist agrees to promptly return to Company (Work-

for-hire Co.) all materials, writings, equipment, models, mechanisms, and the like
obtained from or through Company(WM.) including, but not limited to, all
Confidential Information, all of which Artist recognizes is the sole and exclusive
property of Company(WM.).

d. Artist agrees that it will not, without first obtaining the prior written permission of
Company(WM.): (1) directly or indirectly utilize such Confidential Information in its
own business; (2) manufacture and/or sell any product that is based in whole or in
part on such Confidential Information; or (3) disclose such Confidential Information to
any third party.

CONFIDENTIALITY FROM COMPANY

Company WM acknowledges that the privacy of our Artists is highly valued and that all efforts
are made to maintain confidentiality. Accordingly, WM agrees not to disclose any
confidential, personal, or private information about the participant, participant’s family, or
participant’s personal relationships at any time, or to write or assist in the writing or
preparation of articles, news stories, books, or other productions or materials of any nature
whatsoever about or referring to participants.

GENERAL SAFETY REQUIREMENTS

• The Artists are not encouraged to be away in water bodies/ or any other sites without
informing the media/film crew
• Any concerns regarding public safety must be immediately informed

• Using unauthorised materials such as drugs, weapons is prohibited

• Drinking alcohol is not permitted during the shooting

TERMINATION

A. Company (W.M.) shall have the absolute right to terminate this Agreement on no notice
to Artist should Artist fail to deliver the Artwork to Company (WM.) in a form acceptable
to Company (W.M.) on or before the dates recited in the Delivery Schedule.

B. Either party may terminate this Agreement on [30] days’ written notice to the other party
in the event of a breach of any provision of this Agreement by the other party, provided
that, during the [30]-day period, the breaching party fails to cure such breach.

C. In the event that this Agreement is terminated as a result of a breach of this Agreement by
Artist, Company (WM) shall have the right, in addition to any other claims that it might
otherwise have against Artists, to complete Artwork either itself or through the services of
a third-party artist and charge back to Artist any costs incurred.

FORCE MAJEURE

Neither Mbracelights Media nor WeddingManiacs is responsible for any event under force
majeure. The company of filming crew is not responsible for 3rd party concerns such as delay
in flight timings, weather conditions and so on.

"An event of force majeure is an event or circumstance which is beyond the control and without
the fault or negligence of the party affected and which by the exercise of reasonable diligence the
party affected was unable to prevent provided that event or circumstance is limited to the
following: (a) riot, war, invasion, act of foreign enemies, hostilities (whether war be declared or
not) acts of terrorism, civil war, rebellion, revolution, insurrection of military or usurped power,
requisition or compulsory acquisition by any governmental or competent authority; (b) ionising
radiation or contamination, radio activity from any nuclear fuel or from any nuclear waste from
the combustion of nuclear fuel, radioactive toxic explosive or other hazardous properties of any
explosive assembly or nuclear component; (c) pressure waves caused by aircraft or other aerial
devices travelling at sonic or supersonic speeds; (d) earthquakes, flood, fire or other physical
natural disaster, but excluding weather conditions regardless of severity; and (e) strikes at
national level or industrial disputes at a national level, or strike or industrial disputes by labour
not employed by the affected party, its subcontractors or its suppliers and which affect an
essential portion of the works but excluding any industrial dispute which is specific to the
performance of the works or this contract."
CONSENT

Artists
We Anton Hepalau & Sveatlana Hepalava have read and understood the cause and purpose of the
project of photography and filming in Bali as a part of promotion for the start up firm – Wedding
Maniac.

We agree that this agreement to provide our time and artists services is with mutual cooperation and
we have agreed to perform our services after we have discussed read and understood the scope of
the project and agreed the terms and we will be flying to Bali with our full consent.

We have agreed and shared our identity details to Wedding Maniac for solely travel purposes.

We hereby grant permission to MbraceLights Media for the use of the photograph(s) / videos or
electronic media images /films as in any cultural presentation of any and all kind whatsoever. I/We
have no ownership or rights on these photographs or films taken.

MbraceLights Media and Wedding Maniacs agree to abide by the terms mentioned above ;
any breach of the compensation will be a violation under fair work ombudsmen and privacy
policy act.
