ASSIGNMENT 1

COMPROMISE AGREEMENT

SO THE PUBLIC MAY KNOW:

This Agreement executed between:

SALES, BERNARDO P., Filipino, of legal age, and residing at Thrush

Street, Countryside Village Phase III, Parañaque City;

- and -

SEIZE TOMORROW CORPORATION (STC) a corporation duly

organized and existing under Philippine laws with principal office located
at Atrium of Makati, G/F, Makati Ave., Makati City, represented by its
President, GREDOÑA, PAOLO B., duly authorized for this purpose, as
shown by the attached authority.

Antecedents:

Bernardo Sales filed a complaint against Seize Tomorrow

Corporation (STC) and a number of its officers before the arbitration branch
of the National Labor Relations Commission, Regional Office IV located in
Calamba City, Laguna, docketed as NLRC Case RAIV 82345-07 for a
number of issues arising from the last company action against him.

During the mandatory conference between the parties, they amicably

settled their differences.

ACCORDINGLY, for and in consideration of the foregoing premises, the

parties agree as follows:

A. SEIZE TOMORROW’S Obligation:

1. To pay Bernardo the sum of P500,000.00 cash upon execution of this

compromise agreement as a way of financial assistance.

B. BERNARDO’s Obligations:

1. To be committed not to do any acts that may prejudice the interest of

STC, its branches, or its projects arising from or with respect to his previous
employment.

2. To execute a quitclaim against the same company and its officers.
