The Bajaj Group is one of the leading business houses of India. Its business
interests span host of industries such as automobiles (two-wheelers and
three-wheelers), home appliances, lighting, iron and steel, insurance, travel
and finance. The Bajaj brand is well-known in over a dozen countries in
Europe, South America, the US and Asia. The Bajaj Group comprises 27
companies and its flagship company Bajaj Auto is ranked as the world's
fourth largest two- and three- wheeler manufacturer.
Bajaj Group was founded in 1926, at the height of India's movement for
independence from the British. Jamnalal Bajaj, founder of the group, was a
close associate of Mahatma Gandhi. Jamnalal Bajaj's close involvement in
the freedom movement did not leave him with much time for his business.
In 1942, his son Kamalnayan Bajaj took charge of the business. He
consolidated the group and diversified into various manufacturing
activities. Rahul Bajaj, the present Chairman and Managing Director of the
group took reins of the business in 1965. Under his leadership the group
has achieved new heights and ranks among the top 10 business houses in
India.
Origins
The Bajaj Group was formed in the first days of India's independence from
Britain. Its founder, Jamnalal Bajaj, had been a follower of Mahatma
Gandhi, who reportedly referred to him as a fifth son. 'Whenever I spoke of
wealthy men becoming the trustees of their wealth for the common good I
always had this merchant prince principally in mind,' said the Mahatma
after Jamnalal's death.
The precursor to Bajaj Auto had been formed on November 29, 1945 as
M/s Bachraj Trading Ltd. It began selling imported two- and three-wheeled
vehicles in 1948 and obtained a manufacturing license from the
government 11 years later. The next year, 1960, Bajaj Auto became a public
limited company.
Rahul Bajaj reportedly adored the famous Vespa scooters made by Piaggio
of Italy. In 1960, at the age of 22, he became the Indian licensee for the
make; Bajaj Auto began producing its first two-wheelers the next year.
Rahul Bajaj became the group's chief executive officer in 1968 after first
picking up an MBA at Harvard. He lived next to the factory in Pune, an
industrial city three hours' drive from Bombay. The company had an annual
turnover of Rs 72 million at the time. By 1970, the company had produced
100,000 vehicles. The oil crisis soon drove cars off the roads in favor of two-
wheelers, much cheaper to buy and many times more fuel-efficient.
RAHUL BAJAJ PROFILE
Rahul Bajaj is the Chairman of the Bajaj Group, which ranks among the top
10 business houses in India. The Bajaj Group has diversified interests
ranging from automobiles, home appliances, lighting, iron and steel,
insurance, travel and finance. Rahul Bajaj is one of India's most
distinguished business leaders and internationally respected for his
business acumen and entrepreneurial spirit.
The initiation of liberalization in India posed great challenges for Bajaj Auto.
Liberalization brought the threat of cheap imports and FDI from top
companies like Honda. Rahul Bajaj became famous as the head of the
Bombay Club, which opposed liberalization. The scooter sales plummeted
as people were more interested in motorcycles and the rival Hero Honda
was a pioneer in it.
The recession and stock market collapse of 2001 hit the company hard and
it was predicted that the days of Bajaj Auto were numbered. However,
Bajaj Auto re-invented itself, established a world-class factory in Chakan,
invested in R&D and came up with Bajaj Pulsar Motorcycle. Bajaj Pulsar is
currently a leader in its segment.
All the above features are the hallmark of Bajaj. They have earned him a
rare reputation as one of India’s most successful industrialists.
Squeaky clean, he has never been involved in shady takeovers. He does not
engage in street fights, nor has he ever hijacked someone else’s project. He
hasn’t burnt tyres during hard drive for meteoric growth. On the contrary,
he is something of a plodder, routinely burning the midnight oil, and
devoted to the virtues of hard work. He’s India’s most admired industrialist
along with Dhirubhai Ambani and the late Adity Birla.
Responding to the allegations, Bajaj had earlier told that it was the portal of
Bajaj's insurance venture partner, Allianz that had carried the alleged map
with the discrepancy.
"I have nothing to do with the case as it was Allianz which had put the map
on its website. They have, in fact, corrected the discrepancy as soon as it
was pointed out about a month back," Bajaj had said.
The statement to NSE says that that the transfer to Shishir Bajaj is at zero
consideration. It is possible, though this could not be confirmed, that the
value of this transaction would be adjusted against Shishir Bajaj selling his
shares in Bajaj Auto, the flagship company of the faction led by Rahul Bajaj.
Although inter-se transfer of shares amongst the promoters is exempted
from any open offer to the rest of the shareholders, the deal, tax
consultants say, would attract capital gains tax.
Analysts expect this to be the first leg of the transaction. In the second,
Shishir Bajaj will exit from other Bajaj group companies especially Bajaj
Auto where he owns around 2%. With this, the Bajaj family drama which
flared up six years ago when Shishir and his son, Kushagra, had revolted
against the Rahul Bajaj-led group will come to an end. Shishir had also
moved the Company Law Board against Rahul.

communication means both the sender and receiver of the message

can communicate effectively with his employee, creditors, suppliers and
customers.

Karan Thapar: But the Rajya Sabha is a part of politics, Mr. Bajaj.
Rahul Bajaj: Being a citizen of a democracy you are also part of politics Mr.
Thapar.
Karan Thapar: No, being a citizen of a democracy is not what joining the
Rajya Sabha as an MP is. Why are you so reluctant to accept that? I have
repeatedly heard you saying in interviews that independent MPs are not
politicians but you are completely wrong.
Rahul Bajaj: I never said anything of that sort. I have repeatedly said that I
have no desire to get into politics.
Karan Thapar: Mr. Bajaj you are wonderful with words but the problem is
that you are short on logic. Parliament and being an MP is part of politics.
Rahul Bajaj: I went to Cathedral, St. Stephens, and Harvard, slightly better
than you in every respect. So I understand logic. But I am a humble man
unlike you.
Karan Thapar: I am not sure you are showing humility at the moment. You
are showing a lot of defiance.
