DEED OF DECLARATION OF TRUST

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Declaration of Trust made and executed this 7th day of
August, 2019 hereat Quezon City, by:

BENEDICT A. BAUTISTA, of legal age, Filipino, and with

address at No. 50 Coconut Street, Magallanes Park, Makati City;
hereinafter referred to as the “NOMINEE”;

- in favor of -

JOHNNY L. AQUINO, of legal age, married to MA.

CARMELA OCHOA-AQUINO, Filipino, with address at 1039A
Garnet Towers, No. 5 Quezon Avenue, Quezon City; hereinafter
called as the “OWNER”;

WITNESSETH – THAT:

WHEREAS, the NOMINEE appears in the books of OLIVEROS REALTY

CORPORATION, a corporation duly organized and existing pursuant to the laws
of the Philippines, with address at Unit 119, TWP Condominium, 4 Panay
Avenue, Quezon City (hereafter called “ORC”), as the stockholder of record of
Twenty Thousand (20,000) shares of ORC’s capital stock, with a par value of
One Thousand Pesos (P1,000.00) per share;

WHEREAS, the NOMINEE has consented to having said shares of stock

placed in his/her name only for the convenience of the OWNER, the latter having
advanced the funds for the full payment thereof, the intent being that the
NOMINEE shall hold said shares only for and in behalf of and in trust for the
OWNER;

NOW, THEREFORE, for and in consideration of the foregoing premises

and the mutual covenants hereinafter set-forth:

1. The NOMINEE does hereby acknowledge:

1.1. The absolute title and ownership of the OWNER over

the 20,000 shares of the outstanding capital stock of ORC
registered or to be registered in the books of ORC under the
NOMINEE’s name;

1.2. His/Her role as such NOMINEE and agent of the

OWNER is to hold naked title to the said 20,000 shares of stock for
and in behalf and in trust for the OWNER upon the terms and
conditions hereinafter provided;

2. Upon demand by the OWNER, the NOMINEE hereby agrees to

execute and deliver such instruments, deeds or other writings necessary to
transfer his/her legal ownership in and to the shares subject matter of this Deed,
to lawfully enable the OWNER to cause the registration and recording of title to
the aforesaid shares in the OWNER’s name or that of his designated NOMINEE.
For this purpose, the NOMINEE hereby authorizes the Corporate Secretary of
ORC to make the corresponding transfer in the corporate books of the aforesaid
shares from the name of the NOMINEE to that of the OWNER’s or his assigns or
successors-in-interest, at anytime upon the request of the latter, after payment by
the latter of any applicable taxes, fees and charges of any nature that may be
imposed on the said transfer;

3. The NOMINEE hereby agrees to exercise all voting and other rights
pertaining to the aforesaid shares in such manner as the OWNER may from time

to time direct the NOMINEE and to execute all proxies requested by the OWNER
to enable the latter to exercise the voting rights pertaining to the shares subject
matter of this Deed;

4. The NOMINEE hereby agrees to hold in trust for the OWNER all
dividends, bonuses and other benefits accrued or to accrue upon or in respect of
the aforesaid shares and to account for and remit the said amounts and
dividends to the OWNER in such manner the OWNER may from time to time
direct the NOMINEE; and

5. The OWNER hereby assumes all obligations pertaining to the

aforesaid shares and shall indemnify the NOMINEE for and save him free and
harmless from, any and all liabilities, damages, costs and expenses which the
NOMINEE may suffer or incur by virtue of his/her aforesaid subscription, or by
reason of his/her being or having been such a subscriber of the aforesaid shares.

7th day of August at Quezon City.
