DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made and executed by and between:

_______________, Filipino, of legal age, single/married to ____________________,


residing at __________________, hereinafter referred to as the VENDOR;

AND

____________________________, a duly registered corporation organized and existing under


the laws of the Philippines with office address at 3rd Floor VV Soliven Bldg.1, EDSA, San Juan
City, represented in this act by PURITA R. SOLIVEN, hereinafter referred to as the VENDEE.

WITNESSETH:

WHEREAS, the VENDEE is the registered owner of a parcel of land and covered by
Transfer Certificate of Title No. ____ more specially described as follows:
WHEREAS, the title on the above-property has been transferred and registered in the
VENDEE name by virtue of the fact that the VENDOR applied for a house and lot package
under the housing loan program whereby even if the vendor has not yet fully paid the total
contract price of the house and lot, the title of the lot was already transferred to the name of the
VENDOR for the purpose of the mortgaging the same as collateral to the originating bank
name:_______________________________ as obtaining under and as per requirement of the
housing loan program.

WHEREAS, as agreed upon by the parties in the Deed of Undertaking executed on


____________ and entered in the Notarial Register of Atty.______________________ a Notary
Public for _____________________and entered as Doc. No. _______ Book No. ________, Page
No._____, Series of ________, the VENDOR has agreed to execute and sign a Deed of Absolute
Sale to recovery and sell back the afore-described realty together with any and all improvements
standing thereon unto and in favor of the VENDEE ( ); in any event that
take-outs from the National Home Mortgage Financing Corporation are stopped, delayed or
hampered due to forea-majure arising from economic, political upheavals or other causes beyond
control;

WHEREAS considering that the eventualities mentioned under the Deed of Undertaking
aforementioned and happened. The VENDOR is therefore under obligation to reconvey the
subject realty and the improvements thereon unto and in favor of _______________________,
hence, this Deed of Absolute Sale.

ACCORDINGLY, for and inconsideration of the foregoing premises and the covenants
hereinafter setforth the portion have agreed as follows:

Philippine Currency receipt whereof is hereby acknowledged by the VENDOR from the
VENDEE, the VENDOR hereby sells, cedes, transfers and assignee, absolutely and
irrevocably the above-described parcel of land including the improvements thereon unto
and in favor of the VENDEE, it heirs, assigns and successors-in-interest;
2. The VENDOR warrants that the above-described realty in free from liens or
encumbrances.
