FAMILIARISATION PROGRAMME FOR DIRECTORS


(In terms of Clause 49 of the Listing Agreement)

Clause 49(II)(B)(7) of Listing Agreement states that:


a. The company shall familiarise the independent directors with the company, their
roles, rights, responsibilities in the company, nature of the industry in which the
company operates, business model of the company, etc., through various
programmes.
b. The details of such familiarisation programmes shall be disclosed on the
company's website and a web link thereto shall also be given in the Annual
Report."

In compliance of the above provisions, IDBI Bank has continued to familiarize the
Directors with the functioning of the Bank including essential areas such as Profile of
the Bank/ nature of industry, the sub committees of the Board, their role,
responsibilities, details on delegation of powers, financial and other controls and
systems, etc.
Apart from it, the Independent Directors have also been apprised specifically about
their roles, responsibilities and functions to be discharged by them as members of the
Board and various sub-committees of the Board, vide appointment letters dated July 1,
2014 issued to them. The same are also available on Bank’s website under the following

Training facilities for Directors
The wholetime Directors of the Bank have been regularly attending the Meetings
organized by various Institutions. Further, the Bank keeps nominating Independent
Directors for various programmes on relevant topics for Banks organized by ICAI,
New Delhi, CAFRAL, Mumbai, ISRBT, Hyderabad, etc. These programmes have
facilitated the Directors to acquaint themselves with emerging
developments/challenges facing the Banking sector in general apart from important
Corporate Governance aspects impacting their role in particular.

Overview of Familiarization Programmes Conducted by the Bank:

The Directors, at the Board meeting held on April 30, 2014, were acquainted with
the relevant provisions of the new Companies Act, 2013 through a paper presented to
the Board in this regard.
Further, the Directors at the Board meeting held on September 5, 2014, were
familiarized with the checklist of various Compliances required to be made under the
Companies Act, 2013 and compliance status of the Bank, the Duties of Directors as
provided under Section 166 of the Companies Act, 2013, Responsibilities of the Board
provided under Clause 49 of the Listing Agreement and Role/Code of Conduct of
Independent Directors as provided under Schedule IV of the Companies Act, 2013.
