1. I, the undersigned, hereby certify that I am the legal and beneficial owner of all right (including copyright), interest and
title in and to the full length feature film described below (“Subject Matter”):

2. I certify that I have assigned and transferred to STELLAR DIGITAL LIMITED (“Bongo”) all the exclusive worldwide digital
distribution rights in and to the Subject Matter, which includes the following “Contents”:
a. complete movie hall (digital version);
b. audio songs;
c. music videos;
d. posters;
e. still pictures;
f. synopses;
g. trailers;
h. behind the scenes;
i. teasers;
j. list of technicians;
k. copy of censor certificate; and
l. news, newspaper and magazine articles, TV advertisements, etc.

3. I further certify that:

a. in case the definition of the Contents above does not include audio songs and music videos as separate entities,
I, being the owner thereof, hereby grant a royalty-free, transferable, and irrevocable license and right to Bongo
to use (including the right to distribute, publish, and exploit without any liability to account to, and share any
profits therein, with Owner) all such audio songs and music videos as an integral part of the Subject Matter in
which all digital distribution rights have been assigned and transferred to Bongo;
b. where there are songs in the Contents which are obtained from other sources, I have obtained all relevant
licences and permission to use and incorporate the said songs in the Contents, and have paid all dues payable
in connection therewith; and
c. save for Bongo, no person is entitled to claim exclusive worldwide digital distribution rights in and to any of the
Contents.

4. I further confirm, warrant and guarantee that the Contents do not violate or infringe the right, title or interest in any
property belonging, directly or indirectly, to any third party.
