a. GENERAL - liable pro rata subsidiarily
sometimes solidarily with their separate
property for partnership
b. LIMITED - formed by 2 or more
persons having members one or more general

obligations

a. PARTNERSHIP AT WILL - no time
specified and not formed for particular
undertaking which may be terminated anytime
b. AT FIXED TERM - fixed/agreed

a. DE JURE - complied all legal
requirements
b. DE FACTO - failed to comply with all

a. ESTOPPEL - ostensible, not a
partnership in reality but considered due to
admission

formed for the exercise of profession
b. COMMERCIAL / TRADING - formed
for transaction of business

avowed, known to the public by the members

KINDS OF PARTNERS
a. CAPITALIST - contributes money or property
to a common fund
b. GENERAL - can be either capitalist/industrial
partner, liability to 3rd person extend to his
separate property
c. INDUSTRIAL - contributes industry / personal
service
d. SUBPARTNER - not being a member of
partnership, contracts with a partner with
reference to the latter share of the partnership.
e. ESTOPPEL - not really a partner, not a party in
a partnership agreement but liable as a partner
for the protection of 3rd party. Known as
partner by implications or nominal partner
f. LIMITED - known as special partner, liability
to 3rd person is limited to his capital
contribution. He does not participate in the
management of business
g. LIQUIDATING - takes charge of the winding
up of partnership affairs upon distribution
h. SURVIVING - one who remains afyer
partnership has beem dissolved by the death of
the partner
i. MANAGING - known as general or real
partner, manages the affairs or business of the
partnership
j. OSTENSIBLE - takes active part and known to
the public as a partner of the business
k. SECRET - takes active part but not known to
be a partner outside parties
l. SILENT - does not take active part although he
may known to be a partner
m. ORIGINAL - member from the time of its
organization
n. DORMANT - both silent and secret partner,
does not take active part and not known as a
partner
o. RETIRING - withdrawn in the partnership
p. Incoming -taken into partnership as member
q. CONTINUING - continues the partnership
after it has been dissolved due to admission of
new partner, retirement, death and expulsion.

-Partnership will enjoy the use of usufruct and
