COMMISSION AGREEMENT

This Commission Agreement (“Agreement”) is made and effective this _9th January 2018.

EON FAR EAST PHILIPPINES CO.

Represented by Nino M. Rodriguez, WITH OFFICE ADDRESS AT No. 6 Congressional Ave. Brgy.
Bahay Toro, Quezon City.

WHEREAS the Principal wishes to supply Euro 4 Diesel and else were hereinafter referred to as
the “Product(s)”;

WHEREAS the Agents, being one of the representatives in the Philippines, is prepared to sell the
Product(s) on behalf of the Principal, in return for a commission. This includes roll over, re
orders and contract renewals.

COMMISSION:

a. In consideration of the Principal securing a firm supply of Euro 4 Diesel within the effectivity of the
contract, the Principal hereby irrevocably and unconditionally agrees and undertakes to pay the Agents its
Commission.
b. The Principal shall pay the Agents a commission of PHP 1.50 per LITER, exclusive of any sales taxes of
each order or part of each order of Product(s) duly sold by the Agent in accordance with this agreement
which is paid for in full, inclusive of any sales taxes, within seven (7) banking days upon liquidation of the
buyer’s banking instrument to be distributed as follows:

c. The Agent hereby undertakes to indemnify the Principal against any complaints, actions, claims, demands,
costs and expenses of any kind which may be brought or made against or incurred by the Principal by
reason of such payment of the commission.

CONFIDENTIALITY:

By execution of this Agreement, the parties hereby mutually and irrevocably agree not to divulge each other’s
named sources and not to circumvent or disclose, either directly or indirectly, in any form whatsoever, the
relationship that each party has established with their named sources or contracts, bank officers and/or individuals
that might be involved either directly or indirectly in securing the supply of the Product(s) to the buyer during the
effectivity of this Agreement. Both parties shall keep the business secrets of the other, including but not limited to
customer, supplier, logistical, financial, research and development information, confidential and shall not disclose
them to any third party during and after termination of the Selling Rights.

DISPUTES OR CLAIMS:

In any case that a pay master of each group (Alfie Casingal or Arlene Alvarez) do not distribute or deposit the
commission agreed upon to the rest of the group, he/she will be held liable for the damages.

Any disputes or claims which may not be resolved amicably between the parties hereto shall be settled by
arbitration through a single arbitrator mutually appointed by both parties. Arbitration shall be conducted in
accordance with the Rule of Arbitration of the Philippines.

The Parties each hereby execute this Agreement as of January _____ 2018.
