CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Lease made and entered into by and between:

ALLAN FERDINAND G. DEL ROSARIO, of legal age, Filipino, married, and a resident of
La Marea Subd., San Antonio, San Pedro, Laguna, Philippines, hereinafter referred to as the
"LESSOR";

- and -

SHOFUKU TRADING CORPORATION, a private corporation duly organized and existing


under Philippine laws, represented by Benjamin Garcia, of legal age, Filipino, married, and a
resident of San Antonio, San Pedro, Laguna, Philippines, hereinafter referred to as the
"LESSEE";

-WITNESSETH-

WHEREAS, the LESSOR is the registered and absolute owner of a certain parcel of land with
improvements, situated at Brgy. San Antonio, San Pedro Exit, City of San Pedro, Laguna,
containing an area of 298 square meters, (the “LEASED PREMISES” or the “Property” as the
context so prescribed) more particularly described as follows:

A PARCEL OF LAND (LOT 124-C-3 OF THE SUBD. PLAN PSD-04-04-2367, BEING A


PORTION OF LOT 124-C, CSD-003962-D, LRC REC. NO.) , SITUATED IN THE BO. OF
San Antonio, MUN OF San Pedro, PROV. OF LAGUNA.
WHEREAS, the Lessor has offer to lease out the entire LEASED PREMISES in favor of the
LESSEE and the LESSEE accepts the lease subject to the terms and conditions herein set forth.

NOW, THEREFORE, for and in consideration of the terms and conditions mutually agreed upon
by the parties, the LESSOR hereby lease unto the LESSEE, the above-described parcel of land
subject to the following terms and conditions, to wit:

• That the term of this lease shall be for a period of one year to commence
upon the signing of this Contract and shall be renewable for another one year at the
option of the LESSEE, and thereafter renewable upon mutual agreement of the parties;

• That the monthly rentals on the leased premises above-mentioned shall be


TEN THOUSAND PESOS (P10,000), Philippine Currency for the first THREE YEARS
of this agreement, which shall be increased by THREE THOUSAND PESOS (P3,000.00)
every THREE YEARS thereafter. The rentals shall be paid by the LESSEE to the
LESSOR on a monthly basis payable on or before the 15th day of the every month;

• That upon the signing of this Contract, the LESSEE agrees to pay
advanced rentals for 12 months;

• That the LESSOR shall pay the real property taxes levied of the leased
premises corresponding to the aforementioned parcel of land while the LESSEE shall pay
the real property taxes levied other improvements that shall be introduced by the latter;

• The LEASED PREMISES shall be used by the LESSEE for storage


purposes only and shall not be converted into another use without prior authority from the
LESSOR.

• The LESSEE shall comply and abide with the ordinance of the city
regarding the cause of the premises, comply with health regulations and secure permits
for license business operations.
• The LESSOR or his representatives, with the proper notice to the LESSEE
and at a reasonable hour of any working day, shall be allowed to enter the leased
premises to conduct inspection.

• The transfer of rights of the LESSEE under this contract and/or the
sublease of any portion of the leased premises should be approved and with written
consent from the LESSOR. Any violation of this condition will be the basis for the
termination of contract.

• If the Leased Premises is not vacated within 30 days grace period allowed
by the LESSOR, then the LESSEE shall be charged with the corresponding daily rentals
of the premises to be affected from the terminal to date when the premises is totally
vacated.

• In the event judicial relief against the guilty party if filed before the
regular courts, for the enforcement of the terms and conditions in the contract, the guilty
party, in addition to any other damages that may be awarded by the court, agrees to pay
ten percent (10%) of the amount claimed but in no case less than ten thousand pesos
(P10,000) as attorney’s fees, aside from the cost of litigation and other expenses which
the law entitles the aggrieved party to recover.

• Failure or delay by the LESSOR to enforce or demand strict performance


by the LESSEE of any stipulation or condition of this Contract shall not affect the
validity hereof, nor shall such be construed as abandonment, withdrawal, waiver or
cancellation of such stipulation or condition, or right or option, or of the right of the
LESSOR to subsequently enforce or demand performance of such provisions. No waiver
by the LESSOR shall be deemed to have been made unless expressed in writing and
signed by the LESSOR.

This Instrument refers to a Contract of Lease, consisting of three (3) pages, including this page
on which this Acknowledgment is written, signed by the parties and their instrumental witnesses
on each and every page hereof.
