corporation duly organized and existing under the laws of the Republic of the Philippines with
principal office address at Sitio Libo, Tayud, Consolacion, Cebu, do hereby certify that the
following is a true and correct copy of a resolution unanimously approved and adopted at the
special meeting of the Board of Directors of the said Corporation held at its offices on 08
November 2019, during which a majority of the Directors at which a quorum was present and
acting throughout, and that said resolution is in full force and effect and has not been revoked,
and reads as follows:

“RESOLVED, that the company unanimously approved authorizing it’s

Branch Accountant – Mr. TOMAS D. GONZALES, Jr., to represent the Company
to transact with the Bureau of Internal Revenue (Revenue District Office No.80
Mandaue and Revenue Region 13)) for the required Tax Clearance of the
Company, (TIN 235-097-112-000) needed for Private and Public Bidding;

RESOLVED FURTHER, that in order to carry into effect the authority above
conferred, Mr. TOMAS D. GONZALES, Jr., is duly empowered to accept, receive,
sign, execute or otherwise present whatever receipt, paper or document necessary
in the above-mentioned application with transaction with the Bureau of Internal
Revenue;

RESOLVED FINALLY, that the authority conferred above shall continue to

take effect, unless otherwise revoke or superseded by a subsequent board
resolution.”
