proponent of the American school of thought known as pragmatism, the Crusaders Learning
Center began its tutorial operation in 2017 with its aim to continuously uphold the advocacy on

THIS AGREEMENT is made _____day of ____________________201( ) between

CRUSADERS LEARNING CENTER the registered office of which is 13th-14th Streets,
Brgy. Macasandig, Cagayan de Oro City, 9000, Philippines (hereinafter called “the
Franchisor”) of the first part and of ________________________________________
(hereinafter called “the Franchisee”) of the second part on the basis of the following
understandings and agreement;

Both parties agree to the following conditions:

Section 1: The Agreement

1.1 Franchisee will own and operate a location of the Franchisor at

_____________________________________________________.

1.2 This Agreement between the Franchisee and the Franchisor begins on the day of
the signing of this contract, and continues until _______________________________.

1.3 The Franchisee's territory is non-exclusive.

Section 2: Payment

2.1 Franchisee will pay the Franchisor the total Franchising fee amounting to
One Hundred Fifty Thousand Pesos Only (P150,000.00) for the rights to own and
operate this franchise. This sum is payable upon signing this contract.

2.2 Franchisor shall not collect or require Franchisee with Franchise Royalty Fees.

Section 3: Franchisee Responsibilities

3.1 Franchisee shall take responsibility of processing the pertinent and legal papers
related to the opening and operation of the franchise.

3.2 Franchisee will oversee the day-to-day management and operation of the
franchise location, while maintaining the outward appearance customers have come to
expect from the Franchisor.

3.3 Franchisee is responsible for maintaining the upkeep of the location. The
Franchisor will inspect the location twice a month with dates agreed upon. Failure to
comply with the Franchisor's standards in this regard, as noted in the contract will
result in formal investigation and contract shall be terminated once found guilty.

Section 4: Franchisor Responsibilities

4.2 Franchisor will also provide support in the form of recommending or hiring of tutors,
trainings for tutors and other tutorial-related systems.

Section 5: Advertising

5.1 Franchisor will provide prescribed design for advertising.

5.2 Franchisee shall produce its own materials for advertising and must follow the
prescribed design.

Section 6: Rights
6.1 The trademark and any copyrights belonging to the Franchisor will remain its
property at all times. Franchisee has the right to use the trademarks and copyrights for
the purposes of advertising and promotion, provided that these are carefully taken care
of.

6.2 Any misuse of the Franchisor’s trademarks or copyrights will result in termination of
contract.

Section 7: Selling or Transferring the Franchise

Franchisee may sell or transfer the franchise {ways in which Franchisee may sell or
transfer the franchise, if applicable}.

Section 8: Renewal and Termination

8.1 This franchise agreement is up for renewal on ________________________.

Should both parties agree to renew at this time, a new contract will be drafted and
signed.

8.2 Franchisor has the right to withdraw the Franchisee's rights for the franchise at any
time if Franchisee fails to comply with ALL Franchisor’s standards. The Franchisee will
give up all rights to the franchise, and will not receive any compensation as a result.

Section 9: Severability and Jurisdiction

9.1 Invalidity or unenforceability of one or more provisions of this Agreement shall not
affect any other provision of this Agreement.

9.2 Franchisee and Franchisor acknowledge that this Agreement is subject to the laws
and regulations of the state.
