LETTER OF AGREEMENT

BEKAM THERAPY BUSINESS

Today, on the twenty-fifth of October, the year two


thousand and nineteen (25 October 2019) in the city of
Yogyakarta, a cooperation agreement has been signed
between:

Acting on behalf of a person, hereinafter referred to as the


FIRST PARTY.

Name: Sukiyah
National ID number: 3209832004680008
Address. : Cokrobedoq, Sidoarum Godean Sleman,
Yogyakarta.

Acting on behalf of a person, hereinafter referred to as the


SECOND PARTY.

The FIRST PARTY is a person who intends to invest in the


SECOND PARTY. SECOND PARTY is medical personnel
who have skills in health in the field of cupping. SECOND
PARTY has a cupping therapy business brand.
FIRST PARTY and SECOND PARTY hereby enter into a
cooperation agreement with the following conditions:
ARTICLE 1
PURPOSE AND OBJECTIVES

The purpose and objective of this cooperation agreement


is that the PARTIES agree to hold a cupping therapy
cooperation.

ARTICLE 2
OBJECT AGREEMENT

The object of this cooperation agreement is in the form of


capital management for businesses in the health sector,
namely cupping therapy.

ARTICLE 3
SCOPE

The scope of this cooperation agreement is:


1. THE PARTIES agree that in this cooperation share the
obligation, where the FIRST PARTY provides capital
of Rp. 20,000,000.00 (twenty million rupiah).
2. And the SECOND PARTY will optimize the ability,
experience and business network.

ARTICLE 4
RIGHTS AND OBLIGATIONS OF THE PARTIES

THE FIRST PARTY is obliged:


1. Providing funds of Rp. 20,000,000.00 (twenty million
rupiah) for business management.
2. Giving authority to the second party to regulate the
financing of infrastructure in this business.

THE FIRST PARTY has the right:


Receiving profit sharing equivalent to 2% (two percent)
of the total capital of IDR 400,000 (four hundred thousand
rupiah) every month.

The Second Party shall:


1. Conduct cupping therapy business management.
2. Transferring the profit sharing to the FIRST PARTY
every 5th, starting from November 25, 2019 until this
agreement ends.
3. Returns the total capital from the FIRST PARTY (Rp.
30,000,000) and a 5-year criminal offense if he runs
away and carries off the results of the business.

The Second Party has the right:


1. Get the authority to set operational costs.
2. Receive benefits from the management of cupping
therapy business.

ARTICLE 5
IMPLEMENTATION

1. Funds are prepared by the FIRST PARTY


2. Funds are issued in accordance with the needs of the
SECOND PARTY for marketing and other operational
costs.
ARTICLE 6
PROFIT SHARING
FIRST PARTY gets a profit sharing of 2% of total capital.

ARTICLE 7
PERIOD OF TIME

This cooperation agreement is valid for a period of 10


(ten) years, starting from October 26, 2019 to October 26,
2029.

ARTICLE 8
TERMINATION OF THE AGREEMENT

The PARTIES agree that this Cooperation Agreement will


end when:
1. The term of this Cooperation Agreement has expired
and has not been extended.
2. One of the parties does not fulfill one of the
provisions in the articles and paragraphs of this
Cooperation Agreement.
3. Force Majeur which makes this Cooperation
Agreement impossible to be re-implemented.

ARTICLE 9
DISPUTE

If disputes arise in the future in the implementation of this


Cooperation Agreement, both parties agree to settle
through deliberation and consensus.
ARTICLE 10
OTHER PROVISIONS

1. Provisions which are not stated in the agreement


must be stated in a separate agreement agreed by the
PARTIES in good faith.
2. Every addendum to this agreement must be written
down and signed by the PARTIES.
3. SEVERE PARTIES agree to maintain this
confidentiality, except if declared to be opened under
applicable law.

ARTICLE 11
CLOSING

This agreement is made in 2 (two) original, each has the


same sound on paper with sufficient stamp duty and has
the same legal force after being signed by THE PARTIES.
This agreement is effective from the date it was jointly
signed by THE PARTIES.

Matters which are not or have not yet been regulated in


this Cooperation Agreement will be arranged later by the
PARTIES based on mutual agreement.
