AGREEMENT

This AGREEMENT is entered into this _____ day of August, 2019,

by and between:

JAY-J J. BAHANDI, of legal age, Filipino, and with address at

_____________________________________________________, Davao City,
hereinafter referred to as “MANUFACTURER”;

and

MARY ANN TRESVALLES, proprietor of INSIEME BEAUTY AND

WELLNESS TRADING, also of legal age, Filipino, and with address at
Block 4, Lot 17, Orchid St. Phase 2, Natividad Subd., Brgy. 168,
Deparo, Caloocan City, hereinafter referred to as “DISTRIBUTOR.”

Whereas, DISTRIBUTOR had contracted the MANUFACTURER to

manufacture/produce INSIEME MIRACLE OIL, hereinafter referred to
as the “Products”;

Whereas, DISTRIBUTOR desires to secure from MANUFACTURER

the exclusive right to sell and distribute the Products being
manufactured/produced by MANUFACTURER;

NOW THEREFORE, it is mutually agreed by the parties that:

DISTRIBUTOR shall be the sole and exclusive

seller/distributor/supplier/marketer/promoter of the above-described
Products;

MANUFACTURER is hereby prohibited from

manufacturing/marketing/selling/reselling/promoting, directly or
indirectly, the abovementioned Products to any other person
without the written consent of the DISTRIBUTOR;
 The price for the services of MANUFACTURER will be agreed
upon by the DISTRIBUTOR and MANUFACTURER;

The payment of the agreed price for MANUFACTURER’s services

shall be in the following manner: one-half of the price upon order
and the other half upon delivery to and receipt by the DISTRIBUTOR
of said Products;

This Agreement shall be in effect for as long as the DISTRIBUTOR

is engaged in the business of selling/marketing the said Products;

IN WITNESS WHEREOF, the parties hereto have caused this

Agreement to be executed as of the day and year first above
written.
