Detailed Scope of Work of Channel Partner:

1. Channel Partner Shall Work for the Lead Generation / Client Pitching for the Solar
Business on their own ideas and Relationships in the Market.
And Addition to this, if required then Both Parties Shall Jointly Draw the Marketing
Strategies and Work on the same on Mutually Agreed terms & Discussions.
Channel Partner shall bear its own travel, marketing and such other costs incurred to get
the business. Jayraj Solar LLP shall not reimburse any cost, unless it expressly consents
for the same on a case to case basis.

The Channel Partner shall disclose the name of the Customer along with all the relevant
details within 5 business days of communicating the availability of the Customer with
the Channel Partner.

2. Channel Partner shall arrange for the customer meeting and Technical Site visit as per
the availability of customer and Jayraj Solar team.

3. Channel Partner shall collect all the necessary information required from the customer
for working / preparation of the offer such as last 2 Months Electricity Bills, connectivity
voltage level, Shadow free open area available for installation of solar project, height of
Building/ terrace.

4. Channel Partner shall submit the Offer/ Quotation to the Customer On Behalf of Jayraj
Solar LLP which is prepared and given by Jayraj Solar team.

The Channel Partner shall not make any offer nor make any changes in the quote nor
accept any liability on behalf of the company. If the channel Partners do so, they shall do
so at their cost consequences and peril.

5. Channel partner shall timely do the Follow up with Customer to whom our proposal is
submitted. And Jayraj Solar LLP shall be kept updated about the discussions, progress
of the business/ contract/ project of the customer time to time.
Channel Partner is bound to advise on the competitiveness of Jayraj Solar’s offer
submitted to customer and advise the appropriate possible strategy for procuring the
order from any potential customer.

6. Channel Partner shall arrange for the Jointly Meeting with customer for any Kind of
Technical Meeting, Negotiation Meeting or Project Finalization.

7. Channel Partner Shall always the Mediator between Jayarj Solar LLP and the End
Customer from the Starting to Completion/ Commissioning of Project and Handing over
of Project to the Customer in Working Condition. And Channel partner shall always
keep informed of any communication that takes place between it and the customer
during that tenure.

8. Channel Partner shall be solely responsible for collection of the invoice amounts
from the customers and pay/provide the same to Jayraj Solar LLP.

9. The Company and The channel partner shall jointly assist the client in getting Net
Meter and subsidy, in accordance with the terms agreed in final order for every
project.

10. In the event of any dispute with the client, the Channel partners shall assist the
Company in resolving the problem in all administrative and judicial efforts, if any
required.

11. Channel Partner shall not disclose or modify the Confidential Information (oral, in
writing, visuals, etc.) except as expressly authorized by Jayraj Solar LLP, and shall
protect any such copies in accordance with this Agreement.

Detailed Scope of Work of Jayraj Solar LLP (Company):

1. The Company shall initiate the process of analyzing the business opportunity/Customer
only after receiving all the relevant information of the Customer from the channel
Partner.

2. The Company shall always assist the Channel partner for Customer Meeting and do the
Technical Site Survey as per availability of the customer or Scheduled by the channel
partner. On receiving the required info, the company shall inform the Channel Partner
its willingness to execute the proposed project within 5 days and do the necessary
ground work , to submit quotation to the proposed client through the Channel Partner .
Every quote and introduction letter shall mandatorily mention the names of the Channel
Partners.

3. The Company Shall do the Capacity Estimation, Design and Prepare the Offer/proposal
as per Site Parameters and give it to the channel partner for submission of the same to
End Customer.

4. Company shall provide “Customized Comparative Financial Statements Of Benefits of


Solar Rooftop projects, along with company profile brochures for every proposal
furnished by the Channel partner.
5. Company shall provide the draft of guarantee/warranty for services and product to be
given to the client after submission of quotation to client BUT before finalization of the
order.

6. Company shall provide the draft of Bank Guarantee/Indemnity and Client Undertaking
/NOC for Unobstructed Access to Plant Site and draft of lien Document on plant till
completion of entire payment as per order, containing joint and several liability of the
Office bearers/management committee till completion of payments.

7. The Company Shall always Join the Channel Partner for Technical Meeting, Negotiation
Meeting and for Project Finalization Meeting etc.

8. Company shall follow up with the channel partner for the submitted Offers.

9. Company shall support the channel partner for collection of Payment from the
customer.

10. Company shall authorize the Channel Partners to use company's name and logo on
channel Partners business Cards and letterheads (paper as well as Digital) till the
existence of the agreement .

Success Fees / Margin:

Jayraj Solar LLP, Offers a Fixed Margin/ Success Fees of 4% of basic project value (excluding
applicable taxes as received from the ‘Potential Customer’) subject to successful execution &
delivery of those project(s) in consistent with the overall objective of the organization.

Jayraj Solar LLP and Channel Partners hereby agree to share the additional price obtained by
joint or several efforts of the parties, over and above the base prices agreed and annexed hereto
in the ratio of 60 % to the company and 40 % to the Channel partners.

Payment Terms:
100% Payment shall be done after successful commissioning of project and receipt of final
payment from Customer.

Other Terms & Conditions:

1. If order gets cancelled midway from client's end, Then Company will not pay the Fixed
Margin to channel partner(CP), as CP is responsible for handling of client till final
payment is received from Client after successful commissioning of project by us.
