works of the Construction and Erection Base of Rooppur NPP phase 2. Lot 4», which
is published on http://www.zakupki.rosatom.ru, competitive bidding
No. 171124/0536/2386, the procurement documentation, understanding and accepting
the competitive bidding requirements and the conditions specified therein, Lotus Ltd.,

This application for participation in a competitive bidding has a legal status of

an offer and shall remain in force 60 calendar days from the deadline for submission of
applications for participation in a competitive bidding.

We hereby confirm that:
 Lotus Ltd. has the right to carry on business in compliance with the law of
People’s Republic of Bangladesh.
 there are no liquidation proceedings against Lotus Ltd., there is no
adjudication order for Lotus Ltd., issued by an arbitration court, activities of Lotus Ltd.
have not been suspended and their assets have not been seized by resolution of a court
or an administrative authority;

 the Lotus Ltd., have established the labor safety management system
(LSMS) and it is functioning;

We hereby agree and confirm receipt of all the consents required in accordance
with the applicable laws of the Russian Federation (including law on personal data)
from all the persons indicated in the application, from all the persons interested or
involved in this data for the customer (business owner of the procurement process) to
process the provided data and for the customer to disclose the data, in whole or in part,
to the competent state authorities (including the Federal Tax Service of the Russian
Federation, the Ministry of Energy of Russia, the Federal Financial Monitoring
Service, the Government of the Russian Federation) and for such authorities to
subsequent processing of such data.
If we win this competitive bidding or if we receive the proposal to enter into a
contract, we will assume the following obligations:
a) to sign the contract on our part in accordance with the requirements
specified in the procurement documentation and with the terms and conditions of our
application;
b) before concluding the contract, to provide the information about the
owners chain including beneficiaries (including ultimate beneficiaries) as per the form
and in accordance with the instructions set out in the procurement documentation and
to provide the documents confirming such information.
c) before concluding the contract, to provide copies of employment record
books and qualification certificates for employees engaged for fulfillment of the
contract;
d) before concluding the contract, to provide the documents confirming that
Lotus Ltd. have established LSMS and that it is functioning;
e) Lotus Ltd. is not subject to the law requiring availability of the resolution to approve
or to close a major transaction, as the sole member (shareholder) is the sole executive body.
f) Lotus Ltd. is not subject to the law requiring availability of the resolution to
approve or to close an interested-party transaction, as the sole member (shareholder) is the sole
executive body.;

We are aware and agree with the condition that if we are recognized the
competitive bidding winner or if we are offered to enter into the contract, when
determining the total amount of contract performance security all calculated amounts
of security shall be summed
- the security amount specified in the procurement documentation;
- the extra amount of contract performance security that shall apply in the event
anti-dumping activities are carried out;

We are notified and agree that:

 if we provide any inaccurate information, we may be removed from the list of
the participants of competitive bidding, and if inaccuracy of the information provided
by us is detected after the conclusion of a contract with us, such contract may be
terminated;

we will be recognized to be evading the conclusion of a contract in the cases
specified in the procurement documentation and in the case of failure to provide the
documents which must be provided before the contract conclusion;
 the information regarding us will be entered into the relevant register of bad-
faith suppliers for a period of two years in the cases specified in the procurement
documentation.
