CONTRACT OF AGENCY

This CONTRACT made as of the day of _________ 2019 at _____________


by and between:

____________________, a corporation duly organized and


registered under Philippines Laws with SEC Reg. No.
__________________, with business address located in
__________________________________________, represented by
_____________________, President, hereinafter referred to as
“PRINCIPAL”;

- and -

____________________, of legal age, married, with postal address


located in __________________________________________,
hereinafter referred to as “AGENT”;

WITNESSETH:

WHEREAS, the Principal is the owner of the real property with Transfer
Certificate Tile (TCT) No. ________________ including all the improvements therein
located in ____________________________________________ and more particularly
described as follows:

DESCRITPTION OF THE PROPERTY

WHEREAS, the Principal wishes to engage the services of the Agent for the sole
purpose of selling the above-stated property;

WHEREAS, the Agent wishes to act in such capacity in accordance with the
terms and conditions herein contained;

NOW THEREFORE, in consideration of the mutual covenants and agreements


herein contained, the Principal and the Agent hereto agree as follows:

I. TERMS OF AGREEMENT

1. This Agreement shall be effective on the day of ___________, 2019.

2. This Agreement shall continue in full force and effect for a term of one (1) year
from the effective date hereof and for successive periods of one (1) year
thereafter, unless terminated by either party in accordance with the provisions of
Clause 5 of this Agreement.

3. Either party to this Agreement may terminate the Agreement at any time upon
thirty (30) days written notice to the other party.
II. OBLIGATIONS OF THE AGENT

The Sales Agent hereby covenants and agrees that he shall:

1. To carry out the agency in accordance with its terms;

2. To answer for the damages which through his non-performance the


principal may suffer;

3. To act in accordance with the instructions of the Principal;

4. Not to carry out the agency if its execution would manifestly result in loss or
damage to the principal;

5. To answer for damages should he prefer, in case of conflict, his own interests
to those of the principal;

6. To render an account of his transactions and to deliver to the principal


whatever he may have received by virtue of the agency;

7. To perform all duties and responsibilities under this Contract in a


professional and competitive manner;

8. to answer for fraud and negligence.

III. OBLIGATIONS OF THE PRINCIPAL

The Principal hereby covenants and agrees that it/he/she shall:

1. To comply with all the obligations which the Agent may have contracted
within the scope of his authority;

2. To advance to the agent, should the latter so request, the sums necessary for
the execution of the agency;

3. To reimburse the agent for all advances made by him provided the agent is
free from fault;

4. To indemnify the agent for all damages which the execution of the agency
may have caused the latter without fault of negligence on his part;

5. To pay the Agent the compensation agreed upon;


IV. COMPENSATION

1. For the services rendered by the Agent pursuant to this Agreement, the Agent
shall be entitled to a compensation at the rate of three (3) percent (%) of the total
purchase price of the real property including all its improvements therein;

2. The payment shall be in cash/check. Fifty (50) percent (%) of the compensation
shall be paid on ___________________________ and the other half shall be paid
on _________________.

V. LEGAL PROCEDURE AND REMEDIES

In case of dispute arising from this Contract, the parties hereby agree to settle
all the issues amicably before instituting the same in the court of law. The party at
fault shall pay the damages, legal expenses and attorney’s fees.
