The Seller agrees to sell and the Buyer agrees to buy hereinafter commodities under the follow
terms and conditions:
1. COMMODITY: Vietnam white, irregular rice
2. QUALITY:
- Broken: 25%.
- Moisture: 14% - 25%
- Double polish: required.
- Chalky kernel: 5.0% max (basis % grain).
- Foreign matter: 1% max.
- Yellow kernel: 1% max.
- Paddy: 5 per kg.
- Production date: September 2018
Expiration Date: September 2020
3. QUANTITY: 929.88 MT (nine hundred and twenty nine point eight hundred and eighty metric
ton)
 - Tolerance: 0.1%
4. UNIT PRICE:
- USD 465.0/MT (US Dollars three hundred and sixty five per metric ton) CFR Long
Beach Port, California, U.S in accordance with INCOTERMS 2010
- Total price: 929.88 X 465= 432,394.2 USD (+/-5%)
(Say: US Dollars four hundred thirty two thousand and three hundred ninety four and cents
two only)
5. PACKING: the rice is packed in new 45.36-kg PE bags (equivalent to 100 lbs/bag). k ghi theo

6. SHIPMENT:
- Shipment date: from 25 September 2018 to 31 December 2018
- Transhipment: Allowed.
- Partial shipment: Allowed. -
The first shipment of 500 MT on 15 October, 2018.
The second shipment of 429.88 MT on 15 November, 2018.
- Port of Loading: Ho Chi Minh (any terminal),
- Port of Destination: Long Beach or Los Angeles
7. PAYMENT: By T/T or by cash 100% in advance or within 5 days after B/L issuance Date.

8. INSPECTION:
The inspection of quality, weight, packing to be effected final by the buyer’s representative at the
seller’s warehouse or at the port of loading. And the seller bear the cost.
9. FUMIGATION:
- The rice must be fumigated in container at port of loading----fumigated in container at The
seller’s expenses.
 - The buyer pays all costs for the ship's sailor when they arrive at the port and waiting
fumigation.
10. DOCMENTS REQUIRED:
- Full set (3/3) original clean on board Bill of Lading.
- Signed commercial invoice in triplicate.
- Original Packing list in triplicate.
- Certificate of Fumigation issued by Vietnam government/ competent authority.
- Certificate of Origin to be issued by Vietnam Chamber of Commerce and Industry (VCCI).
- Phytosanitary certificate issued by Vietnam government
- Certificate of weight, quantity, quality and packing issued by Vietnam government/
competent authority.

11. Penalty:
Late delivery: in the case of late delivery for the reason not in force majeure, the seller shall pay
as penalty as 30% percentage of the value of the undelivered part.
Late payment: Penalty of delay on payment, such as 20% of total unpaid amount.

12. FORCE MAJEURE:

Neither party to this contract shall be held responsible for breach of contract caused by an act of
god, insurrection, civil war, war, military operation or local emergency. The parties do hereby accept the
international provision of “Force Majeure” published by the International Chamber of Commerce,
Geneva, Switzerland, and as defined by I.C.C rules uniform customs and practice.
13. CLAIMS AND ARBITRATION:
In case of claim on quality discrepancy against the seller, the buyer shall officially notify the
seller by fax within 2 weeks from the date of arrival of vessel at discharging port. Thereafter, both buyer
and seller mutually appoint an international reputable neutral inspection agency and such inspection
result shall be deemed as final to both buyer and seller. Any dispute arising under this sales contract
would be settled amicable at first. In case the dispute cannot be settled dispute will be referred to the
Vietnam International Arbitration Center of Vietnam Chamber of Commerce and Industry
(VCCI). Arbitration fees shall be born by the losing party
 14. GERNERAL TERMS:
Both parties undertake to execute strictly all article of this Contract. Any amendment or addition to
this Contract shall be made in writing after being mutually agree by both parties.

This contract is recognized by email will come into force after being signed by both
concerning parties.
