APPOINTMENT AS CONSULTANT
Dear Mr. Suresh Sharma,

Subsequent to your interview we are pleased to appoint you in our company as “CONSULTANT:
RESOURCE COORDINATOR”. You are required to report in our office latest by 25th May 2009 Your
appointment as consultant is subject to the following terms and conditions:

1. DURATION OF CONTRACT FOR CONSULTANCY

The contract is valid till 31st March 2010 and thereafter renewable on mutual terms subject to
termination as herein provided.

2. TERMINATION OF CONTRACT FOR CONSULTANCY

During the period if you want to terminate your services you have to give one-month prior notice in
writing to your immediate superior. Alternately, you may terminate your contract by paying one
month’s consultancy charges. However, should you be found that you have breached any of the
conditions laid down explicitly here or implied in the working of the Organization or if you are found
not suitable the Company can terminate your services by giving a notice of 15 days in writing to you.

3. COMPENSATION

At present your Consultancy Charges will be Rs 7,000/- per month. Income Tax at applicable rates (at
present 10.3% as per the directive of IT Department) for Consultancy Charges will be deducted while
making monthly payments of Consultancy Charges.

4. RULES AND REGULATIONS

Your services will be governed by the Service Rules and Regulations, which may be brought in force
or amended from time to time. Further, The Consultant is an independent contractor for, not an
employee of, the Company. However, the Consultant may not engage in any other activities or
employment outside of his relationship with the Company. The Consultant shall have no authority to
pledge the credit of the Company, to bind the Company under any contract, agreement, note, mortgage
or otherwise, to release or discharge any debt due to the Company or to sell, mortgage, transfer, or
otherwise dispose of any assets of the Company. Nothing in this Agreement shall constitute or be
construed as constituting a partnership or joint venture or agency between the Parties or shall authorise
one Party to enter into contractual relationships or incur obligations on behalf of another. No Party
shall make any representations contrary to the provisions of this Agreement or permit any Person to
make such representations

5. PLACE OF WORK AND TRANSFER

Your place of work at present will be Jhunjhunu (Jeevani Shiksha Samiti – Jhunjhunu). During
the course of your service with Edurite you may be transferred/attached to any of the Company’s
establishments/Group Companies or associate offices of the company in Bangalore or any other city in
India or Abroad. While working in another company on transferred/attached, you shall be entitled to
consultancy charges as applicable in the transferred/attached company, and for all purposes you shall
be deemed to be in the company transferred/attached.

6. DISPUTES

Any disputes between yourself and the company concerning with or relating to or arising out of this
contract shall be subject to Jurisdiction of and be determined by a Court of competent jurisdiction in
Bangalore only.

7. OTHER EMPLOYMENT

During the period of your contract you will not work directly or indirectly for any other person, firm,
Company or organisation whether with or without remuneration without the permission of the
Company. Also you are not to interest yourself in any business or do any trading on your own account.

8. MEDICAL FITNESS

During the period of your contract, the Management shall have the power to require you to get yourself
examined medically. You are required to maintain medical/physical/mental fitness and ensure regular
medical check-ups. Any negligence on your part in maintaining good health may render you medically
unfit for the service. In such case your services are liable for termination, not withstanding any other
conditions mentioned in this letter or otherwise.

9. GENERAL
- Your job responsibilities will be given to you by “Senior Manager Strategic Projects” (presently
Mr. R Viswanathan)

- At present your working hour will be the same as that of the above mentioned school.

- During the course of your contract you will employ yourself efficiently, honestly, faithfully, and
devote your whole time attention and ability to the interest of the company

- You are to obey and comply with all the lawful orders and directions given to you by the concerned
superiors in the company

- You should not indulge in any act or omission, which is likely to harm the reputation of the
company or affect prejudicially the reputation of the company

- You should on no account place yourself in a position where your interests conflict with your duties
under the management

- It is also your duty to bring to the notice of the Management any act or omission of any
employee who affects the organisation prejudicially, immediately it comes to your notice.

- In case your termination or resignation, you should hand over charge to any official designated in this
behalf and obtain a clearance certificate from him and your accounts can
be settled only on production of such a certificate.

- You are expected to deal with Company’s money, material and documents with utmost honesty
and professional ethics. Your service may be dispensed with any time without any previous notice
if you are found guilty of gross indiscipline, fraud, and misappropriation or acting against the
interest of the company.

10. SECRECY

You should not give anyone by word of mouth, writing, facsimile or by another form, any particulars
or details which you acquire during the course of your employment or our working systems, technical
know-how, security arrangements, administrative and or organisaitonal matters of our and our clients
whether confidential, secret or otherwise, either during your employment with the Company or
afterwards.

11. COMPETETION

You should not involve yourself, directly or indirectly, in the similar business in which the company is
engaged with, for 6 months after termination of your contract with the company.

Breach on your part of any of the above conditions will entail termination of your contract without notice.

The terms and conditions of your service contract mentioned herewith or are intimated hereafters are to be
treated as strictly confidential.

In token of your agreement to the terms and conditions stipulated above you are requested to sign and
return the duplicate copy of this letter to us on receipt of this letter.

Consultancy and I do hereby agree with all terms as above and I shall abide by all general rules of service
which are now or may hereafter to be in force and accordingly accept my contract for Consultancy with
you.

 That all electronic communication systems and all information transmitted by, received from, or
stored in theses systems are the property of EDURITE.
 That these systems are to be used primarily for job-related purposes and that I have no expectation
of privacy in connection with the use of this equipment or with the transmission, receipt, or
storage of information of this equipment.
 That my supervisors will have the option to monitor my work through Remote Admin Tools.
 No installation of chat facility nor chatting will be permitted from my equipment.
 I also understand that following acts/omissions are prohibited by Indian IT Act 2000 in respect of
internet usage:
 Tampering with computer source code.
 Hacking/ Cracking and installation/use of unauthorized software.
 Publishing, storing or transmitting information (including unanimous emails) which is
obscene in electronic form.
 Unauthorised access into any computer or computer system for downloading any data or
information.
 Causing damage to any computer or computer system, data or database.
 Introduction of virus or computer contaminant into any computer or computer network.
 Disrupting any computer or computer network.
 Prohibiting any assistance to any person to facilitate any access to any computer or computer
system in contravention of any provisions under any law in the country.

I acknowledge and consent to EDURITE monitoring my use of this equipment at any time at its discretion.
Such monitoring may include printing up and reading all e-mail entering, leaving or stored in theses
systems.
