(MMWD) Board of Directors held at the Masbate-Mobo Water District Hall, September
11, 2018 at 9:30 O’clock in the morning.

A RESOLUTION APPROVING THE INSTALLATION OF DEDICATED LINE FOR DMCI

MASBATE POWER CORPORATION AND THE EMERGENCY PURCHASE OF MATERIALS
REQUIRED RELATIVE THERETO

WHEREAS, the MMWD has an existing Memorandum of Agreement with DMCI Power
Corporation wherein the latter shall purchase a guaranteed volume of Three Thousand
Five Hundred (3,500 cum) cubic meters per month;

WHEREAS, due to inadequate water supply from MMWD, said volume was not being
enjoyed by DMCI Power Corporation but nonetheless the company has to pay the
amount corresponding thereof;

WHEREAS, the DMCI Power Corporation’s generator sets cooling system requires
sufficient amount of water in order to operate efficiently otherwise brownout will occur
which will consequently affect not only residential households or other establishment
but MMWD as well: being a water utility that relies its energy requirement from
Maselco, the Electric Cooperative that distribute electricity produced by DMCI;

WHEREAS, DMCI Power Corporation requested from MMWD Management for an

immediate provision of a dedicated line which will provide and ensure a 24/7 water
supply to its cooling system to avoid power failure as a result of cooling system
malfunctions;

WHEREAS, this Board believed that since DMCI is keeping its commitment by
continuously paying for the guaranteed volume, MMWD should also fulfil its obligation
stipulated in the contract because it is only just and equitable to provide services being
paid for;
WHEREAS, in order to fast tract the implementation, this Board approved the
emergency purchase of materials required in the installation of a dedicated line for
DMCI provided however that the cost of the materials and the installation will not
exceed to Two Hundred One Thousand Eight Hundred Forty ( Php. 201, 840.00) Pesos
being the Approved Budget for the Project;

NOW THEREFORE, on motion of Dir. Julius T. Aban duly seconded by Dir. Ross A.
Obejas and concurred in by all the members present, BE IT;

RESOLVED, AS IT IS HEREBY RESOLVED, to approve the immediate installation of

dedicated line for DMCI and the emergency purchase of materials required relative
thereto.

RESOLVED further, to allocate an amount of Two Hundred One Thousand Eight

Hundred Forty ( Php. 201, 840.00) Pesos being the Approved Budget for the Project.

RESOLVED FINALLY, that the Memorandum of Agreement between MMWD and DMCI
Power Corporation and the Letter dated August 29, 2018 from Loreto J. Antiqueño shall
form part of this Resolution.

PASSED AND APPROVED, this 11th day of September 2018 at the MMWD Hall,
Masbate-Mobo Water District, Capitol Road, Masbate City, Philippines.
